Besides, according to the Ongs, the principal objective of both parties in entering
into the Pre-Subscription Agreement in 1! "as to raise the P1# million
desperatel$ needed for the pa$ment of %&A'()s loan to P*B Eence, in this li,ht, the
alle,e! failure to provi!e o<ce space for the t=o corporate o<cers =as no (ore
than an inconseDuential infrin,e(ent 5or rescission to be Fusti>e!, the la= reDuires
that the breach of contract shoul! be so Hsubstantial or fun!a(entalH as to !efeat
the pri(ar6 obFective of the parties in (a3in, the a,ree(ent At an6 rate, the On,s
