Some of the significant Real Estate transactions that HSA has handled in the recent past are as
follows:

1. HSA has advised Brack Capital Real Estate, USA / B.C.R.E. Izaki B.V.,
Netherlands for undertaking a real estate development projects in Gurgaon, Haryana
in joint venture with a prominent real estate developer.

2. HSA advised Ontogeny Capital, LLC, from USA in undertaking the development
and implementation of real estate projects in India, including in Gurgaon, Haryana in
joint venture with prominent Indian real estate developers such as Parsvnath
Developers Pte. Ltd. and the Omaxe Group.

3. HSA advised RJ Corp (Ravi Jaipuria group) in:

the development of a residential project at the Pearl in Doha, Qatar;

the development and construction of residential, commercial and
condominium complex in Sri Lanka.

4. HSA advised Bata India in developing a real estate project at Batanagar in West
Bengal in joint venture with the Calcutta Metropolitan Group;

5. HSA advised VMWare in acquiring (on a leasehold basis) various office premises in
cities across India such as Bangalore, Pune and Mumbai for their operations in India.

6. HSA advised Riverbank Developers Private Limited and Riverbank Holdings
Private Limited in developing and implementing an IT-SEZ Project on a contiguous
land parcel of 25 acres, situated within the Calcutta Riverside Township Development
Project located in Batanagar, West Bengal.

7. HSA advised numerous hospitality companies listed below on real estate related
issues including acquiring land, conversion, applying for relevant licenses, drafting
and negotiating transactional documentation -

Great Indian Restaurant Company (GIRC), operating restaurants in the
National Capital Region, including Gurgaon;

Lemon Tree Hotels on the establishment of several star category business
hotels across India, including in Delhi, Gurgaon, Hyderabad, Ahmedabad,
Indore, Chennai, Goa, Allepy, Mumbai, Pune and Jaipur through private
equity investment by investors such as Warburg Pincus, Shinsei Bank and
Kotak Realty Fund.

Shelleys Hotel during the sale of its leasehold rights in a heritage hotel in
Mumbai to Planet Hollywood.





8. HSA advised Austind Iron Ore Pty. Ltd., a consortium of investors, in negotiating
and acquiring land aggregating more than 2,000 acres for development of an iron ore
mining project in Kerala.

9. HSA advised Shell Bitumen during its acquisition of land in West Bengal for
establishing a bitumen production plant.

10. HSA is advising CIDCO on legal issues involved in the development of land for the
proposed Navi Mumbai International Airport in Maharashtra.

11. HSA advised the Hiranandani Group, for their investments in certain commercial
and infrastructure projects in India.

12. HSA advised First Data (India) Private Limited in acquiring (on a leasehold basis)
various office premises and call centre premises in Mumbai and Thane, Maharashtra
for setting up their operations in India.

13. HSA advised ICICI Merchant Services Private Limited in acquiring (on a
leasehold basis) various office premises in cities across India such as Chennai,
Bangalore, Hyderabad, Pune, Ahmedabad, Jaipur, Delhi, Kolkata for setting up their
operations in India.

14. HSA advised Tata Realty in its proposed acquisition of various properties located at
Noida, Rohini, Gurgaon and Jaipur by conducting legal due-diligence, advising on
legal issues and drafting the relevant transactional documentation.

15. HSA advised and assisted the Sports Authority of India for the development of real
estate in five major sports complexes in Delhi.

16. HSA (along with E&Y) advised the Rail Land Development Authority, Ministry of
Railways, on legal issues related to the commercial exploitation of approx. 4.5 Ha of
land at Bandra, Mumbai.

17. HSA advised the Chadha Group on developing approx. 250 acre of real estate in
Mohali, Punjab.

18. HSA advised ACC Concrete Limited during its project evaluations for setting up
and expanding its operations in various cities and states in India including Bangalore,
West Bengal, Pune, Haryana, by verifying the title of the real estate involved and
advising the company on the legal risks involved in the same.

19. HSA advised Mahindra Rural Housing Finance Limited, on prevalent state
legislations for extending loans/housing finance for developing agricultural land in
India, and opined on various issues related to securitising agricultural land in the
states of Maharashtra, Gujarat, Tamil Nadu, Karnataka, Andhra Pradesh and Kerala.





20. HSA advised the Madhya Pradesh State Electronics Development Corporation
Limited on land related issues during the development of three Information
Technology Parks in the State.

21. HSA advised Hindustan Insecticides Limited (HIL) on land related issues during
the proposed development of HILs land at Guru Gobind Singh Marg, near Zakhira,
New Delhi.

22. HSA also advised and assisted IRADE, an educational institute promoted by Dr. Kirit
Parikh, a leading economist and currently member of the Planning Commission,
while acquiring property for establishing the institute in New Delhi.

23. HSA advised Capital Management Advisors on the real estate related issues
involved in the establishment of the Murdoch University (Australia) Offshore
International Study Center in the National Capital Region, Delhi.

24. HSA advised Tishman Speyer India in acquiring commercial office premises in the
NCR of Delhi.

25. HSA advised the MMRDA on legal issues pertaining to appreciation/creation of
value in the infrastructure and real estate sector in Mumbai, etc. The scope of work
also involved a review of both Central and State legislations applicable to MMRDA
and the local municipal corporation, including constitutional amendments and advise
relating to diverse queries in connection with revenue generation models.

26. HSA has as part of a consortium advised the National Textile Corporation Limited
on privatization of 16 textile mills through the joint venture route as approved by the
GOM, for the development of real estate on a PPP basis.

27. HSA advised AmerAsia Ventures Corporation in acquiring and developing
approximately 2200 acres of land in South India, for setting up and operating a large-
scale facility for designing, fabrication and manufacture of semi-conductors.

28. HSA advised Swarovski India Private Limited in procuring various commercial
properties located at Delhi, Bangalore, Pune and Mumbai required by their authorised
distributors by conducting legal due-diligence, advising on legal issues and drafting
the relevant transactional documentation.

29. HSA advised a prominent real estate development company, having significant
presence in North India, on its joint venture with a reputable real estate company of
Thailand to set up a joint venture in India to engage in the business of undertaking
construction and allied activities.
