INTRODUCTION TO THE CERTIICATION !AR" LICEN#E PRO$RA!
A% The Tea &oard of India
All teas produced in the tea growing areas of India are administered
!" the Tea %oard India 0?the %oard?1 under the Tea Act 1C9*
0hereinafter the Tea Act1.
The %oard was esta!lished !" the Indian 4o:ernment in 1C9* for the
purposes of controlling the Indian tea industr". The constitution of
the %oard is di:erse and its mem!ers represent the Indian
+arliament owners of tea estates growers of tea the 4o:ernments
of the principal tea growing states of India emplo"ees of tea estates
and gardens e>porters of tea internal traders of tea tea
manufacturers and tea consumers.
The o!'ects of the %oard are inter alia to regulate the production
and culti:ation of tea in India to encourage research to regulate the
sale and e>port of tea to pro:ide training in tea testing and 6>ing
grade standards of tea and impro:ing the mar(eting of tea in India
and elsewhere. The %oard has numerous statutor" duties and
functions under the Tea Act and its :arious ena!ling Grders which
go:ern production mar(eting and e>port of teas.
The %oard is not in:ol:ed in the manufacture or trade of tea and is
run on a non-pro6t ma(ing !asis.
&% Tea rom the District of Darjeeling' India
The &istrict of &ar'eeling is situated in the state of <est %engal
India. Since a!out 1B*9 tea has !een culti:ated grown and
produced in certain tea gardens geographicall" located in the areas
within the State. &ue to the uni;ue and comple> com!ination of
agro-climatic conditions pre:ailing in the region and the production
regulations imposed !" the %oard such tea has a distincti:e and
naturall" occurring ;ualit" and Ka:our which has won the patronage
and recognition of discerning consumers all o:er the world.
5onse;uentl" such tea (nown worldwide as &A3@AALI/4 tea has
ac;uired !oth domestic and international reputation. An" mem!er
of the trade or pu!lic in India or a!road ordering or purchasing

&A3@AALI/4 tea will e>pect the tea to !e the tea culti:ated grown
and produced in the de6ned region of the &istrict of &ar'eeling and
to ha:e the special characteristics associated with such tea.
Since its esta!lishment the %oard has had sole control o:er the
growing and e>porting of &ar'eeling tea. It is that control which has
gi:en rise to the reputation en'o"ed !" &ar'eeling tea.
C% Reg(lations and the Licensing Program
In order to ensure that the reputation of &A3@AALI/4 tea is
maintained the %oard has registered the ?&A3@AALI/4 Logo? and
?&A3@AALI/48 0the word mar(1 as certi6cation mar(s and
geographical Indications in India. The 3egulations go:erning use of
the &A3@AALI/4 certi6cation mar(s guarantee that tea sold under
the mar(s is produced in the de6ned regions of the &istrict of
&ar'eeling and meets the criteria laid down !" the %oard. This is in
the interest of !oth the tea trade and the tea consumer. In addition
infringement or falsi6cation of the aforesaid registrations and
:iolation of the said regulations entail ci:il lia!ilit" under the Trade
7ar(s Act 1CCC ci:il and criminal lia!ilit" under the 4eographical
Indications of 4oods Act 1CCC and 5op"right Act 1C9L and criminal
lia!ilit" under the Indian +enal 5ode 1BID.
Further the %oard has put in place a licensing program to ensure the
suppl" chain integrit" for &A3@AALI/4 tea so that the tea lea:ing the
shores of India and claimed as &ar'eeling tea the world o:er is
genuine &A3@AALI/4 tea. A license to use the certi6cation mar(s
will !e granted without discrimination to an"one who applies
pro:ided the tea meets the re;uired criteria.
All licenses to use the 5erti6cation 7ar(s incorporate the
3egulations !" reference in order to put in place a s"stem that
meets the dual o!'ecti:e of ensuring that 0a1 tea sold as &A3@AALI/4
tea is genuine &A3@AALI/4 tea and 0!1 all sellers of genuine
&A3@AALI/4 tea are dul" licensed. This license program aMords the
%oard the necessar" information and control o:er the &ar'eeling tea
industr" to ensure that tea sold in worldwide under the 5erti6cation
7ar(s adheres to the standards for &A3@AALI/4 tea as set forth in
these 3egulations.

7ar(-s maintained !" the +roprietor-
-% DEINITION O :DAR*EELIN$ TEA;
2&A3@AALI/4 tea8 is tea that:
0a1 is culti:ated grown or produced in the tea gardens in the
geographic areas listed in the attached Schedule II and which
ha:e !een registered with the +roprietor in accordance with
the pro:isions of the 0Indian1 Tea Act 1C9* or an" rele:ant law
which ma" replace this ActN
0!1 has !een culti:ated grown or produced in one of the tea
gardens listed in Schedule III 0which ma" !e amended from
time to time !" the +roprietor1N
0c1 has !een processed and manufactured in a factor" located in
the geographic areas listed in the attached Schedule II as
aforesaidN and
0d1 when tested !" e>pert tea tasters on !ehalf of the +roprietor
is determined to ha:e the distincti:e and naturall" occurring
organoleptic characteristics of taste aroma and mouth feel
t"pical of tea culti:ated grown and produced in the region of
&ar'eeling India. Tea tasters are considered competent to
e:aluate these characteristics as a result of man" "ears of
practical training and e>perience in the assessment of tea and

their highl" re6ned sensor" perception in particular in relation
to the sensations of smell taste and mouth feel of diMerent
t"pes of tea.
,% O<NER#HIP O CERTIICATION !AR"#
The 5erti6cation 7ar(s are the a!solute propert" of the +roprietor
and shall not !e used !" an" person e>cept a Licensee. The power
of issuing and terminating a license is :ested in the +roprietor. The
decision to issue and-or cancel a license is dependent solel" on
conformance with the criteria set forth herein.
.% U#E O THE CERTIICATION !AR"#
..1. So as to ensure that the 5erti6cation 7ar(s are onl" used !" a
Licensee pursuant to the standards set forth in this section all
Licensees will !e re;uired to e>ecute a License attached as Schedule
IV go:erning their use of the 5erti6cation 7ar(s. In consideration of
the rights of Licensed use of the 5erti6cation 7ar(s granted to the
Licensees the +roprietor shall charge Licensees License fee in terms
of schedule attached as Schedule V. A:er" applicant for a License to
use the 5erti6cation 7ar(s underta(es that the tea in respect
whereof it will use the 5erti6cation 7ar(s conforms to these
3egulations and the terms of the License.
..2 The 5erti6cation 7ar(s shall !e applied to or used onl" in relation to
such tea that satis6es the characteristics of &A3@AALI/4 tea as set
forth in Section * of these 3egulations. Speci6call" e>cept as set
forth in Sections 9.* and 9.. !elow the 5erti6cation 7ar(s whether
used in con'unction or isolation shall alwa"s !e used to certif" that
1DDO of the tea deri:es from a single tea garden in &ar'eeling India
as such gardens are listed in Schedule III.
..* The 5erti6cation 7ar(s ma" !e used in relation to a !lend of
&A3@AALI/4 tea drawn from more than one tea garden in &ar'eeling
India as listed in Schedule III onl" if each tea constituting the !lend
has !een deri:ed from a single tea garden in &ar'eeling India as
such gardens are listed in Schedule III. In such case the pac(aging
for the tea must clearl" indicate that the tea is a !lend of
&A3@AALI/4 tea with prominent use of the term 2!lend8 or the term
2!lended.8

... The 5erti6cation 7ar(s ma" not !e used in relation to a mi>ture of
&A3@AALI/4 tea with teas of origin other than &ar'eeling India. If
&A3@AALI/4 tea is one of the components of a tea mi>ture that
includes some portion of tea that does not conform to the
characteristics de6ned in Section 2 the tea mi>ture must not !e
named or referred to as 2&A3@AALI/4 Tea8 and the word 2&ar'eeling8
ma" onl" !e used and must !e used on the pac(aging to accuratel"
set forth the proportion of &A3@AALI/4 tea in the tea mi>ture 0e.g.
in a list of ingredients1. In such cases the term 2&ar'eeling8 must
appear in a font design and si#e that does not misrepresent to the
consumer the content and origin of the mi>ture.
..9 The 5erti6cation 7ar(s shall !e applied to pac(aging for &A3@AALI/4
tea so that the" are clearl" :isi!le to purchasers - consumers. All
representations of the 5erti6cation 7ar(s shall !e accompanied !"
an indication that the" are certi6cation mar(s of the +roprietor.
Su!'ect to these 3egulations the Licensee shall decide the wa" in
which the 5erti6cation 7ar(s ma" !e represented including
speci6cations as to colour si#e and lettering of the 5erti6cation
7ar(s 0with the e>ception of the &A3@AALI/4 Logo which must
appear as presented in Schedule I hereto1 and what matter of an"
description ma" !e used in close association with the 5erti6cation
7ar( and in what relationship e>cept that the 5erti6cation 7ar(s
must appear in a diMerent si#e or font than the LicenseeJs
trademar(s and compan" name. In the e:ent of an" representation
of the 5erti6cation 7ar( !eing considered unsuita!le !" the
+roprietor the Licensee shall terminate such use.
..I Licensees ma" not use or see( to register the 5erti6cation 7ar(s as
a trademar( or as part of a trademar( or trade name for the goods
or ser:ices of the Licensee.
+% HO< THE #CHE!E <ILL &E POLICED = !ONITORED
9.1 To help ensure the integrit" of the suppl" chain of &A3@AALI/4 tea
and so that the +roprietor ma" monitor the ;uantit" of &A3@AALI/4
tea e>ported our of and sold in India and for the purpose of ensuring
that tea other than tea descri!ed in Section 2 of these 3egulations is
not !eing sold as &A3@AALI/4 tea for each calendar "ear all
Licensees shall su!mit to the +roprietor an annual report of
purchases sales and in:entor" of &A3@AALI/4 tea in the form of

Schedule VI 0the 2Annual 3eport81. The Annual 3eport for each
calendar "ear shall !e due to the +roprietor immediatel" on the
e>piration thereof.
9.2 So that the +roprietor ma" monitor the legitimac" and ;ualit" of
&A3@AALI/4 tea e>ported out of and sold in India at the +roprietorJs
re;uest Licensees shall su!mit to +roprietor a sample of tea sold !"
the Licensee and-or pac(aging used !" the Licensee. Licensees
shall su!mit an" samples re;uested pursuant to this paragraph to
+roprietor within two 021 wee(s of receipt of such re;uest from the
+roprietor.
9.* So that +roprietor ma" monitor the legitimac" and ;ualit" of
&A3@AALI/4 tea e>ported out of and sold in India +roprietor shall !e
entitled to inspect prior to and after the grant of a license during
!usiness hours and with reasona!le notice to applicant - Licensee
an" premises where &A3@AALI/4 tea is !eing processed
manufactured pac(ed or stored for the purpose of ensuring that the
standards laid down !" the +roprietor are !eing adhered to and
complied with. An" License will !e conditional on the +roprietor
!eing so satis6ed.
4% RE$I#TER O LICEN#EE#
I.1 The +roprietor shall (eep at its o$ces a 3egister wherein shall !e
entered the names addresses and trade descriptions of each
Licensee the date of his registration particulars concerning the
cancellation of an" pre:ious License and such other particulars as
ma" from time to time !e prescri!ed or deemed necessar" !"
+roprietor.
I.2 The 3egister will !e a:aila!le for inspection at &irector of Tea
+romotion Tea %oard 9th Floor 1. %.T.7. Sarani 0%ra!ourne 3oad1
+ G %o> /o 21L2 Pol(ata LDD DD1 India. An" person wishing to
inspect the 3egister shall gi:e reasona!le notice to the appropriate
o$ce of the +roprietor where such inspection is to ta(e place.
>% &REACH O LICEN#E

L.1 These 3egulations are incorporated into all licenses !" reference.
The +roprietor and-or Licensees ma" terminate a License without
pre'udice to their other remedies forthwith !" notice in writing to the
other if the other part" commits a !reach of the LicenseN pro:ided
that if the !reach is capa!le of remed" the notice shall onl" !e gi:en
if the part" in !reach shall not ha:e remedied the same within one
month of ha:ing !een gi:en notice in writing specif"ing the !reach
and re;uiring it to !e remedied.
L.2 If a Licensee uses the 5erti6cation 7ar(s in an unauthori#ed
misleading or decepti:e manner or in an" manner that defames or
causes disrepute to &A3@AALI/4 tea or if Licensee is con:icted of
an" oMense leading to the discredit of his reputation or good faith as
a trader or is ad'udicated !an(rupt or goes into li;uidation 0other
than :oluntar" li;uidation for the purpose of amalgamation or
reconstruction1 or has a recei:er appointed o:er his assets the
+roprietor ma" terminate the License.
L.* A>cept as otherwise set forth herein and speci6call" su!'ect to
Sections L.1 and L.2 the +roprietor ma" not terminate a License.
L.. If the +roprietor terminates a License pursuant to the pro:isions of
the License and these 3egulations the former Licensee ma" not use
the 5erti6cation 7ar(s for an" purpose. This pro:ision sur:i:es
termination of a License !" the +roprietor.
3% PROCEDURE OR RE#OL)IN$ DI#PUTE#
In the e:ent of the issue of a License !eing refused or a License
!eing terminated !" the +roprietor the person concerned shall
during the period of si>t" da"s immediatel" succeeding the date of
such refusal or termination ha:e the right to appeal against such
refusal or cancellation to the 3egistrar of Trade 7ar(s India
pro:ided that he at the same time gi:es notice of such appeal to the
+roprietor. The decision of the 3egistrar of Trade 7ar(s on such
appeal 0after su!mission to it of such written and-or oral
representations as the parties decide to ma(e or as it shall re;uire1
shall !e 6nal and !inding on the +roprietor and the person
concerned.

LicenseeJs license shall !e deemed to ha:e !een dul" gi:en if
forwarded through the post !" prepaid letter addressed to the
Licensee set forth in its license. An" notice gi:en !" an Licensee to

Su!'ect to the consent of the 3egistrar of Trade 7ar(s the +roprietor
ma" alter these 3egulations in accordance with the pro:isions of the
Trade 7ar(s Act 1CCC or an" other law for the time !eing in force in
India
22% DELE$ATION O PO<ER#
The +roprietor ma" authorise such persons as deemed appropriate
!" it to ma(e tests and inspections in pursuance of paragraph 9.* of
these 3egulations on its !ehalf. Such persons ma" include for
e>ample e>pert tea tasters pu!lic anal"sts or such other persons or
!odies deemed competent under the rele:ant food laws and
regulations in force in India from time to time. The +roprietor ma"
re;uire that an authorised user o!tain a certi6cate from such a
person in order to !e entitled to use the 5erti6cation 7ar(. For the
purpose onl" of ma(ing tests and inspections the +roprietor ma"
from time to time delegate its powers to a 7anagement 5ommittee
dul" appointed !" a 3esolution of the +roprietor and-or its %oard
who ma" !e appointed and selected to represent the +roprietor
su!'ect alwa"s to such conditions as the +roprietor ma" from time to
time impose.

2.1 Licensee shall displa" its )ser License /um!er on all pac(ets and

2.2 Licensee underta(es and guarantees that the use of the 5erti6cation
7ar(s shall !e su!'ect to the re;uirements set forth !" the +roprietor
in the 3egulations.
2.* Licensee shall not use the 5erti6cation 7ar(s in a manner which is
decepti:e or which could !ring them into disrepute.
2.* Licensee will refrain from using or registering the 5erti6cations
7ar(s as trademar(s or as part of trademar(s or trade name.
2.9 Licensee underta(es that it will not claim or cause permit suMer or
assist others to claim an" interest in the 5erti6cation 7ar(s

,% LICEN#E EE
Licensee agrees to pa" to the Licensor License fee as indicated in
Schedule V to these 3egulations.
.% DURATION
This Agreement shall come into force from the date hereof and shall
continue for as long as Licensee is in conformance with the terms of
this License.
+% &REACH
Licensee shall !e responsi!le for the conse;uences of an" !reach of
this Licence on its part and shall !e full" lia!le for an" damages that
ma" result from such !reach of this Licence.
4% TER!INATION
In the e:ent of the Licensor terminating the License pursuant to the
3egulations all items !earing or indicating the 5erti6cation 7ar(
and all !loc(s for ma(ing the same shall forthwith !e deli:ered to
the Licensor for the purpose of !eing destro"ed or else satisfactor"
proof 0in the opinion of the Licensor1 shall !e gi:en of this ha:ing
!een done. After the termination the Licensee shall not sell or
e>pose for sale an" goods !earing the 5erti6cation 7ar(s e>cept
with the consent of the Licensor.

LA<#UIT#
L.1 Licensees underta(e to !ring to the notice of the +roprietor all cases
of wrongful use or infringement of the 5erti6cation 7ar(s
registration or attempted registration of a trademar( identical with
or similar to the 5erti6cation 7ar(s. In the e:ent of the +roprietor
underta(ing an" opposition to or an" action to restrain or punish
such act or acts the Licensee agrees to co-operate full" and freel"
with the +roprietor and underta(es to do all such acts and things as
the +roprietor shall reasona!l" re;uire to assist the +roprietor in an"
legal proceedings in respect of infringement or use or registration of
the 5erti6cation 7ar(s or an" mar( similar thereto.
L.2 If the Licensee or an" of its customers is sued as a direct result of
use of the 5erti6cation 7ar(s the Licensee on ser:ice upon it of an"
notice of an" such claim shall forthwith gi:e the +roprietor written
notice thereof and of all particulars thereof and the +roprietor shall
ha:e the right to participate in the defense of such suit !" its own
counsel and at its own e>pense.
3% !I#CELLANEOU# PRO)I#ION#
B.1 If an" term paragraph or pro:ision of this Agreement shall !e held
to !e in:alid for an" reason whatsoe:er such in:alidit" shall not
aMect the :alidit" or operation of an" other term paragraph or
pro:ision thereof and such in:alid term paragraph or pro:ision shall
!e deemed to ha:e !een deleted from this Agreement.
B.2 This License shall !e go:erned !" and construed in accordance with
the laws of India.

In consideration of the rights of Licensed use of the 5erti6cation 7ar(-s

three "ears. A reconciliation shall occur at the end of each "ear at the
time of renewal of the License !ased on the actual ;uantities sold !" the
Licensee and calculated at the applica!le rate
The +roprietor has the power to re:ise the use fees upwards !" gi:ing si>
monthsT notice in writing to the Licensee pro:ided two "ears ha:e elapsed
following the eMecti:e date of this Agreement. The +roprietor will act fairl"
in determining the amount of use fees as it is a non pro6t-ma(ing !od".
