III. Members
3. DifFrancise between distributor and user
The practical difFrancise between distributor members and users is that distributor members
popularise our company services for earning incomes, while users only join the Swiss Halley
traveller community in order to employ our services.
The form of registration and the rights and obligations of our members are similar in both cases.
The company Code of Business Conduct, which upon registration has to be accepted by members
registered for employing our services as well, comprises the expectations in relation to distributor
members. Users and distributors are placed in the same career structure and matrix system
through an automatic system which allows for a follow up of who has purchased membership
packages on whose recommendation. Commissions are calculated and paid based on this.
4. Activity
Services offered by the Swiss Halley travel site may only be employed with a valid membership,
except for the following:
remaining Halley Holidays vouchers may be used in the same way with expired
membership
airline tickets may also be booked with expired membership
During membership validity, the growth of networks built by distributors may also continue upon
expiry of the membership, generating commissions for distributors with expired membership.
Therefore, commissions produced after expiry dates are quarantined and they are paid after
reactivation of ones membership (if they have reached the minimum 200 limit USD).
5. Weboffice
Upon registration, users are entitled to use our SSL secured Weboffice protected by a unique id and
password. Our services may be employed through this Weboffice. Moreover, this online tool also
helps our Distributors work. The two most important functions of the Weboffice are to offer a clear
picture of how the network structure develops and to provide income statistics. Furthermore, the
members travel card data and related balances may also be managed here and bank accounts
adequate for the payment of commissions may as well be requested through this system.

IV. Redistribution system
1. Career structure
Career build-up or structure shows who joined who within the network, who purchased
membership packages upon whose recommendation. Career structure not only shows who joined
who, but also the relationship between different positions. It is important to understand difFrancises
between members and their positions! (For details see How the Matrix Functions chapter.).
The relationship between positions related to different membership packages is the following:

In this case two options may be chosen upon registration:

Example: Your sponsor registered with a 4-year membership, then You purchased a Lifetime
membership which was joined to your sponsors second position. Then your friend purchased
a one-year membership from you which you joined to your fifth position. In this case, under the
career building menu item of the weboffice you shall see the following:

Who joins who always depends on the sponsor recommendation line a potential member arrived to
registration or who is named as sponsor and which position of this sponsor is indicated.
Then, the system automatically arranges positions both in career structures and matrices. Several

2. How the matrix functions
One of the bases for calculating commissions paid by Swiss Halley is represented by matrix tables. Tables
are filled by positions received upon purchasing membership packages. A different number of positions
are received for different membership packages. You may read more about this in the part on membership
packages. There is place for 15 positions in matrix tables and only the bottom 8 places may be empty in
every case, which means that 7 positions are already filled in advance see the table below. (The initial
period of starting this business represented an exception, since then the first table was built from zero.)

Empty places are filled with the positions of members who join members already present in a table who
have already purchased registration packages. As a result, more and more distributors will be working
on less and less positions during the filling of a matrix. While at the beginning seven people are working
on eight empty positions, at the end even fourteen people may be working on a remaining position.
(This is true if everyone is present with a position in the table, because if someone joins with several
positions, the fifteen positions are owned by less than fifteen people). Positions are arranged in matrices
from left to right according to the date of registration. (See the table below)

Eve and Abby have registered with a 1-year, Bell with a 4-year membership
Swiss Halley employs three matrices which are differentiated by colours! Details about this may be found in
the following chapters!

3. Small matrix
Small matrices are filled by the positions of most registration packages. (For details see the
Membership packages chapter.) If the bottom 8 positions of a small matrix have been filled, the
system pays the distributor from the highest position of the table 450 USD. He/she is repositioned
to one of the eight places of a big matrix. He/she is placed in the same matrix as his/her sponsor.

This phenomenon is called sponsor following. Its essence is that persons who purchase Swiss
Halley membership packages upon our recommendation will continuously follow us in
matrices, thus helping us to earn incomes. (Positions follow positions, therefore if for example
You have registered with a 4-year membership, your number two and three positions follow
your number one positions, while this number one position follows Your sponsor.) In a position,
below the user name of a position the system also indicates if there are already positions directly
registered to this position, i.e. front lines (see the figure below). The system shows maximum two
directly registered positions. This indication is kept until a given position receives matrix income.
Therefore, matrix indications are not lost upon matrix division (see later). Small matrices are
divided upon completion (matrix division), creating two new small matrices with 15 positions each,
of which 8-8 bottom positions are empty. The system fills the top 7-7 positions of these two new
matrices according to a given principle of organisation with the 14 positions of the divided matrix
(the top position (Peter) came to the bottom line of the big matrix, while Richard received a single
front indication).

Principle of organisation: New matrices are filled from top to bottom, from left to
right. In the divided matrices the system will search for
members with two front line indications within the matrix and it will reposition
them in the new matrix, going from top to bottom, left to right as well.

when there are no more members with two front lines, the system will search
for and reposition members with a single front line as described above
(5. Tia; 6. Eve; 7. Agnes),
and then those with zero front lines.

What happens is
If You purchase a membership package with more positions than the empty spaces
in your sponsors matrix? After division, remaining positions get to the bottom of the
matrix where the sponsor position was repositioned. (Example: there is an empty
place in the bottom line and You register with a 4-year membership.
When Your first position gets in, the matrix is immediately divided and its number two

and three positions are repositioned into the new matrix where the first position has
been placed during division.) (See Career structure)
If you complete the matrix before your sponsor?
From your top line, Your position follows the closest member present in the big matrix.
If someone joined You with a small matrix position after you are no longer present in
the matrix?
You have 36 hours to decide in whose matrix from those in the bottom line you place
the newly joined member. In view of efficient compression, after 36 hour the system
places these positions into the matrix of those from the bottom line
1. who from the point of view of structure are on the closest level to You
(front, then first, second, third depth)
2. who have the closest position to level 1
3. who have the most empty places in their matrices
4. date of joining (members who have joined later are preferred)
If your bottom line was present in a given small matrix with a front line, the second front line was
created with Your help and this brought it closer to earning matrix incomes. Certainly, registered
members join You in Career building, you have only placed them temporarily in the matrix of your
bottom line in order to help your business partners. (As soon as positions placed are paid in the
small matrix, they will follow You again in the big matrix.) Your business partners will receive their
commissions only if they register a direct member, considering that having two directly registered
positions per matrix payment is the criterion for paying commissions.
If meanwhile You are also repositioned in the big matrix?
The system analyses if you already have front lines in the big matrix and if you do, this
is immediately detected when you enter the matrix and you automatically receive the
single front indication.
If you purchase a Business package and
5. your sponsor is only present in the big matrix? In this case your positions that
get into the small matrix will be placed by your sponsor. If during this time
your sponsor does not place a given position, it will be placed according to an
automatic principle.
6. your sponsor is only present in the small matrix?
In this case your position is placed in the matrix of the member who is closest on
the top line, but Your position is not taken into consideration as front for him/her.

4. Big matrix
The principle according to which big matrices function is the same as the one described above with
the following exception:
Big matrices are either filled with the positions of members who have purchased
Business packages or with the positions of members who have received payments in
small matrices (as described above).
If someone is paid in the big matrix, his/her position is automatically restarted in the
first empty bottom position of the big matrix where his/her sponsor may also be found.
In positions that fill the matrix, under the user name of owners of these positions, the
system also indicates if they already have directly registered members or if they have
sponsorees who have also got across the small matrix. This indication is maintained
until these positions are compensated with big matrix incomes.
In big matrices, every third payment represents an automatic start in pool matrices.
The system analyses the number of payments as per member not per position.
Example:
If 3 of Your positions are paid in the big matrix, your restart in the pool matrix is covered
by the commission for completing the big matrix. This position is also restarted
in the big matrix.
5. Pool
You can get into the Pool matrix
by purchasing Pool membership
or if you receive your third payment in the big matrix which represents automatic
restart in the Pool matrix (its costs are covered by the commission for the third big
matrix).
The principle according to which Pool matrices function is the same as that of big matrices except
that paid Pool positions are not restarted.

V. Bonuses
1. Matrix
Small matrix
Incomes from small matrices represent the foundation of the Swiss Halley payment
system. First, membership packages fill small matrices. Therefore, both business builders
and members will get into a small matrix by all means.
Our company rewards the filling of a matrix with 450 USD!
Advance payment: if You are on top of a matrix and four of the bottom eight places have
been filled, You are entitled to 200 USD advance matrix income.
Big matrix
Swiss Halley rewards the filling of big matrices with 6000 USD. 10% of Your matrix
payment is automatically transferred to your Travel balance and you can use it for booking
through the system any time. Every third payment in a big matrix represents an automatic
restart in the Pool matrix.
Advance payment: if You are on top of a matrix and four of the bottom eight places have
been filled, You are entitled to 2000 USD advance matrix income
Pool
Pool membership may only be purchased by members who already possess a Swiss
Halley membership. The quantity of Pool membership packages that may be purchased is
unlimited. Members purchasing Pool membership receive a luxury trip and a position in the
Pool.
Our company rewards the filling of a Pool matrix with 20.000 USD, 10% of which is
automatically transferred to your Travel balance and you can use it for travel within the
system any time.
Advance payment: there is no advance payment in this case.

2. Direct Bonus
Direct bonuses may represent one of the most important income sources for new distributors.
Swiss Halley will immediately credit 10% of the net value of membership packages on the sponsors
internal commission account. This bonus aids starters considering that it offers an important
income earning possibility besides incomes from small matrices.
3. Depth Bonus
Depth bonuses represent a profitable
income earning possibility especially in
the middle and long term. However, they
are easily accessible to anyone as only
3 direct registrations are enough to earn
3% of ones net group turnover. A certain
percent of the net turnover from group
membership packages may be earned by
means of depth bonuses.
Percentages depend on career level and
they are presented in detail in the table
below. As for the group turnover of
a distributor who has reached career level
in your business, You are entitled to the
percentage difFrancise between the two
of you if this is bigger than zero.

4. Matching Bonus
Matching bonuses represent incentives
especially in the middle and long term.
The more commissions distributed in your
business, the more matching bonuses you
receive. Thus, you are financially motivated to
help more of your business partners to earn
incomes. Your are entitled to 1% of incomes
distributed within your group and direct and
depth bonuses up to maximum ten depths,
depending on career level. Newly registered
members receive a matching bonus up to
two depths as of right, which enables them to
supplement their incomes in the short term
as well. As for this bonus, it does not matter if
your business partner reaches the same or a
higher career level than you, You will preserve
your entitlement to 1% of his/her income.
5. Travel Bonuses
Every endeavour of Swiss Halley is directed
towards the creation of a service that may
be widely distributed and also employed
in the long term. The employment of
this service represents the foundation of
Travel bonuses, considering that they are
calculated based on amounts spent on this
service (hotel room bookings). This type of
bonus represents a stable and 100% passive
income as if neither we nor our business
partners strive to increase the network, we
receive our own share of the consumption
of already affiliated members for all of our
lives.

6. Owner option

Swiss Halley rewards the first 30 business builders who become Diamond Leaders with
1% of the company shares each. After reaching Diamond level, 1% of the company shares
will be transcribed to the leaders name and thus he/she will be entitled to 1% of annual
dividends.

The first and quickest Emerald business builder may purchase 10% of the company shares
at their current market price and thus he/she will be entitled to vote in company meetings
and to 10% of annual dividends.

VII. How you receive your commission
Commissions are paid on a monthly basis through bank transfer. Swiss Halley transfers distributor
commissions exclusively to current accounts requested through its own system and opened at Loyal
Bank LTD. Commissions are allotted between the first and the second day of each month. Swiss Halley
transfers only commissions of 200 USD or higher to bank accounts. If upon closing a given month a
distributors quarantined commission does not amount to 200 USD, payment is made during the month
when this sum is reached. Commissions produced until the first day of a payment month minus ten days
are released from quarantine up to closing. This is due to the fact that according to law registrations may
be revoked within ten days of registration. Thus, it is impossible to have cases when closing has taken
place after the minus tenth day and the company pays unauthorised commissions to a distributor for
registrations that have been revoked.
Account opening details and conditions may be consulted under the Loyal Bank menu item of our
weboffice.
Matrix income payments in advance are not automatic. On the 10th day before closing, the system will
ask You if you request it. You have 36 hours to decide!
