Dassault Systmes SolidWorks Corporation License and Subscription Service Agreement

The terms and conditions that follow set forth a legal agreement (Agreement) between you (either an individual or an
entity), the end user, and Dassault Systmes Solidor!s "or#oration, a Delaware cor#oration with its #rinci#al #lace of
business at $%& yman Street, altham, 'assachusetts ()*&$ +SA (,DS Solidor!s,), relating to the com#uter
software !nown as Solidor!s

and certain other software licensed by DS Solidor!s (including the Solidor!s

Simulation line of analysis #roducts, Solidor!s

"om#oser, and the Solidor!s line of #roduct data management

#roducts in all countries) if a##licable (the ,Software,)- The term ,Software, includes and these terms and conditions also
a##ly to (i) any u#dates or u#grades to the Software that you may receive from time to time under a subscri#tion service
or other su##ort arrangement, (ii) any add.in modules to the Solidor!s software you may order and install from time to
time, and (iii) software from third #arties such as the Adobe

/D0 library that is incor#orated into the Solidor!s

software- 1ou may not load or use the Software in any com#uter or co#y it without a license from DS Solidor!s- DS
Solidor!s hereby offers you a non.e2clusive license on the terms set out in this Agreement- 1ou should carefully read
these terms and conditions 340564 o#ening the case that contains the Software or installing and using the Software-
5#ening the case containing the Software or installing and using the Software will signify your agreement to be bound by
these terms and conditions- 7f you do not agree to these terms and conditions, #rom#tly return the case containing the
Software and the accom#anying items (including written materials) for a refund- This is a license agreement and not an
agreement for sale-
$-A- 8rant of 9icense- DS Solidor!s grants to you a none2clusive, nontransferable license to use the Software and the
#rinted and:or electronic user documentation (the ,Documentation,) accom#anying the Software in accordance with this
Agreement- 7f you have #aid the license fee for a single.user license, this Agreement #ermits you to install and use one ($)
co#y of the Software on any single com#uter at any time (i.e., if you change com#uters, you must de.install the Software
from the old com#uter before installing it on the new com#uter) in the country in which you have your #rinci#al #lace of
business or, if one of your branches has #urchased the license from your reseller, in which this branch is located and,
sub;ect to a##licable law or regulation, always provided that you have #urchased the license from a DS Solidor!s
reseller located in the country in which it will be used- This license may not be transferred to another country- 7f you have
a networ! license version of the Software (an S<9), then at any time you may have as many co#ies of the Software in
use in the country in which it is licensed as you have licenses (see Section $-A-b below)- The Software is ,in use, on a
com#uter when it is loaded into the tem#orary memory (i-e- 6A') or when a user is logged in- 7f the number of
com#uters on which the Software is installed or the #otential number of users of the Software e2ceeds the number of
licenses you have #urchased, then you must have an S<9 version of the Software installed to assure that the number of
concurrent users of the Software does not e2ceed the number of licenses #urchased- 9icense suites consisting of bundles
of se#arate modules (such as Solidor!s

/rofessional) cannot float se#arately from each other (for e2am#le, where there
is one Solidor!s /rofessional license, Toolbo2 cannot be floated to one com#uter while /hoto=iew >?( is floated to a
different com#uter)- At the time of registration (see Article @ below), you must inform us of the ma2imum number of
#otential users of the licenses you #urchase- e recommend you also inform us of the names of all #otential users so that
we can notify them of u#coming u#dates and other #ertinent information- 7f the Software is a #roduct other than
Solidor!s "om#oser, and is #ermanently installed on the hard dis! or other storage device of a com#uter (other than a
networ! server) and one #erson uses that com#uter more than A(B of the time it is in use, then that #erson may also use
the Software on a #ortable or home com#uter while the original co#y is not in use- (Due to e2#ort com#liance issues,
however, any #erson in the Asia./acific 6egion is restricted to using the Software on only one C$D com#uter-) 1ou will
!ee# accurate and u#.to.date records of the numbers and locations of all co#ies of the SoftwareE will su#ervise and
control the use of the Software in accordance with the terms of this AgreementE and will #rovide co#ies of such records to
DS Solidor!s u#on reasonable reFuest-
7f you have #aid for the S<9 version of the Software, the following additional terms a##ly to your licenseG
a- The S<9 version of the Software must be installed on a networ! server with an embedded software security
mechanism that will #ermit only the number of licenses you have #urchased to be in use at one time- Additional licenses
can be added to the networ! license from time to time as such licenses are #urchased-
b- The networ! may include S<9s used in different countries as long as the res#ective S<9s are licensed for the country
in which they are used, i-e-, the reFuired number of S<9s to be used in a country has to be acFuired from a DS
Solidor!s reseller in such country- 0or e2am#le, S<9s managed from and installed on a server in 8ermany may be used
by one #erson in the +nited Hingdom and by one #erson in 0rance as long as one S<9 was #urchased in the +nited
Hingdom and the other S<9 was #urchased in 0rance- Iowever, if the server on which a S<9 is installed is located in a
country different from the country for which the S<9 has been licensed, you should inform your DS Solidor!s reseller
about this at the time of the order so that the S<9s can be administered #ro#erly-
c- 7n addition, e2ce#t for licenses for the 4nter#rise /D', the networ! on which the S<9 version is installed may only
serve licenses to client machines of the same legal entity or grou# located in the same global territory as the server- (0or
this #ur#ose, DS Solidor!s considers there to be three global territoriesG the estern Iemis#here, 4uro#e:'id.
4ast:Africa, and the rest of Asia:Australia)- 0or e2am#le, all licenses used on a server located in the estern Iemis#here
must be licensed for countries in the estern Iemis#here- 6egardless of server location, you must always continue to
com#ly with +-S- and +-H- e2#ort control laws-

documents !or the purpose o! printing" viewing and editing the document# $! the !ont so!tware you are

so!tware !or the additional purpose o! editing your electronic documents# *o other embedding rights are
implied or permitted under this license#
$-3- Additional License Terms for eDrawings

Professional- eDrawings /rofessional software is a

collaboration tool- eDrawings /rofessional thus enables you, and DS Solidor!s grants you a
license, to ma!e co#ies of a #ortion of eDrawings /rofessional along with model files you have
created and deliver such files to third #arties with whom you collaborate in order to enable them,
among other things, to view, mar!.u# and measure your models-
$-"- Additional License Terms for Workgroup PDM- 4ach license for Solidor!s or!grou#
/D' or or!grou# /D' "ontributor (a client license) includes the right to install the or!grou#
/D' vault functionality on an unlimited number of servers, as you determine- A se#arate or!grou#
/D' =iewer license is reFuired for each or!grou# /D' vault you wish to enable with the
or!grou# /D' =iewer a##lication- NOTE: 7n contrast, 4nter#rise /D' licenses do not permit
the installation of the 4nter#rise /D' software on additional servers-
$-D- Additional License Terms for Enterprise PDM- (a) DS Solidor!s licenses the 4nter#rise

notwithstanding the #rovisions of Section $ above, 5racle or its licensor(s) retain all ownershi# and
intellectual #ro#erty rights to the 5racle /rograms and are each a third.#arty beneficiary of this
Agreement- The 5racle /rograms are sub;ect to a restricted license and can be used only with their
associated a##lication #ac!age and cannot be modified by you- Some of the 5racle /rograms may
contain source code that 5racle may #rovide as #art of its standard shi#ment of such #rograms, and
such code shall be governed by the terms of this Agreement- (c) Third.#arty technology that may be
a##ro#riate or necessary for use with some of the 5racle /rograms is s#ecified in the a##lication
#rogram documentation or as otherwise notified by DS Solidor!s, and such technology is licensed
to you only for use with the a##lication #ac!age under the terms of the third.#arty license agreement

not under the terms of this Agreement- (d)1ou agree (i) to allow DS Solidor!s to audit your use of
the 5racle /rograms, (ii) to #rovide DS Solidor!s with reasonable assistance and access to
information in the course of such audit, and (iii) to allow DS Solidor!s to re#ort the results of such
audit to 5racle or to assign to 5racle DS Solidor!sL right to conduct the audit (without any
obligation or liability on 5racle to #ay your or DS Solidor!sL costs incurred as a result of the audit)-
(e) 1ou ac!nowledge that 4nter#rise /D' and "onisio each contains software and technical data that
are sub;ect to the e2#ort control laws of the +nited States or the +nited Hingdom, and you agree not
to directly or indirectly e2#ort, re.e2#ort 4nter#rise /D' or "onisio, i-e-, move 4nter#rise /D' or
"onisio from the country in which you first licensed it, without the a##ro#riate +nited States or
foreign government licenses and the written a##roval of DS Solidor!s and its licensors-
$-4- Securit Mec!anisms- Dassault Systmes and its affiliated com#anies ta!e all legal ste#s to
eliminate #iracy of their software #roducts- 7n this conte2t, the Software may include a security
mechanism that can detect the installation or use of illegal co#ies of the Software, and collect and
transmit data about those illegal co#ies- Data collected will not include any customer data created
with the Software- 3y using the Software, you consent to such detection and collection of data, as
well as its transmission and use if an illegal co#y is detected- DS Solidor!s also reserves the right
to use a hardware loc! device, license administration software, and:or a license authoriMation !ey to
control access to the Software- 1ou may not ta!e any ste#s to avoid or defeat the #ur#ose of any such
measures- +se of any Software without any reFuired loc! device or authoriMation !ey #rovided by DS
Solidor!s is #rohibited-
,## Internet Tools and Services# rom time to time" a license o! or basic subscription service !or So!tware
may include integration with and access to certain $nternet tools and services developed by DS SolidWorks# A
base level o! usage may be available at no e-tra charge !or each license with additional usage available at an
additional charge# Please see a description o! any $nternet tools with the So!tware or on our website at
www#solidworks#com!or additional details# .our use o! $nternet tools and services is also sub/ect to the 0erms
o! 1se applicable to such tools and services# 0hese are !ound at

additional charge" these tools and services are gratuitous and may be modi!ied and)or withdrawn at any time#

will retain all co#yright, trademar!, trade secret and other #ro#rietary rights in and to the Software

#ur#oses and within the license restrictions of Article $- 1ou may not remove from the Software or
Documentation any co#yright or other #ro#rietary rights notice or any disclaimer, and you shall
re#roduce on all co#ies of the Software made in accordance with this Agreement, all such notices and
disclaimers-
>- Ot!er #estrictions on %se- This Agreement is your #roof of license to e2ercise the rights granted
herein and must be retained by you- 5ther than as #ermitted under the license grant in Article $-3-,
you may not use any #ortion of the Software se#arately from or inde#endently of the Software (for
e2am#le, the SK9 software can only be used with the rest of the 4nter#rise /D' software) and other
than for your normal business #ur#oses and you may not #rovide access to or use of the Software to
any third #artyE conseFuently you may not sell, license, sublicense, transfer, assign, lease or rent
(including via a timeshare arrangement) the Software or the license granted by this Agreement- 1ou
may not install or use the Software over the 7nternet, including, without limitation, use in connection
with a eb hosting or similar service, or ma!e the Software available to third #arties via the 7nternet
on your com#uter system or otherwise- 1ou may not modify or ma!e wor!s derivative of the
Software or ma!e com#ilations or collective wor!s that include the Software, and you may not
analyMe for #ur#oses com#etitive to DS Solidor!s, reverse.engineer, decom#ile, disassemble or
otherwise attem#t to discover the source code of the Software, e2ce#t as #ermitted under a##licable
law, as it contains trade secrets (such as the SoftwareLs structure, organiMation and code) of DS
Solidor!s and its licensors-
*- Su&scription Ser'ice- 7f you #urchase subscri#tion service from your reseller for the Software
you have licensed hereunder by #aying the fee therefor, your reseller will #rovide you for such co#yG
)* hour by % day:wee! on.line web access to ,down.load, the latest u#dates to the SoftwareE all
ma;or u#grades for the Software released during the subscri#tion #eriodE and tele#hone su##ort
services- 0rom time to time, DS Solidor!s may re.distribute 'icrosoft software com#onents as #art
of an u#date to the Software- 1ou are eligible for such 'icrosoft com#onents and warrant that you
will install them only if you #ossess a validly licensed co#y of the 'icrosoft #roducts to which they
relate- The term of this service runs for one ($) year- 7t may be renewed from year to year thereafter
by #aying the a##ro#riate renewal fee- Software that is delivered as an u#grade or u#date to a
#revious version of the licensed Software must re#lace the #revious version N no additional license is
grantedE you may install only such number of u#dates as eFual the number of subscri#tion service
fees for which you have #aid-
2# Privacy Policy# 0o obtain the So!tware" you may need to provide DS SolidWorks with certain in!ormation
about yoursel!" including but not limited to your name and email address# DS SolidWorks may also 3uery your
computer during the installation process or application runtime to determine in!ormation including but not
limited to whether you have SolidWorks or other Dassault Systmes products installed and the characteristics
o! the computer on which you will operate the So!tware" such as the video controller or operating system# 0his
computer in!ormation is not correlated with your personal identi!ication but is reviewed only in the aggregate
and is used to comply with third4party licenses and to better understand the user base to improve the
So!tware# As a condition o! downloading and using the So!tware" you also agree to the terms o! the DS
SolidWorks privacy policy at http())www#solidworks#com)sw)privacypolicy#htm" which may be updated !rom time
to time without notice# $n!ormation collected by DS SolidWorks in connection with your registration !or the
So!tware may be stored and processed in the 1nited States or any other country in which DS SolidWorks or its
agents maintain !acilities# Accordingly" by using the So!tware" you consent to the trans!er o! such in!ormation
outside o! your country#
?- Term- The license granted herein will continue until it is terminated in accordance with this Article
?- DS Solidor!s may terminate the license granted herein immediately u#on written notice to you
(i) for ;ustified cause, including, without limitation, breach of any #rovision of Article $, ) or > of this
Agreement, or (ii) if you breach any #rovision of this Agreement and fail to cure such breach within
fifteen ($&) days of notice thereof- +#on the termination of the license, you will #rom#tly return to
DS Solidor!s or destroy all co#ies of the Software and Documentation covered by the license as
instructed by DS Solidor!s- The #rovisions of Articles ), >, ?, A, $(, $$ and $) of this Agreement
shall survive any termination of this Agreement-
%- #esponsi&ilit for Selection and %se of Software- 1ou are res#onsible for the su#ervision,
management and control of the use of the Software, and out#ut of the Software, including, but not
limited toG ($) selection of the Software to achieve your intended resultsE ()) determining the
a##ro#riate uses of the Software and the out#ut of the Software in your businessE (>) establishing
adeFuate inde#endent #rocedures for testing the accuracy of the Software and any out#utE and (*)
establishing adeFuate bac!u# to #revent the loss of data in the event of a Software malfunction- T!e
Software is a tool t!at is intended to &e used onl & trained professionals( )t is not to &e a
su&stitute for professional *udgment or independent testing of p!sical prototpes for product
stress+ safet and utilit, ou are solel responsi&le for an results o&tained from using t!e
Software( Neit!er t!e Software nor an of its components are intended for use in t!e design or
operation of nuclear facilities+ life support sstems+ aircraft or ot!er acti'ities in w!ic! t!e
failure of t!e Software or suc! components+ or &ot!+ could lead to deat!+ personal in*ur+ or

materials and will perform su&stantiall in accordance wit! t!e Documentation for a period of
ninet /012 das from t!e date of receipt & ou( DS SolidWorks also warrants t!at an ser'ices
it pro'ides from time to time will &e performed in a workmanlike manner in accordance wit!
reasona&le commercial practice( DS SolidWorks does not warrant t!at t!e Software or ser'ice
will meet our re3uirements or t!at t!e operation of t!e Software will &e uninterrupted or
error free or t!at an internet tool or ser'ice will &e completel secure( DS SolidWorks4 entire
lia&ilit and our sole remed under t!is warrant s!all &e to use reasona&le efforts to repair or
replace t!e nonconforming media or Software or re5perform t!e ser'ice( )f suc! effort fails+ DS
SolidWorks or DS SolidWorks4 distri&utor or reseller s!all /i2 refund t!e price ou paid for t!e
Software upon return of t!e nonconforming Software and a cop of our receipt or t!e price
ou paid for t!e ser'ice+ as appropriate+ or /ii2 pro'ide suc! ot!er remed as ma &e re3uired

or /i'2 failure & ou to incorporate and use all updates to t!e Software a'aila&le from DS

t!e warranties of merc!anta&ilit+ fitness for a particular purpose and non5infringement( )n no

d( Limitations on Lia&ilit( 8ou recogni9e t!at t!e price paid for t!e license rig!ts !erein ma
&e su&stantiall disproportionate to t!e 'alue of t!e products to &e designed+ stored+ managed
or distri&uted in con*unction wit! t!e Software( :or t!e e-press purpose of limiting t!e lia&ilit
of DS SolidWorks and its licensors to an e-tent w!ic! is reasona&l proportionate to t!e
commercial 'alue of t!is transaction+ ou agree to t!e following limitations on DS SolidWorks;
and its licensors; lia&ilit( E-cept as re3uired under local law+ t!e lia&ilit of DS SolidWorks
and its licensors+ w!et!er in contract+ tort /including negligence2 or ot!erwise+ arising out of or
in connection wit! t!e Software or Documentation furnis!ed !ereunder and an ser'ice
supplied from time to time s!all not e-ceed t!e license fee ou paid for t!e Software or an fee
ou paid for t!e ser'ice( )n no e'ent s!all DS SolidWorks or its licensors &e lia&le for direct+
special+ indirect+ incidental+ puniti'e or conse3uential damages /including+ wit!out limitation+
damages resulting from loss of use+ loss of data+ loss of profits+ loss of goodwill or loss of
&usiness2 arising out of or in connection wit! t!e use of or ina&ilit to use t!e Software or
Documentation furnis!ed !ereunder and an ser'ice supplied from time to time+ e'en if DS
SolidWorks or its licensors !a'e &een ad'ised of t!e possi&ilit of suc! damages( <owe'er+
certain of t!e a&o'e limitations ma not appl in some *urisdictions(
@- S!utdown :eature- 1ou ac!nowledge and agree that the Software contains an automatic
shutdown feature (the ,Shutdown 0eature,) which if activated will render the Software ino#erable-
The Shutdown 0eature will automatically activate thirty (>() days after the Software is installed
unless an access code that overrides the Shutdown 0eature (,=alidated 9icense,) is entered- To obtain
your =alidated 9icense, you must register with DS Solidor!s by #roviding DS Solidor!s
electronically the information reFuested in the installation #rocess- +#on recei#t of the registration
information, DS Solidor!s will issue you a =alidated 9icense-
$(- E-port #ules- 1ou ac!nowledge that the Software (including 4nter#rise /D' and "onisio, as
a##licable) and the Documentation contain software and technical data that are sub;ect to the e2#ort
control laws of the +nited States or the +nited Hingdom- 7n addition, you re#resent and warrant that
you are not a citiMen of or located within an embargoed or otherwise restricted nation (including,
without limitation, "uba, 7ran, 9ibya, <orth Horea, Sudan and Syria) and that you are not otherwise
#rohibited under the e2#ort control laws from receiving the Software- All rights to use the Software
are granted on condition that such rights are forfeited if you fail to com#ly with the terms of this
Agreement-
$$- $ompliance wit! Laws and )ndemnit- 1ou agree to com#ly with all local laws and regulations
regarding the download, installation and:or use of the Software, the Documentation or both- 1ou
agree to hold harmless and indemnify DS Solidor!s and its subsidiaries, affiliates, officers and
em#loyees from and against any and all claims, suits or actions arising from or in any way related to
your use of the Software and:or Documentation or your violation of this Agreement-
$)- =eneral Pro'isions- This Agreement is the com#lete and e2clusive statement of your agreement
with DS Solidor!s relating to the Software and subscri#tion service and su#ersedes any other
agreement, oral or written, or any other communications between you and DS Solidor!s relating to
the Software and subscri#tion serviceE #rovided, however, that this Agreement shall not su#ersede the
terms of any signed agreement between you and DS Solidor!s relating to the Software and
subscri#tion service- This Agreement shall be governed by and construed and enforced in accordance
with the substantive laws of the "ommonwealth of 'assachusetts without regard to the +nited
<ations "onvention on "ontracts for the 7nternational Sale of 8oods and will be deemed a contract
under seal- The 4nglish language version of this Agreement shall be the authoriMed te2t for all
#ur#oses, des#ite translations or inter#retations of this Agreement into other languages- 7f for any
reason a court of com#etent ;urisdiction finds any #rovision of this Agreement, or a #ortion thereof,
to be unenforceable, that #rovision shall be enforced to the ma2imum e2tent #ermissible and the
remainder of this Agreement shall remain in full force and effect-
$>- %(S( =o'ernment #estricted #ig!ts- The Software is a commercial item as that term is
defined at *A "-0-6- )-$($ (5"T $@@&), consisting of commercial com#uter software and
commercial software documentation as such terms are used in *A "-0-6- $)-)$) (S4/T $@@&) and
is #rovided to the +-S- 8overnment (a) for acFuisition by or on behalf of civilian agencies, consistent
with the #olicy set forth in *A "-0-6- $)-)$)E or (b) for acFuisition by or on behalf of units of the
de#artment of Defense, consistent with the #olicies set forth in *A "-0-6- ))%-%)().$ (O+< $@@&) and
))%-%)().* (O+< $@@&)-
7n the event that you receive a reFuest from any agency of the +-S- government to #rovide Software
with rights beyond those set forth above, you will notify DS Solidor!s of the sco#e of the reFuest
and DS Solidor!s will have five (&) business days to, in its sole discretion, acce#t or re;ect such
