Dear Gyan Prakash Shukla,,

We are pleased to confirm your appointment as Engineer in our organization.


Your appointment will be subject to following terms and conditions.

1. SALARY & ALLOWANCE: You shall be entitled to a CTC of Rs. 144,000/- ( 108,000/- Salary +
36,000/- DA) per annum inclusive of DA (As per Company policy) whenever you will be out of Vidisha M.P.
& Indore. Accommodation & traveling expenses will be reimbursed as per actual subjected to
supporting documents whenever you will be out of Vidisha M.P. & Indore. You would have to agree on
all the necessary deductions from your gross salary as per government rules & regulations for those
deductions, which come under Company’s liability of payment.
2. REPORTING: You shall join us on or before 21-May-2008 at 10.00 A.M. in Indore and would report to
Mr. Amit Dubey
3. PROBATION: You will be on probation for a period of six months. Your confirmation will be subject to
satisfactory performance during the probationary period.
4. TERMINATION: Either party can terminate this agreement by giving 30 days written notice.
5. TRANSFER: You may be liable to be transferred from one department to another, one section to another,
one branch to another and one establishment to another or to any of its associate companies.
6. FULL TIME EMPLOYMENT: This is a full time employment, and therefore you will not undertake any
direct/Indirect business with or without remuneration on a whole time or part time basis in any trade
business, occupation, and employment.
7. SECRECY: During your engagement with the company or thereafter, you shall observe secrecy regarding
the affairs of the company and keep confidential all information or knowledge obtained by you regarding
the company’s affairs and its activities.

8. VIOLATION OF RULES: In case of violation of item / items of employment or any information in
personal data furnished by you being found wrong. You will be liable to instant dismissal without any
notice or compensation.
9. OWNERSHIP RIGHTS: Any improvement in processes or products or any new inventions regarding the
same that may be made by you shall become the exclusive property of the company and you shall do
necessary formalities to vest the ownership rights to the company.
10. COMPANY’S ASSETS: You shall undertake and agree that all the company’s property, assets, articles,
and effects or any nature whatsoever which shall come into your possession, in the course of your
engagement or otherwise, shall be the absolute property of the company. You shall keep such property or
assets in good condition and order and when demand, at any time during your engagement or at the
cessation thereof for any cause whatsoever, deliver the same to the company. In the event of your failure to
account for such property or assets aforesaid to the satisfaction of the company, the company shall be
entitled to deduct from your dues the value of all such properties, or assets as well as to take such other
action or proceeding in this regard as the company may deem proper.
11. RESIDENTIAL ADDRESS: Your address as given in application form will be deemed to be correct for
the purpose of sending any communication to you. In case of any change of address, you are required to
furnish to the management the same in writing within a week time of such change.
12. ADDITIONAL DUTIES: In addition to your normal duties, you may be required to do any work for
which you are capable of doing and which is necessary to be done by you. The management will be the best
judge in this respect.
13. RETIREMENT: You will retire from the services of the company on attaining the age of 55 years.
However management reserves the right to give you an extension maximum up to 58 years depending upon
your capacity to handle the work, physically and mentally.
14. MEDICAL FITNESS: This appointment and its continuance is subject to your being found & remaining
in sound physical and mental health. As and when required you shall report for any medical examination to
a qualified doctor as recommended/appointed by the company.

15. TRAINING GUIDELINES: You would agree to all the training sessions organized by the company. You
will also execute employment agreement, Surety Bond towards the expenditure incurred by the company on
the training and such other documents as required under the rules of the Company. In addition, you will
undertake to serve the Company for a period of two years upon return to India or otherwise on successful
completion of the training.
16. COMPANY ACCOMODATION: In case the company provides you residential accommodation, you will
be responsible for its proper maintenance. In case of termination of your employment or otherwise, you
shall immediately vacate the accommodation along with any furniture and fixture if any provided in that
accommodation.
