MASTER (Client) AGREEMENT FOR CONSULTING SERVICES

THIS MASTER CLIENT AGREEMENT FOR CONSULTING SERVICES (“Agreement”), effective

___________________, by and between _________________ with an office located at ________________ (“Client”)
and X-pert Integrated Innovations, with its principal offices located at C-2, 3rd Floor Sector 56 Noida. 201301 (“X-pert
Integrated Innovations”) and is specifically designed for providing services to Client’s (“End User”).

Background: X-pert Integrated Innovations is one of the fastest growing HR Firms with focus on Premium Placement
Services. Our Endeavor is to provide simple, strong, fast, dynamic and responsive experience to our valued customers in
their quest for searching the best manpower available. Our well-trained staff combines speed and experience to find the
best possible talent, in the most demanding niche skill areas too.
We are pleased to introduce ourselves as a leading consultancy firm in Delhi / NCR Region.

Intending to be legally bound, X-pert Integrated Innovations and Client agree as follows:

1. BASIC PROVISIONS

1.1 This Agreement contains the entire understanding between the parties with respect to the subject matter hereof and
supersedes all prior proposals, understandings and agreements pertaining to the subject matter hereof. This Agreement
may not be modified nor amended, except in a writing duly signed by an authorized representative of each party.

1.2 The service charges for the recruitment of any candidate for higher, middle and lower/entry levels are 15%, 12.5%
and 8.33% respectively.
1.3 Clients are expected to communicate their manpower indents, which should be given with details of job title/job
description, job specifications, key competencies, age profile and CTC.

2. ENGAGEMENT

2.1 Work Product includes any Resume or profile sent by us to the client.
2.2 The Client hereby engages the Consultant on non-exclusive basis with effect from ___________________, to
provide the Services on the terms and conditions contained herein.

3. CONFIDENTIALITY

“Confidential Information” means any non-public information, whether or not related to the Purpose, that the Disclosing
Party [i.e., the party disclosing the said information] may from time to time provide to the Receiving Party [i.e. the party
receiving Confidential Information from the other party under this Agreement], in writing, through electronic
transmission, through magnetic storage or other media, or through presentation or demonstration, and that Disclosing
Party designates expressly as being confidential.

4. SERVICES TO BE RENDERED BY THE CONSULTANT

4.1 Consultant shall be responsible for short-listing of qualified candidates according to their trade qualifications and
experience in conformity with the Client’s requirements. Apart from this, consultant is also required to gather
information on the candidate as mentioned in Schedule-1 of this agreement. This information will form a covering note
for each and every short listed resume that will be sent to the client.
4.2 Consultant shall notify the Client of such short listed qualified candidates who are ready for final interview and
selection.
4.3 Consultant shall brief the candidates about the nature of business of the Client; nature of job etc and such other
 details as may be relevant with regard to the job requirements placed by the Client before referring the candidate (s) for
selection to the Client.

4.4 Consultant shall neither use client’s name without prior written approval of the Client nor place advertisements
regarding manpower recruitment on behalf of the Client in the print or electronic media or in any other manner
whatsoever.
4.5 Consultant shall not make any false or unauthorized representations to the prospective candidates for or on behalf
of the Client.

5. CONDITIONS APPLICABLE TO THE CLIENT

5.1 The Client shall furnish detailed job description of the proposed vacancy (i.e.) including number of employees
required and their categories, salary and other service conditions etc.
5.2 The Client shall have the final authority on the selection of candidate(s) for employment as per its requirements
and standards.
5.3 The Client shall have the final authority for approval of an advertisement relating to its manpower requirement, to
be issued by the Consultant.
5.4 The Client shall communicate to the Consultant regarding the final selection of candidate(s), within 30 days of
candidates’ referral by the Consultant.
5.5 The Client or his authorized representative or the Consultant if specifically mandated by Client shall provide
selected workers briefing to orient them on Client’s rules and regulations and package of benefits, technical peculiarities
of the demands of the work and its environment and other matters unique to their employment with the Client.
5.6 The client shall not directly recruit, candidates earlier referred by the Consultant and rejected by it, for a period of
at least 6 months form the date of such rejection. In case where the Client does recruit such a rejected candidate later, it
shall be liable to pay the Consultant such amount as it would have paid to the Consultant in case the said candidate had
been selected in the first place. The client shall be liable to pay the aforesaid amount to the Consultant, without contest,
within 30 days of receipt of a written notice to the above effect.

6 EMPLOYMENT CONTRACT

6.1 On selection of the candidate(s), the Client shall employ selected candidate(s).
6.2 It is agreed between the Parties that the Client shall be under no obligation to select and employ candidates sent
by the Consultant for final interview and selection, and the discretion in this regard shall vest solely with the Client.

7 TERMINATION OF AGREEMENT

7.1 This Agreement shall remain valid for a period of one year from the effective date and shall be renewable as per
mutual agreement, for such further periods as may be agreed upon between the Parties hereinabove mentioned. However,
this Agreement may be terminated by either party, by giving the other party at least one month advance written notice;
by Client forthwith, if the Consultant commits a breach of any of its obligations under this Agreement or by either party
forthwith, if the other party winds up its business, becomes insolvent, or becomes incapacitated from acting as the
placement agency.

8 PAYMENT TERMS

8.1 Our professional charges will depend upon the CTC of the candidate recruited through us. (Refer to 1.2)
8.2 Service Tax @10% + Education Cess @ 3 % of Service Tax shall be applicable on all bills.
8.3 CTC means: Basic +all allowances+ perquisites.

• One copy of the offer letter to the selected candidate should be sent to us immediately on issue, for raising the
• INVOICE. The invoice will be raised immediately on the candidate joining.
• If the candidate is an outstation candidate and is required to come to clients’ establishment for the interview, client
will bear the traveling and boarding charges.
• Invoice is required to be settled within 30 (thirty) days of the selected candidate’s date of joining.
 • Free replacement will be provided only in case candidate leaves the organization (on his own and/or his personal
reasons) within 90 days from the date of joining.

8.4 Service charges will be levied on any position closed from the CVs sent by us, irrespective of whether the CV
was sent for that particular position or not.
