MEMORANDUM OF UNDERSTANDING

BETWEEN
PT. CIPTA SKYNINDO
AND

This Memorandum of Understanding (hereinafter referred to as MOU) is made by and

between the following parties:

PT.CIPTA SKYNINDO, a limited liability company established under the laws of the
Republic of Indonesia with its registered office at Exim Melati Building 11th floor, J l. MH.
Thamrin #8-9, J akarta 10230 , Indonesia (hereinafter referred to as the First Party) and;

.......................................................................................[SOLE AGENT NAME]

(hereinafter referred to as the Second Party)

The First Party and the Second Party are jointly hereinafter referred to as the Parties.

RECITALS

Whereas, the First Party is a Indonesian Law-based company and a Pay TV on Palapa D Focus
wishes to expand its business in Indonesia, and is interested to make an agreement with the
Second Party, and cooperate with Second Party in expanding such business in Indonesia as an
agent because Indonesia with abundant human resources and population is an ideal place for
such expansion plan.

Whereas, in order to distribute First Party products such as boxes and voucher (hereinafter
referred to as Products), the First Party require agents (hereinafter referred to as Sole
Agent) for each province in Indonesia


Article 1
Agreement

The Parties agrees to work together to run First Party business in terms of distributing
First Party Products and the Second Party will act as Sole Agent for the area of

Each month sale target of IRD box is ______box.
The Second Party only allowed becoming Sole Agent in this area. Any transaction by
crossing area will get a Penalty of Rp.1, 000,000, After 3 times crossing sell discovered
the Sole Agent qualification will be deleted.
The Penalty of Rp.1,000,000 will be divided into 2 parts. One part 50% will be for the
compensation to the victim agent. Another part 50% will be for a accumulated fund for
agents gathering expense.
The First Party have to support the Second Party with free facilities for dealer
development such as:
- Banner x 50
- Brochure x 5000
- T-shirt x 200
- Posters,...etc. promotion goods.
- Free demo content to second party and its each dealer for business promotion.
- The demo IRD box should be offered to each dealer by second party with cost.
- The free demo content can be terminated if the dealer without any sell record in 90 days.
As an Sole Agent, the Second Party is obliged to:
- Develop and register at least 50 (fifty) dealers in Second Party area
- Make each dealer hang up the Skynindo banner and report to first party with photograph
- Training each dealer how to promote First Party Products
- Achieve each month target
The Sole Agent qualification of Second Party will be deleted if the following conditions
occur:
- Ignore the warning of Cross Area Selling
- Failed to reach the target and less than 50% in any month
- All actions that can harm the reputation of First Party.
- Too much service complains from area dealer and subscribers.

Article 2
Conditions Precedent
The Parties Agree that the
First Party still own the right to sell or distribute the product (boxes, voucher)
nationwide by TV shopping, online shopping . including in the Second Party area.
First Party still owns the right to sell or distribute the IRD box to national distributor to
each area including in the Second Party area.
For the existed IRD box and subscribers which sold before by Master Dealer, applied
following conditions:
a) The IRD box and voucher inventory of former MD can be transfer to Sole Agent or return to
SKYNINDO.
b)The existed subscribers which established by former Master Dealer , if top up before Dec 31
st

2012 at second party, the former Master Dealer still get 10% profit from the voucher value. This
10% will be sharing offered from first party (5%) and second party (5%).

Article 3
Other Provisions

This MOU shall replace all communication, understanding and agreements between the
Parties made in writing or otherwise prior to the date of this MOU.

This agreement should be executed in both Indonesian language and English language. The
parties hereby confirm that both the Indonesian Language and English language version are
equally authentic. In the event of any inconsistency between the Indonesia and English
language version, the English language version shall prevail to the extent, and of such
inconsistency, Indonesian language version shall be amended accordingly to reflect the meaning
of the English version.

Nota Kesepahaman ini (yang selanjutnya disebut sebagai MOU) dibuat oleh dua belah pihak
dibawah ini :

PT. CIPTA SKYNINDO, perusahaan terbatas yang didirikan dibawah hukum Republik
Indonesia dengan perusahaan yang teregistrasi di Gedung Exim Melati Lt. 11, J l. MH. Thamrin
#8-9, J akarta 10230, Indonesia (merujuk Pihak Pertama) dan ;

(yang selanjutnya disebut sebagai Pihak Kedua)


DIMANA

Bahwa, Pihak Pertama adalah perusahaan berdasarkan hukum Indonesia dan Pay TV dengan Palapa D
yang fokus untuk mengembangkan bisnis di Indonesia, dan tertarik membuat kesepakatan dengan Pihak
Kedua, dan bekerja sama dengan Pihak Kedua dalam mengembangkan bisnis di Indonesia sebagai agen
dimana Indonesia memiliki sumber daya dan populasi yang ideal untuk rencana pengembangan ini.
Bahwa, dalam rangka untuk mendistribusikan produk Pihak Pertama seperti Box IRD dan voucher (
selanjutnya disebut sebagai Produk ), agen yang ditunjuk Pihak Pertama (selanjutnya disebut sebagai
Agen Tunggal) untuk setiap provinsi di Indonesia.

Artikel 1
Perjanjian

Kedua belah pihak setuju untuk bekerjasama menjalankan bisnis Pihak Pertama dalam
mendistribusikan produk Pihak Pertama dan Pihak Kedua akan berperan sebagai Agen
Tunggal di area .......................................
Target Penjualan Box IRD setiap bulan adalah ____________ box.
Pihak Kedua hanya diperbolehkan menjadi Agen Tunggal di area ini. Transaksi apapun
diluar area yang dipegang (cross-selling) akan dikenakan pinalti sebesar Rp 1.000.000,-
setiap kasus ; dan setelah tiga kali diketahui melakukan cross selling maka kualifikasi
Agen Tunggal tersebut akan dihapus.
Pinalti dari Rp1.000.000,- akan dibagi 2 bagian. 50% sebagai kompensasi yang
diberikan bagi agen yang dirugikan. 50% akan diakumulasikan untuk dana gathering
agen.
Pihak Pertama harus memberi dukungan kepada Pihak Kedua berupa fasilitas gratis
untuk pengembangan dealer seperti :
- Banner x 50
- Brosur x 5000
- T-shirt x 200
- Posters,...dan barang-barang promosi lainnya.
- Demo konten gratis untuk Pihak Kedua dan setiap dealer nya untuk promosi bisnis.
- Demo Bos IRD harus ditawarkan oleh Pihak Kedua dengan biaya.
- Demo konten gratis dapat dapat dihentikan apabila dealer tidak memiliki catatan
penjualan dalam 90 hari.
Sebagai Agen Tunggal, Pihak Kedua diwajibkan untuk :
- Mengembangkan dan meregistrasi setidaknya 50 (lima puluh) dealer dalam area Pihak
Kedua.
Memastikan setiap dealer memasang banner Skynindo dan memberikan laporan kepada
Pihak Pertama dengan mencantumkan foto.
- Memberi pelatihan kepada masing-masing dealer bagaimana mempromosikan produk
Pihak Pertama
- Mencapai target setiap bulan
Kualifikasi Pihak Kedua sebagai Agen Tunggal akan dihapus apabila terjadi hal-hal
berikut :
- Mengabaikan peringatan Cross Area Selling
- Gagal mencapai target dan kurang dari 50% dalam satu bulan
- Melakukan perbuatan yang dapat merusak nama baik Pihak Pertama
- Terlalu banyak keluhan dari dealer area dan pelanggan

Artikel 2
Hal yang diperhatikan

Kedua belah pihak setuju bahwa

Pihak Pertama masih memiliki hak untuk menjual atau mendistribusikan produk (box
dan voucher) dalam area nasional dengan TV shopping, online shopping termasuk di
area Pihak Kedua.
Pihak Pertama masih memiliki hak untuk menjual atau mendistribusikan Box IRD
kepada distributor nasional di setiap area termasuk area Pihak Kedua.
Untuk Box IRD dan pelanggan yang ada sebelumnya dengan Master Dealer, akan
berlaku ketentuan sebagai berikut :
a) Box IRD dan persediaan voucher dari MD sebelumnya dapat di transfer kepada Agen
Tunggal atau dikembalikan kepada Skynindo.
b) Pelanggan lama yang dibentuk Master Dealer sebelumnya, apabila melakukan top up
sebelum 31 Desember 2012 dengan Pihak Kedua, maka Master Dealer sebelumnya masih akan
mendapatkan 10% profit dari nilai voucher. 10% ini akan dibagi dari Pihak Pertama (5%) dan
Pihak Kedua (5%).

Artikel 3
Ketentuan Lainnya

MOU ini akan menggantikan semua komunikasi, kesepahaman dan perjanjian antara kedua
belah pihak yang dibuat secara tertulis sebelum tanggal MOU ini.

Perjanjian ini harus dilaksanakan dalam Bahasa Indonesia dan Bahasa Inggris. Kedua belah
pihak mengkonfirmasi bahwa versi Bahasa Inggris dan Bahasa Indonesia sama-sama otentik.
Dalam hal terjadi ketidaksesuaian antara versi bahasa Indonesia dan bahasa Inggris, versi
bahasa Inggris akan berlaku, versi bahasa Indonesia harus diubah mencerminkan makna dari
versi bahasa Inggris.
