CONSTITUTION OF
THE WASHINGTON STUDENT ASSOCIATION, UW CHAPTER

Preamble

We, the graduate and undergraduate students of the University of Washington, in order to
initiate and coordinate student representation in venues of public policy and reflect student
interests, needs, and welfare within the higher education community at large, do hereby affirm
and establish this constitution.

ARTICLE 1: NAME AND STATEMENT OF PURPOSE

100.00 Name
This association shall be known as the Washington Student Association, University of
Washington Chapter, hereinafter called the Chapter.

200.00 Officer Election, Selection, Succession Process, General Board & Bylaws

200.01 The Executive Board shall comprise of the three four elected officers of the Chapter,
the President of the Associated Students of the University of Washington (ASUW) or
their designee, the Vice President of the Graduate and Professional Student Senate
(GPSS) or their designee, one representative from the ASUW Office of Government
Relations, and the President of the GPSS, or their designee.


200.02 In the case of resignation temporary Leave of Absence by the Chair, the Vice Chair of
Operations shall assume the duties of the Chair during the interim until either they
return or a replacement can be found, whichever shall apply.

200.03 In the case of resignation or temporary Leave of Absence by any Vice Chair, the
Chair shall appoint successor to assume their duties during the interim until either
they return or a replacement can be found, whichever shall apply.

200.04 In the case of resignation by the Chair or a Vice Chair prior to the competition of
their term, the Executive Board or a committee of its designees, shall create, publish,
accept and review an application for a successor. Upon review of the applications,
the Board shall, by a simple-majority (hereafter, majority) vote approve a
successor from the applicant pool.

200.05 Nothing in the section or any other section shall be construed to prevent a person
holding a position during the interim from applying to serve as the permanent
successor for the remainder of the term.

200.06 The only officer required to be selected by election is the Chair. The selection of all
other officers shall be outlined in the Chapters Bylaws.

200.07 At the discretion of the Executive Board, a General Board may be created to offer
input and suggestions to the Board. The General Board shall be governed by rules
outlined in either the Bylaws or in a resolution passed by the Executive Board,
whichever has greater precedence.

200.08 The WSA UW Constitution shall supersede all conflicting Acts, Bylaws and
Resolutions passed by the Executive Board, excepting amendments to this
document. The Bylaws of the WSA UW shall supersede all conflicting Acts and
Resolutions passed by Executive Board.

200.09 Notification of a General Membership meeting must be made to the membership at
least five working days before the meeting may be held.


300.00 Officer Positions within the WSA-UW Chapter


301.00 Duties of the Chair shall include:

301.01 Prepare the agenda of meetings of the Executive Board and General Membership in
accordance with the Open Public Meetings Act by distributing the agenda and
meeting information three days in advance to the Office of Public Records and
members of the Executive Board and General Membership.

301.02 Appoint a designee to serve as Presiding Officer in the absence of the Vice Chair of
Operations.

301.03 Communicate with the WSA-UW general membership about Chapter activities and
legislative campaigns.

301.04 Maintain regular communication with the statewide Washington Student
Association and attend regular meetings of the WSA Board of Directors and General
Assembly.


302.00 Duties of the Vice Chair of Operations shall include:

302.01 Chair meetings of the WSA-UW Executive Board.

302.02 Research policy proposals at the direction of the Executive Board and the Chair.

302.03 Oversee all logistical and planning aspects of events and activities, including
booking rooms, transportation and other logistical items, as assigned.

302.04 Succeed to the position of the Chair should she/he no longer be able to perform that
function, as outlined in Section 200 of this document.

304.00 Duties of the Vice Chair of Membership shall include:

304.01 Recruit and coordinate volunteers as necessary to carry out legislative campaigns.

304.02 Coordinate a quarterly recruitment drive to advertise WSA-UW and to encourage
students to opt-in to the quarterly fee.

304.03 Maintain a database and email list of current members of the Chapter.

304.04 Set quarterly goals for membership and report on progress towards these goals to
the Executive Board.

304.05 Communicate with the WSA-UW general membership about Chapter activities and
legislative campaigns, and send announcements to members of the Chapter of
meeting details, legislative action alerts and important events of interest to the
membership.

305.00 Duties of the Vice Chair of Communications

305.01 Maintain the WSA UW webpage, Facebook, Twitter and any other social media sites.

305.02 Act as liaison to The Daily and other media outlets as needed.

305.03 Keep and distribute written minutes of all WSA-UW meetings and record attendance
in accordance with Section 400.09.


306.00 Duties of the Vice Chair of Finance & Budgeting

306.01 Track cash inflows and expenditures from the WSA-UW account and prepare
financial reports for the Executive Board as needed.

306.02 Coordinate the annual audit in accordance with the Chapters contract with the
University of Washington.

306.03 Draft an annual budget for the academic year and quarterly updates.


400.00 Rules of the Meetings

400.01 The Chapter shall adhere to Sturgis Standard Code of Parliamentary Procedure
during all meetings unless the members present at any meeting adopt alternative
rules upon a two-thirds vote.

400.02 A simple majority of the Executive Board must be present to make quorum for both
Executive Board meetings and General Membership meetings.

400.03 Any voting member of the Chapter may designate a proxy vote to another Chapter
member for an Executive Board or General Membership meeting which he or she is
not able to attend. Said members who wish to proxy their vote to another member
must contact the Chair prior to the meeting which the proxy will be held.

400.04 All meetings of the Chapter must be held in compliance with the Open Public
Meeting Act.


400.05 Voting rights on the Executive Board shall be conferred to: all members of the
Officers of the WSA UW, unless the Officer is serving as the Presiding Officer; the
ASUW President or their designee; and, the GPSS Vice President, or their designee.

400.06 Non-voting membership shall be extended to: the representative from the Office of
Government Relations; and, the GPSS President, or their designee.

400.07 Unless otherwise designated by the WSA UW Chair, or removed by a two-thirds vote
of the Executive Board members present, the Vice Chair of Operations shall serve as
the Presiding Officer for all Executive Board Meetings. The Chair retains the right to
assume the role of Presiding Officer at any time during a meeting.

400.08 Unless otherwise designated by the WSA UW Chair, or removed by a two-thirds vote
of the Executive Board members present, the Vice Chair of Communications shall be
responsible for keeping a record of the Executive Board Meeting and submitting it to
the University of Washingtons Office of Public Records in compliance with
applicable standards under the Washington Open Meetings Act.


500.00 Endorsements and Contributions

500.01 The chapter shall not endorse any candidate wishing to hold either an appointment
or elected office, but may endorse candidates for University of Washington
committee, board, or task force positions that are directly related to the Chapter
mission.

500.02 The Chapter, upon a unanimous vote of the Executive Board, may support or oppose
statewide initiatives or referenda.

500.03 The Chapter, upon a three-fourths vote of the Executive Board, may participate in
forming and operating a lawfully registered Political Action Committee.


600.00 Amendments

600.01 This constitution shall be amended by a majority vote of the Executive Board.

600.02 The Bylaws of the WSA UW shall be amended by a majority vote of the Executive
Board.
