TERMS & CONDITIONS
INTERPRETATION
In this application form unless the context requires otherwise:
- a reference to one gender includes reference to all other genders.
- the singular includes the plural and vice versa.
- a natural person includes a juristic person and vice versa.
GENERAL
Collective Investment Schemes in Securities (unit trusts) are generally
medium- to long-term investments, the value of participatory interests (units) may
go down as well as up and past performance is not necessarily a guide to future
performance.
Units are traded at the ruling price and forward pricing is consistently applied.
Units in unit trust portfolios may engage in borrowing and scrip lending.
All references to unit trust portfolios are to the unit trust portfolios of the Absa
Unit Trust Scheme.
Unit trust portfolio prices are calculated on a net asset value basis, which is the
total value of all assets in the unit trust portfolio including any income accrual and
less any permissible deductions from the unit trust portfolio.
A constant unit price of R1,00 will be maintained in the Absa Money Market Fund.
The yield is calculated using an annualised seven day rolling average. Income is
distributed monthly and any income may be paid out into an account as
nominated by the investor or be represented by additional units.
Where the investor wishes to inform Absa Fund Managers of the cancellation of
the ongoing advice fee, the investor must provide written notification to Absa
Fund Managers.
Investments in the selected unit trust portfolios will be placed in either Class R or
Class A units with different applicable fees and charges, according to the policy of
Absa Fund Managers.
Certain unit trust portfolios are permitted to be closed and may be closed for new
investments from time to time.
Unit trust portfolios maybe affected by uncertainties such as changes in
government and taxation policies and other regulatory developments, the effect of
which could result in the closure of unit trust portfolios for new investments.
The tax-exempt status of dividend income may at sometime in the future be
changed by SARS.
Foreign interest and dividends as well as foreign currency movements affecting
capital may be fully taxable under current legislation.
A fund of funds unit trust portfolio only invests in other unit trust portfolios, which
levy their own charges.
Absa Fund Managers may borrow up to 10% of the market value of a unit trust
portfolio to bridge insufficient liquidity.
Absa Fund Managers reserves the right to withhold processing of any unclear,
incomplete or ambiguous requests forwarded by the investor or his representative.
Repurchase payments will be made to the investor only in his elected account. No
third party payments will be allowed.
Quarterly portfolio reports are available on request.
Should any guarantees be furnished against price fluctuations, this shall be by a
party other than Absa Fund Managers.
Absa Fund Managers is a full member of the Association for Savings and
Investment SA.
All requests for transactions received on or before 16h00 every day will be traded
at ruling prices and valued after 16h00 on that day. Requests received after 16h00
will be valued as at the next day.
This application constitutes an agreement and a copy hereof is available and will
be provided on request.
Directors and personnel of Absa Fund Managers may be invested in any of the unit
trust portfolios at any time.
Absa Fund Managers holds professional indemnity cover.
U.S. PERSON DISCLOSURE
I represent and warrant, with respect to my investments which I subscribe for now or in
the future, that I:
am not a U.S. Person i.e.
(i) Any citizen of the United States or natural person resident in the United States,
(ii) any partnership or corporation organised or incorporated under the laws of the
United States,
(iii) any estate of which any executor or administrator is a U.S Person,
(iv) any trust of which any trustee is a U.S. Person,
(v) any agency or branch of a foreign entity located in the United States,
(vi) any non-discretionary account or similar account (other than an estate or trust)
held by a dealer or other fiduciary for the benefit or account of a U.S. Person,
(vii) any discretionary account or similar account (other than an estate or trust)
held by a dealer or other fiduciary organised, incorporate, or (if an individual)
resident in the United States, and
(viii) any partnership or corporation if:
(a) organised or incorporated under the laws of any foreign jurisdiction and
(b) formed by a U.S Person principally for the purpose of investing in
securities not registered under the Securities Act of 1933 of the United
States of America (the Act),
will notify the Absa Fund Managers if I become a U.S. Person at any time during
which I hold any of the unit trust portfolios.
acknowledge and accept that Absa Fund Managers will be entitled to terminate
this relationship should I become a US Person.
CONFIDENTIALITY
The parties agree that Absa Fund Managers shall not be entitled to disclose personal
information obtained from the Investor to any person or entity other than to an
employee, the Absa Group, a professional adviser or consultant unless the prior
written consent of the Investor has been obtained or disclosure of such personal
information is required by law or court order.
Absa Group means, for the purposes of this application form, Absa Group Limited and
all subsidiaries, and associates of the Absa Group, other than Absa Fund Managers.
ELECTRONIC AND TELEPHONIC BANKING
Absa Fund Managers is a part of the Absa Group and utilises the Absa Groups
electronic and telephonic banking platform.
The use of a PIN number in electronic and telephonic banking has the effect of
replacing your signature.
Electronic and telephonic transactions will be recorded in the interest of all parties.
These records will be retained for a period of 5 years.
Information provided by Absa Fund Managers or its agents by any electronic
means including information contained on its website does not constitute advice.
The Absa Group will not be liable for any claim and all future claims which I may
have resulting from conducting my business through any electronic means and I
hereby consent to Absa Group taking any security precautions it may consider
necessary, including magnetic recordings and storage of instructions.
I waive any right and entitlement to provide repurchase instructions in writing
where I request such repurchase telephonically for payment into my indicated
banking account.
FEES
Transactional charges will apply for cheque and cash withdrawals from ATMs and
Absa Bank branches where account balances are below R100 000 on the Absa
Money Market Fund. These transactional charges are applied by Absa Bank and will
accrue directly to Absa Bank Ltd and not Absa Fund Managers Ltd.
Brokerage and securities transfer tax, auditors fees, bank charges, trustee and
custodian fees and RSC levies are levied against the portfolio.
An annual management fee of 1,00% (incl VAT) plus a performance-based fee will
be calculated and accrued daily against the assets of the Absa Flexible Fund. The
performance fee is equal to 20% of the portfolios out performance of an amount
at least 4% above inflation (CPI) when the fund returns meet or exceed this
benchmark.
INVESTOR DECLARATION
Absa Fund Managers shall not be liable for any loss or damage suffered by my
investment in any unit trust portfolio, which includes, but is not limited to any loss
as a consequence of the reduction in value of this investment and any changes to
tax legislation which I may suffer.
I hereby confirm that all information provided herein is complete, up-to-date and
correct.
I have read and understood the contents of this application form and agree to be
bound by the terms and conditions contained herein.
I warrant that I have full power, authority and capacity to enter into and sign this
application form, with the necessary assistance where such assistance is a legal
requirement.

I am aware that the Absa Unit Trust Scheme does not offer cooling-off rights.
