stream and allocated to the .uyer9 2urin+ a re$ie/ meetin+ at M)PA*G on 16th March 2 !& Parties ha$e a+reed for continuation of supply of ( MMSCM2 of PMT +as and supply of %dditional Gas as pro$ided in this Contract from 1st %pril 2 ! for a period of 2 (t/o) years9 F9 The .uyer is en+a+ed& inter alia& in the "usiness of transportin+ and marketin+ of Gas& and is desirous of purchasin+ Gas from PMT Fields "ein+ marketed "y the Sellers9 G9 8ach of the Sellers are a+reea"le to sell their respecti$e Participatin+ #nterest share of the Sales Gas (as hereinafter defined) to the .uyer and the .uyer has a+reed to purchase Sales Gas on the terms and conditions of this Contract9 Cithout pre>udice to the deli$ery points desi+nated in %rticle 219(916 (a) (i$) of the PSCs& and for the purposes of sale of Gas to the .uyer under the terms of this Contract& the Sellers /ill deli$er Sales Gas at the 2eli$ery Point defined in this Contract9 *)C& TD848F)48& in consideration of the premises and mutual co$enants& a+reements and o"li+ations set out "elo/ and to "e performed& the Parties a+ree as follo/sE IT IS AGREED AS FOLLOWS: DEFINITIONS #n this Contract& the follo/in+ definitions shall applyE "Addition ! G "" means a Buantity of Sales Gas& a"o$e 2CF for each 2ay referred to in Clause 29692& deli$ered "y the Sellers to the .uyer on a reasona"le endea$ours "asis9 "A##i!i t$" means in relation to a Party& any person that& directly or indirectly& throu+h one or more intermediaries& controls or is controlled "y& or is under common control /ith that Party9 "B%"in$"" D &" means a day on /hich #ndian nationalised "anks are normally open for "usiness in 2elhi or Mum"ai B%&$'(" A""o)i t$d P$'"on" means any %ffiliate& a+ent& transporter or contractor of the .uyer& any director& officer or employee of the .uyer or of any of the fore+oin+ persons and any dependent of any such director& officer or employee9 "B%&$'(" F )i!iti$"" means all plant& machinery& pipelines and other eBuipment from the 2eli$ery Point on/ards that are o/ned andGor operated "y the .uyer or .uyer@s %ssociated Persons and that are necessary to take and accept deli$ery of Sales Gas under this Contract9 "B%&$'(" T *$"" has the meanin+ +i$en in Clause !92 "Con"$+%$nti ! Lo""" means all conseBuential loss or dama+e includin+& "ut not limited to& loss of actual sa$in+s& anticipated sa$in+s or either or "oth of these& loss of anticipated profit& re$enue or either or "oth of these& loss of use& loss of a+reement& loss or deferment of production (/hether caused directly or indirectly)& "usiness interruption or increased cost of /orkin+ or either of "oth of these& any indirect& special or conseBuential loss or dama+e or any or all of these ho/soe$er caused includin+ "ut not limited to the ne+li+ence or "reach of duty (statutory& contractual or other/ise) of the Parties or "y any other tortuous act or omission or "reach of Contract "y the Parties (arisin+ out of or in connection /ith the Contract and /hether or not foreseea"le)9

"GOIPP P &3$nt" means the portion of Sales Gas Price as in$oiced "y .G8P#5 and paya"le "y the .uyer in 4upees to/ards the Go$ernment@s share of profit petroleum under the pro$isions of the PSC@s& and recei$ed on "ehalf of the Go$ernment "y .G8P#59 "LIBOR" means the 5ondon #nter .ank )fferin+ 4ate for ! month deposits of ISJ as Buoted "y the 5ondon .ranch of the .ank of %merica for the 2ay in Buestion& or if the rate is not Buoted on that 2ay& the rate Buoted on the last precedin+ 2ay on /hich that rate /as Buoted9 "Mini3%3 No3in tion" means the $olume of minimum +as flo/ rate at /hich the Sellers@ Facilities and the Sellers@ Transporters Facilities can "e reasona"ly operated9 "MMBTU" means million .ritish thermal units& /here a sin+le .ritish thermal unit is the amount of ener+y reBuired to raise the temperature of 1 pound (a$oirdupois) of pure /ater& at ! de+rees Fahrenheit& "y 1 de+ree Fahrenheit at an a"solute pressure of 109K6 pounds per sBuare inch9 "Mont1" means a calendar month commencin+ at ! hours on the first 2ay of a calendar month and endin+ on ! hours on the first 2ay of the succeedin+ calendar month pro$ided that the final Month of this Contract shall end on ! hours on the date of termination or e:piry of this Contract and commence at ! hours on the first 2ay of a calendar month9 "Mont1!& Cont' )t -% ntit&" or "MC-" has the meanin+ +i$en to that term in Clause 09191 "Mont1!& Mini3%3 P &3$nt" has the meanin+ +i$en to that term in Clause 09192 "Mont1!& P &3$nt St t$3$nt" means the statement referred to in Clause !9! "-% 't$'!& P &3$nt St t$3$nt" means the payment referred to in Clause !9K9 "-% 't$'!& T 7$ o' P & -% ntit&" has the meanin+ +i$en in Clause 0929 "R$ "on 8!$ nd P'%d$nt O6$' to'" means a Party actin+ in +ood faith /ith the intention of performin+ its contractual o"li+ations under this Contract and in so doin+ e:ercisin+ that de+ree of skill& dili+ence& prudence and foresi+ht /hich /ould reasona"ly "e e:pected of a skilled& reputa"le and e:perienced international operator complyin+ /ith all applica"le la/s and en+a+ed in the same type of undertakin+ under the same or similar circumstances9 "R$"to' tion P$'iod" means the period of time stipulated under Clause 09(919 "S !$" G "" means the a++re+ate Buantity of each Seller@s Participatin+ #nterest share of Gas a+reed to "e sold "y the Sellers to the .uyer under the terms of this Contract at the 2eli$ery Point9 "S !$" G " P'i)$" means the price stated in Clause !919 "S$!!$'(" A""o)i t$d P$'"on"" means any %ffiliate& a+ent or contractor of the Seller& any director& officer or employee of a Seller or of any of the fore+oin+ persons and any dependent of any such director& officer or employee9 "S$!!$'" F )i!iti$"" means the /ells& reser$oir& platforms& pipelines& oil and +as plants& terminal& machinery& meterin+ facilities and other eBuipment& o/ned andGor operated "y the Sellers or Sellers %ssociated Persons or any constituent thereof& necessary for flo/ control and the production& transportation& processin+& compression& measurin+ and testin+ of Gas to ena"le deli$ery of Sales Gas to the .uyer at the 2eli$ery Point9 "S$!!$'"( T' n"6o't$'" means )*GC or any other third party +as transporter that the Sellers enter into an arran+ement /ith in order to pro$ide for the transmission of Sales Gas from the Sellers Facilities up to the 2eli$ery Point9 "S$!!$'"( T' n"6o't$' F )i!iti$"" means all pipelines& oil and +as plants& terminal& machinery& meterin+ facilities and other eBuipment that are o/ned andGor operated "y the Sellers@ Transporter and that are necessary to deli$er Sales Gas to the .uyer at the 2eli$ery Point under this Contract9 "S$!!$'" R$6'$"$nt ti.$" means a Person to act as its representati$e (the Sellers@ 4epresentati$e) /ho is authorised to and shall act as the representati$e of the Sellers for the follo/in+ purposesE

"S6$)i#i) tion" means the specification for Sales Gas set out in %ttachment 2 "St nd 'd C%8i) M$t'$" or "SCM" means one cu"ic metre of Gas "ein+ the amount of Gas reBuired to fill a space of one standard cu"ic metre /ith an a"solute pressure of one hundred and one decimal three t/o fi$e kilopascals (1 1962( kPa) at fifteen de+rees Celsius (1(M C) "St nd 'd T$36$' t%'$ nd P'$""%'$" or "STP" means a temperature of fifteen de+rees Celsius (1(M C) at one %tmosphere9 "St t$ Go.$'n3$nt" means the Go$ernment of a state in #ndia9 "T *$"" shall mean any #ndian (/hether national& state& municipal or other/ise) ta:& cess& fee& duty andGor le$y applica"le to the sale and transmission of Safes Gas under this Contract9 "W$$7" means the period commencin+ at ! hours on any Monday and endin+ on ! hours of the follo/in+ Monday pro$ided that the final Ceek of this Contract shall end on ! hours on the date of termination or e:piry of this Contract and commence at ! hours on the Monday precedin+ such termination or e:piry9 "Wi!#%! :; GENERAL 1919 Ipon e:ecution of this Contract "y the Parties& this Contract shall "ecome effecti$e from the commencement of the Contract Period and shall automatically terminate and cease to ha$e effect at the end of the Contract Period& /ithout pre>udice to accrued ri+hts and lia"ilities of the Parties9 1929 *ot/ithstandin+ the pro$isions of %rticle 191& the Sellers shall ha$e the ri+ht to terminate this Contract upon the earlier termination of either of the PSCs9 1969The Sellers ha$e appointed General Mana+er ()perations)& SG8P#5 as Sellers 4epresentati$e for the purposes of administerin+ the details of this Contract9 #f there is any chan+e in the appointment of Sellers 4epresentati$e& Seller(s) shall communicate to the .uyer from time to time9 *o act or omission of the Sellers 4epresentati$e& actin+ solely in its capacity as the Sellers 4epresentati$e& shall render the Sellers 4epresentati$e lia"le for the performance of o"li+ations "y the Sellers& /hether under this Contract or other/ise9 1909 #n the performance of its o"li+ations hereunder each Party shall act as a 4easona"le and Prudent )perator9 <; SALE AND PURCHASE OF GAS 291 S !$ nd P%')1 "$ (a) Cith effect from the commencement of the Contract Period& each of the Sellers shall& se$erally sell their respecti$e Participatin+ #nterest share of Sales Gas to the .uyer in the Buantities set forth in this Contract and the .uyer shall purchase from each Seller that Seller@s Participatin+ #nterest share of Sales Gas and pay for such Sales Gas in accordance /ith the terms of this Contract9 %ny Buantity of Sales Gas deli$ered& or /hich fails to "e deli$ered& to the .uyer under this Contract shall "e deemed to ha$e "een deli$ered& or to ha$e failed to ha$e "een deli$ered& to the .uyer from each Seller in proportion @to its Participatin+ #nterest9 (8) S$!!$'" U"$ o# G " The Sellers shall ha$e the ri+ht to use Gas from the Panna Mukta and Mid A South Tapti Contract %reas for the purpose of petroleum operations includin+ rein>ection for pressure maintenance& Gas liftin+ and po/er +eneration in each case upstream of the 2eli$ery Point9 The Sellers shall also ha$e the ri+ht to use such Gas needed to commission the Sellers@ Facilities or Sellers@ Transporter Facilities 292 D$!i.$'&, Ri"7 nd Tit!$ 29291 Sales Gas sold to the .uyer under this Contract shall "e deli$ered "y the Sellers to the .uyer in a sin+le commin+led stream at the 2eli$ery Point9 29292 4isk of loss and title to Sales Gas sold and purchased under this Contract shall pass at the 2eli$ery Point from the Sellers to the .uyer

(such +as to "e referred to as "%dditional Gas") that "ecomes a$aila"le for sale after fulfillin+ all the e:istin+ contractual o"li+ations of the Sellers arisin+ out of the sale of 1K1&02,9( MM.TI ()ne Dundred Se$enty )ne Thousand Four Dundred T/enty 8i+ht and half Million .ritish Thermal Inits per 2ay) to other PMT +as customers and 2CF to the .uyer respecti$ely& then the Sellers shall& on reasona"le endea$ours "asis& sell and deli$er such %dditional Gas to the .uyer and the .uyer shall purchase and recei$e the same& at the 2eli$ery Point and at the Sales Gas Price& after first utili;in+ any Make Ip ri+hts accrued to the .uyer durin+ the Contract Period9 290 No3in tion" 29091 *ominations /ill "e made in accordance /ith the *omination Procedure& as set out in %ttachment 69 29092 )n any 2ay& the .uyer may nominate for deli$ery at the 2eli$ery Point a Buantity of Sales Gas up to 2CF9 29096 #f& on a 2ay& the .uyer reBuires a Buantity of Sales Gas in e:cess of the 2aily Contract Fuantity& it may notify the Sellers of that reBuirement9 %ny Buantity of Sales Gas so nominated "y the .uyer shall "e classified as %dditional Gas and nominated in addition to the *ominated 2aily Fuantity9 29090 #f the a++re+ate nomination of all "uyers of Gas from PMT Fields is less than the Minimum *omination then the Sellers shall inform the .uyer and all other "uyers and in$ite them to re$ise their nominations9 #f the a++re+ate of their respecti$e nominations is still less than the Minimum *omination then the nominations of all "uyers of Gas from PMT Fields& includin+ the .uyer& /ill "e deemed to "e ;ero9 2909( The Parties shall cooperate in implementin+& to the e:tent reasona"ly practica"le& e$en production and deli$ery rates so as to facilitate smooth performance of deli$eries durin+ the Contract Hear9 2909! Party has acted as a 4easona"le and Prudent )perator9 Cithout limitation to the +enerality of the fore+oin+& the term Force Ma>eure may include natural phenomena or calamities& earthBuakes& typhoons& fires& /ars declared or undeclared& hostilities& in$asions& "lockades& riots& insurrection and ci$il distur"ances9 K92 (i) Fo')$ M /$%'$ E.$nt E*)!%"ion" The follo/in+ e$ents or circumstances shall not constitute a Force Ma>eure 8$entE a9 any e$ent or circumstance& /hich makes the performance of this Contract uneconomic or commercially impractica"le or any chan+es in market conditions or any deterioration in the a"ility to make a profit or to recei$e a satisfactory rate of return from the production& sale or consumption of Gas& includin+ in the case of the .uyer any lack of demand for Gas from or other ad$erse e$ents or circumstances affectin+ the end users or any other persons to /hom the .uyer sells or supplies Gas9 "9 any e$ent or circumstance& not affectin+ the Sellers@ Facilities& the Sellers@ Transporters Facilities or the .uyer@s Facilities c9 any e$ent or circumstance& /hich comprises or results from any Cilful Misconduct of the affected Party or any act or omission "y the affected Party& /hich could ha$e "een pre$ented or o$ercome "y the e:ercise "y the affected Party of the Standard of a 4easona"le and Prudent )perator3 d9 the imposition of restrictions "y a Go$ernmental %uthority due solely to the failure of the affected Party to comply /ith any applica"le la/& re+ulation or authorisation3 e9 the ina"ility or the failure of the affected Party to make payment of any money /hen due in accordance /ith this Contract or the ina"ility or the failure of the affected Party to raise any financin+ reBuired in connection /ith the performance of the affected Party@s co$enants or o"li+ations in accordance /ith this Contract3 and (ii) Fo')$ M /$%'$ In)!%"ion" For the a$oidance of dou"t& if the Go$ernment e:ercises its ri+ht to take Gas from the PMT Fields in kind& pursuant to the pro$isions of the PSC@s& then to the e:tent that this pre$ents the Sellers from performin+ their o"li+ations hereunder this shall constitute Force Ma>eure for the Sellers9 K96 R$!i$# d%$ to Fo')$ M /$%'$ #f "y reason of Force Ma>eure& the Sellers or the .uyer areGis rendered una"le /holly or in part to carry out their or its o"li+ations under this Contract& then the lia"ility for failure to meet the o"li+ations of the Party concerned& as lon+ as and to the e:tent that the o"li+ations are affected "y such Force Ma>eure& shall "e e:cused9 K90 Fo')$ M /$%'$ $.$nt" $*)$$din0 @C D &" *ot/ithstandin+ anythin+ in this Clause K& if an e$ent or series of e$ents (alone or in com"ination)& of Force Ma>eure occur& and continue for a period in e:cess of si:ty (! ) consecuti$e 2ays& then the Sellers and the .uyer shall meet at the reBuest of any Party to miti+ate to the e:tent possi"le the impediments caused "y the Force Ma>eure e$ent and $ary the 2aily Contract Fuantity under the terms of this Contract to ena"le the Sellers to deli$er and the .uyer to take Sales Gas durin+ the e:istence of the Force Ma>eure e$ent9 #f such e$ent or series of e$ents of Force Ma>eure is not remedied or miti+ated pursuant to discussions "et/een the Sellers and .uyer /ithin 6 2ays of the meetin+ "et/een the Sellers

and the .uyer& then the Contract may "e terminated at the discretion of the Party not claimin+ Force Ma>eure& follo/in+ a 6 days notice prior to termination9 K9( P 't& to Noti#& Fo')$ M /$%'$ E.$nt" Chere a Party is claimin+ suspension of its o"li+ations on account of Force Ma>eure& it shall promptly& "ut in no case later than three (6) 2ays after "ecomin+ a/are of the occurrence of the e$ent of Force Ma>eure& notify the other Parties in /ritin+ +i$in+ full particulars of the Force Ma>eure& the estimated duration of the Force Ma>eure& the o"li+ations affected and the reasons for its suspension9 K9! D%t& to Miti0 t$ E##$)t" o# Fo')$ M /$%'$ % Party claimin+ Force Ma>eure shall e:ercise reasona"le dili+ence to seek to o$ercome the Force Ma>eure e$ent and to miti+ate its effect on the performance of its o"li+ations under this Contract and resume performance of o"li+ations as soon as practica"le once the effect of the e$ent of Force Ma>eure ceases to e:ist9 The Party affected shall promptly notify the other Parties as soon as the Force Ma>eure e$ent has "een remo$ed and no lon+er pre$ents it from complyin+ /ith the o"li+ations& /hich ha$e "een suspended and shall& thereafter resume compliance /ith such o"li+ations as soon as possi"le9 K9K On%" o# P'oo# on P 't& C! i3in0 Fo')$ M /$%'$ The Party assertin+ the claim of Force Ma>eure shall ha$e the "urden of pro$in+ that the circumstances constitute $alid +rounds of Force Ma>eure under this Clause and that such Party has e:ercised reasona"le dili+ence and efforts to remedy the cause of any alle+ed Force Ma>eure9 K9, The pro$isions of Clause K shall not or shall not deem or construe to relie$e or e:empt any Party from its o"li+ations to make payment to the other Parties under the terms of this Contract9 D; PLANNED MAINTENANCE AND DE5ELOPMENT SHUTDOWN ,91 The Sellers and the .uyer /ill each ha$e the ri+ht to nominateE a9 up to ten (1 ) 2ays in the Contract Hear for the purposes of conductin+ maintenance1 acti$ities on their respecti$e facilities durin+ /hich the 2CF shall "e reduced "y ( L3 and "9 up to ten (1 ) 2ays in the Contract Hear for the purposes of conductin+ maintenance1 acti$ities on their respecti$e facilities durin+ /hich the 2CF shall "e ;ero& (the maintenance acti$ities shall collecti$ely constitute "Planned Maintenance") pro$ided that a Party may not nominate more than t/o periods of Planned Maintenance in a Contract Hear and Planned Maintenance 2ays shall "e calendar 2ays& includin+ the partial shutdo/n days referred to in Clause ,91(a) a"o$e9 ,92 % Party shall pro$ide at least thirty (6 ) 2ays /ritten notice to the other Party of its intention to e:ercise this ri+ht9 ,96 For the a$oidance of dou"t such periods of Planned Maintenance shall include periods /hen the Sellers@ Transporter may "e conductin+ Planned Maintenance9

,90 The .uyer and Sellers shall use reasona"le endea$ours to co1ordinate their periods of Planned Maintenance /ith each other9 ,9( Further to the periods of Planned Maintenance pro$ided in this Clause ,& the Sellers shall "e entitled to t/enty (2 ) days of shutdo/n in the Sellers Facilities reBuired for the purposes of de$elopment acti$ities in the Mid A South Tapti Fields9 (Such period of shutdo/n shall "e referred t o as the "2e$elopment Shutdo/n" and for the purpose of calculation of o"li+ations of the Parties shall ha$e the same effect as Planned Maintenance9) E; SUSPENSION AND TERMINATION The circumstances under /hich the Contract may "e suspended areE '91 #fE i9 ii9 The Sellers ha$e not recei$ed from the .uyer due payment to/ards the Sales Gas or Monthly Minimum Payment or the Fuarterly Take or Pay Fuantity in full (and not merely in part) /ithin the periods specified herein3 or %ny one or more e$ents specified in Clause '92 and any e$ent not remedied under Clause K90 occur&

then the Sellers shall "e dischar+ed of their o"li+ations to supply Sales Gas under the terms of this Contract and may suspend or stop the supply of Sales Gas under this Contract9 The Sellers shall +i$e notice of such stoppa+e as soon as practica"le after the stoppa+e occurs9 The Sellers shall resume deli$erin+ Sales Gas under this Contract a s soon a s reasona"ly practica"le follo/in+ the cure of the e$ents listed a"o$e and in any case /ithin forty ei+ht (0,) hours of such cure9 For a$oidance of dou"t& no Shortfall Gas shall accrue to the .uyer durin+ the period of suspension and the Sellers shall "e dischar+ed of their o"li+ations under Clause (9 For the a$oidance of dou"t& it is clarified that the .uyer shall not "e dischar+ed of its o"li+ations in accordance /ith Clauses 091& 092 and 096 durin+ such suspension period(s)9 '92 The circumstances9 under /hich the Contract may1"e1terminated are ifE i9 ii9 iii9 The .uyer fails to pay to the Sellers a sum due and paya"le under this Contract& /ithin =' ? 2ays from the date it /as due for payment9 The .uyer "ecomes insol$ent or "ankrupt or makes a composition or arran+ements /ith its creditors3 The .uyer is /ound up or a resolution for its /indin+ up is made (other than for the purposes of an amal+amation or reconstruction /hile sol$ent)3 or mer+es /ith another entity /here the sur$i$in+ entity has not assumed in full the .uyer@s ri+hts and o"li+ations under the Contract3 The .uyer has a liBuidator& pro$isional liBuidator& 9 recei$er& administrator or an administrati$e recei$er or9 mana+er of its "usiness or undertakin+ appointed3
