The Board of Directors and Our Executive Team The Board of Directors and our executive team come from diverse business backgrounds and include financiers, industry professionals, engineers and social scientists. Together, they have helped TBM Holdings, Inc. build a strong reputation for providing fast, innovative solutions that often change how business is done. The result has been the development of extraordinary new products and services.

The Board of Directors TBM Holdings has three members. The members were elected by stockholders at the Corporation's Annual Stockholders Meeting and will serve until the next Annual stockholders meeting. TBM Holdings Directors are as follows: NAME Hristo Kolev Clinton F. Hristo Kolev, was born in 1955, assumed his position with us as a Director in February 2006 and in March 2010 he was elected as the President and CEO of the Company. Since July 1999, he has been the Manager of Kamenets Limited located in Bulgaria, a furniture manufacturer. In addition, since November 2005, he has also been a director of TBM Management Limited, a wholly owned subsidiary of our Company. He received a degree in Economics in 1985 from the Kiev National Economy Institute. He devotes only such time as necessary to our business, which is not expected to exceed 5% of his business time. Clinton F. Bateman assumed his position with us in June 2008. Mr. Bateman received BBA in Accounting and at Baylor University, 1962. He has 46 years of professional experience in accounting, auditing, and taxation, SEC engagements, banking and finance, manufacturing, real estate, international taxation, mergers and acquisitions. For 4 years he has worked with Coopers & Lybrand, 1962-1966, and since 1967 till present is the President and CEO of Bateman & Co., Inc., P.C., CPAs. Mr. Bateman holds membership in American Institute of CPAs, Texas Society of CPAs, Houston Chapter of TSCPA, Houston City Club, Tallowood Baptist Church, Baylor Bear Foundation, Aircraft Owners and Pilots

The awards and achievements of Mr. Bateman include: Outstanding Chapter President, Texas Society of CPAs. Outstanding Discussion Leader (four years), American Institute of CPAs. Listed in Outstanding Young Texans, 1975. Listed in Who's Who in America.

Igor Zhutaev, was born in 1958, assumed his position with us in February 2006. In addition, since November 2005, he has been the director of TBM Management Limited, a wholly owned subsidiary of our Company. From 1996 through the present time, he has also been employed by Ukrcommunbank, beginning as department chief of automated systems and rising to the position of Vice-President of the Board of Directors. He has received degrees in Mathematics from the Kharkov State University in 1982 and in Economics from the Regional Institute of Management in 2004. He devotes substantially all of his time to our business.
