THIS INDENTURE, made and entered into this

LOEB REALTY, L.P., a Tennessee limited partnership (hereinafter referred to as "Granter"), and QUALITY MEMPHIS PROPERTIES, LLC, a Minnesota limited liability company (hereinafter referred to as "Grantee").
WITNESSETH: that for and in consideration of Ten Dollars ($10.00), cash in hand paid,

and other good and valuable consideration, the receipt of all of which is hereby acknowledged, Grantor has bargained and sold and does hereby bargain, sell, convey and confirm unto Grantee the following described real estate, situated and being in the City of Memphis, County of Shelby, State of Tennessee: SEE EXHIBIT A, ATTACHED HERETO AND INCORPORATED HEREIN BY REFERENCE. This is the same property conveyed to Loeb Realty, L.P., a Tennessee limited partnership, by Warranty Deed of record at Instrument Number EU 4308 in the Register's Office of Shelby County, Tennessee.
TO HAVE AND TO HOLD the aforesaid real estate, together with all the appurtenances

and hereditaments thereunto belonging or in anywise appertaining unto Grantee, their heirs, successors and assigns in fee simple forever. Grantor does hereby covenant with Grantee that it is lawfully seized in fee of the aforedescribed real estate; that it has a good right to sell and convey the same; that the same is unencumbered, except for 2007 City of Memphis and Shelby County taxes, not yet due and payable, and subdivision restrictions, building lines and easements of record in Plat Book 114 Page 30 and Plat Book 111 Page 22 in the Register's Office of Shelby County, Tennessee, easements of record in Book 5853 Page 29, Book 5853 Page 31, in Book 1751 Page 633, Instrument No. E2 8897, Instrument No. AD 7764 and Instrument No. K4 9594, and Restrictive Covenants at Instrument No. AA 9366, as amended at Instrument No. AB 7557 in said Register's Office; Right of Way Agreement in Book 2029 Page 641, as modified in Book 4185 Page43, Right of Way Agreement in Book 2029 Page 642, as modified in Book 4185 Page 43; Agreement in Book 2801 Page 395, Agreement in Book 3791 Page 541, and Agreement in Book 6271 Page 782, all in said Register's Office, and that the title and quiet possession thereto it will warrant and forever defend against the lawful claims of all persons claiming by, through, or under it, but not further or otherwise. The words Grantor and Grantee as used herein shall mean "Grantors" and "Grantees," if more than one person or entity be referred to, and pronouns shall be construed according to their proper gender and number according to the context hefeof.
