Dear Sir, Hindustan Aeronautics Limited (HAL), Composites Manufacturing Division (CMD), intends to procure NON-CONVENTIONAL ENERGY SOURCES. The description of the requirement is as given below: 1. General Information
Hindustan Aeronautics Limited (HAL), a Navaratna Public Sector Undertaking is engaged in Design, Development, Manufacture and Repair & Overhaul of Aircraft, Aero Engines, Helicopters, Avionics and Accessories. The company has factories located in different locations in India. Refer our website www.hal-india.com for additional details. This RFQ deals with requirement of NON-CONVENTIONAL ENERGY SOURCES. 2. 2.1 Bidder Qualification Criteria Original Equipment Manufacturer
2.1.1 Bidder should be the Original Equipment Manufacturer (OEM) of the Items intended to be bought through this RFQ. OEM certificate (Self declaration certificate) has to be submitted by bidder stating that they are the original manufacturers of the equipment.

2.1.2 In case the Authorized System Integrator / Channel Partner / Representative of OEM intends to participate in the tender, AUTHORIZATION CERTIFICATE (on OEMs letter head, duly ink signed) pertaining to this particular tender must be submitted along with the technical bid. The original (hard copy) of the letter has to be submitted along with the EMD documents through post. If no Authorization Certificate is received from the OEM the bid shall be summarily rejected. 2.2 Prior experience
2.2.1 Bidder should have full knowledge in the fields of development and supply of subject items. Bidder should also have established infrastructure and skilled manpower required to execute the contract as a time bound project. Documentary evidence to this effect should be provided. 2.2.2 Bidder should have developed / supplied in last five years similar items of same/ similar/ advanced specifications as given in this RFQ to reputed aerospace industries or organizations across the globe. Details of the executed contracts should be provided to ascertain credentials. 2.3 Sound Financial Standing
4.3.1 Bidder should have a sound financial standing with stable operations during last three years. Bidder therefore should provide authentic information relating to the company profile along with Audited Statement of Accounts, Balance sheet for a period of last three years & solvency certificate issued by the Bank. 3. 3.1 Commercial requirements Prices
3.1.1 All the prices payable by HAL for the NON-CONVENTIONAL ENERGY SOURCES should be given strictly in the price format enclosed as PART-III of this RFQ. It should be complete in all respects. Prices for the Items should be firm and fixed till completion of procurement process. 3.2.1 3.2.1 Compliance to Commercial Terms and Conditions Bidder needs to comply with all the terms and conditions as given in PART-II of this RFQ.

3.3.5 In case of deficiency in performance of the Items compared to what has been stated by the bidder against this RFQ, which get noticed after supply and installation, HAL reserves right to impose and recover penalty from the bidder towards resulting adverse consequences & losses / damages suffered by HAL, if any. 3.3.6 HAL will not pay any interest on the Earnest Money Deposit/ Security Deposit and Performance Bank Guarantee etc. 3.3.7 HAL also reserves right for risk purchase in case selected bidder fails to deliver as per the PO terms at their risk & cost which will be deducted from the payment.
3.4 Validity of Prices/ Bids 3.4.1 All quoted prices and bids should be kept valid for a minimum period of 180 days from the closing date of tender. Further extension, if required will be requested by HAL in writing. 3.5 Transfer of Intellectual Property Rights
3.5.1 Bidder should without any restrictions, with reference to intellectual property rights held (by bidder or his suppliers) in respect of the items being offered under this bid, authorize usage of item by HAL in any platform (without any restriction with regard to territory/ place and time frame). 3.5.2 Bidder shall assure HAL that there is no infringement of any patent or industrial or intellectual property right caused by the supply and shall undertake to indemnify HAL against all costs, expenses and claims for damages made by any third party that HAL may incur as a result of any action for infringement for which HAL may become liable for the use of the supplies, arising from any alleged patent or industrial / intellectual / property rights arising or resulting from any use of the supplies. 4. Guidelines for submission of bids
Bidder should submit proposal in 2 (Two) bid format. 1 (One) Technical bid and 1 (One) Commercial bid separately (through HAL e-Procurement portal only). Accordingly, your proposal should cover the following: 4.1 Un-priced / Technical Bid: Following documents must be submitted as part of the technical bid:
4.1.1 Original Technical Proposal (also referred as Technical Bid), which should also include the following information as at 4.1.2 through 5.1.4. 4.1.2 i. Compliance Statements: Compliance matrix confirming point-by-point compliance to all Paras of this RFQ, compliance matrix against technical specifications at Part I and compliance matrix against Commercial terms and conditions at Part II should be attached with the technical proposal. In case of any non-compliance to any of the clauses, it should be provided in compliance matrix and a separate table should be provided giving all the necessary factual and comprehensive details covering the variance/ non-compliance. In respect of Technical specifications, indication of compliance needs to be substantiated with details. No Modification / Amendment / Changes are allowed after submission of Technical and Commercial bids.

5 Earnest Money Deposit (EMD): a. An EMD amount of Rs. 20,000.00 (Indian Rupees Twenty Thousand only) for Indian bidder or USD 400.00 (US $ Four Hundred only) for Foreign bidders, in form of original documents i.e. demand draft /Banker cheque /Pay order drawn in favour of Hindustan Aeronautics Limited payable at Bangalore or Bank Guarantee (as per format at Annexure-I below) is to be submitted by participating bidder only. EMD should be submitted in the specified format mentioned above. The offers not accompanied with requisite amount of EMD or EMD not submitted in the specified form shall be summarily rejected. b. Copies of EMD document / instruments submitted along with the bid and submission of original EMD document / instruments at later date is not acceptable. Without EMD (subject to provision on point-h), bid would be considered as unresponsive and rejected.

In case EMD is submitted in the form of Bank Guarantee the same is to be submitted in the form of Irrevocable Bank Guarantee from any Nationalized Bank /Scheduled Bank or in case of foreign bidders from Bank of international repute and confirmed by Indian Nationalized Bank. The Bank Guarantee should be valid for 28 days beyond the validity of the bid (180 days +28 days)
d. The EMD will not carry any interest for the period it is retained with HAL. The EMD shall be forfeited if a tenderer withdraws amends, impairs and/or derogates from tender within validity. e. The EMD amount will be refunded /Bank Guarantee will be returned to unsuccessful bidder(s) after finalization of tender. f. EMD furnished by the successful bidder will be appropriated for security deposit or Performance Guarantee for the warranty period.
g. Submission of EMD(Earnest Money Deposit): The Original EMD in hard copy (in form of Bank Draft/Banker Cheque/ Pay order/ Bank Guarantee as applicable)/certified copy of GOIs authority for exemption in lieu of EMD (applicable for bidders exempted from submission of EMD as per Govt. of India directives) should be kept in separate envelope (superscripted with tender number& due date) along with covering letter and should reach us on or before the tender due date and time Address:

may also be scanned and attached with your technical bid, which has to be submitted online through e-Procurement portal.
h. Bidders exempted from submission of EMD as per Govt. of India directives must submit
certified copy of GOIs authority for such exemption in lieu of EMD, or else the offer would be treated as without EMD and be rejected.
5.1.1 Support needed from HAL
Bidder needs to clearly define the information/ support needed from HAL for executing the proposed supply after signing of contract/ placement of PO. In case support is required from HAL, a Work Share Matrix clearly indicating the responsibilities of HAL and Bidders to be attached. 5.1.2 Checklist
Bidder should attach duly filled check list as given in PART-IV of this RFQ. 5.1.3 Non-compliance, if any
Bidder should indicate clearly if any non-compliance is proposed by them. It may please be noted that such noncompliance will be seen critically and may have adverse impact in qualification of the bid. 5.1.4 Price Formats without figures in Technical Bid Bidder should attach price formats filled-in with all details other than prices (Un-priced commercial bids to be enclosed along with the technical bid). Note: The bidder should upload their response/compliance (Technical bid) to cover all points under RFQ (also refer para 4 above) in the form of attachments (each attachment file not exceeding 5 MB) through HALs eProcurement portal, along with additional information as required. 6.1 6.1.1 Commercial Bid Prices as per schedule
It should be ensured that all prices/ values payable are specified strictly in the Price Format. No subsequent addition/ alteration/ claim will be entertained over and above the offer, after the due date for submission of bids. Offers without complete information and pricing will be treated as incomplete and will not be considered for evaluation. HAL is not bound to accept the lowest or any quotation and reserves the right of accepting the whole or any part of the quotation or part of the quantity offered and the bidder must supply the same at the rate quoted. 6.1.2 Applicable taxes and duties, if any
Bidder needs to provide details of additional taxes and duties payable by HAL, if any, over the rate/ price quoted. (Also Refer clause for taxes and duties of Part II). These details have to be quoted /mentioned separately in price bid.

7. 7.1 Evaluation process and Acceptance Criteria Technical bid opening
Technical bid against this RFQ would be opened on 26/06/2012 at 09:30 am. All interested bidders may witness the tender opening online by logging into HAL e-Procurement portal. 7.2 Technical Evaluation
All the technical bids submitted by the bidders would be opened and examined for adherence/compliance to the requirements as specified in this RFQ. In case of ambiguity or non-clarity in statements given by the bidders, HAL may seek information/ clarification from any or all the bidders. HAL may also use its right to call for demonstration of the Items or evaluation of the proposed development plan before concluding the technical evaluation. Only such offers that meet HAL requirements shall be short listed for further commercial evaluation. Technical Evaluation criteria as defined above is to be read in conjunction with the points mentioned in the Part I document. The detailed evaluation criteria are defined in the PART I document. 7.3 Commercial Bid Opening
Commercial bids of short listed bidders whose technical bids have been found to be meeting HALs requirement would be opened online. The date and time information would be provided separately to only successful bidders. Technically qualified bidders may witness the tender opening online by logging into HAL e-Procurement portal. 7.4 Commercial Evaluation
7.4.1 It may be noted that the commercial evaluation would be based on the prices quoted as per the format in PART III i.e along with the prices of Spares, CAMC after the expiry of warranty period (Refer Tech specs in Part I document) etc. However, the placement of PO for CAMC will be made at the discretion of HAL after warranty & cannot be binding on HAL. HAL reserves the right to limit the order covering the requirement of basic items, spares and CAMC or only the basic items or otherwise. 7.4.2 In case of foreign bidders, the total value quoted in foreign currency as per price format will be converted to Indian Rupees (for comparison purpose) by adopting the exchange rate prevailing on the date of commercial bid opening. For any reason, if the exchange rate is not available on the date of tender opening, the next available exchange rate will be adopted. 7.4.3 The prices quoted will be evaluated on FOR destination, HAL-CMD Bangalore basis. Hence, in case of foreign Bidders, for FCA / FOB delivery terms, freight and insurance charges, as applicable, will be loaded to arrive at the landed cost of the items at HAL CMD for the evaluation purpose. Indigenous bidders should quote FOR destination, CMD HAL Bangalore prices; otherwise loading of Freight and Insurance charges would be done as applicable. 7.4.4 The other cost implication viz. Duty, Taxes and other Govt. levies (as applicable) etc. will also be taken into account during commercial evaluation.

8. Additional Information
i. Please note that offers submitted after the due date will not be considered and will not be opened. Further, offers received in the form of Hard copy (courier/post/dropping in tender box) / E-mail / Fax or any other mode (other than submitting online through HALs e-Procurement portal) will not be considered and will be rejected. ii. Bidder should return all the documents and data supplied by HAL (if any) in reference to this RFQ, in case bidder does not want to submit bid. iii. HAL would be deducting at source applicable Income Tax as per Government of India Rules applicable at the time of making payments (Generally on the amounts towards Services like training, technical assistance offered by the bidder and license fees). As per the Rules, Income Tax has to be borne by the recipient of the Income and relevant Certificate to this effect will be issued to the bidder on deduction of such amounts, as applicable. (Refer clause for Taxes and Duties of Part-II). vi Proposals should be submitted through HALs e-procurement portal only on or before due date and time. Refer attached e-Tender terms for submission of online proposal (Annexure-II). Only the hard copies of Original EMD document (Bank Draft/ Banker Cheque/ Pay order/ Bank Guarantee as applicable) should be forwarded to Chief Manager (IMM), Composites Manufacturing Division, Marathahalli post, Bangalore-560037 or alternatively the EMD, in separate sealed envelope superscribing tender number and due date, should be dropped in the tender box of CMD kept at Reception (VIP gate ARDC/CMD) on or before the tender due date and time viz. 25th JUNE 2012 @1430 Hrs IST. HAL will not be responsible for any transit/postal delay in receipt of EMD.
