Welcome to Pinots Palette


Welcome to our family! We are excited that you have decided to dedicate to our team of creative and skilled artists.

Before we get you off and painting, lets go over what Pinots Palette is and exactly how the studio runs every day. Pinots Palette is a BYOB entertainment art studio that encourages the average person to pick up a brush and inspire their inner artist while also having a good time with their friends.

In addition to teaching and assisting classes, you will be encouraged to submit original paintings to add to the local and master libraries. Each time the painting is used in any Pinots Palette class, you will receive an added bonus in your paycheck. Pinots Palette takes pride in supporting local art and you love to showcase your work!

Your job, from the start to the finish of the class, is to either provide clear instructions on how to create the acrylic canvas painting of the night, or to assist every guest artist in painting their personal masterpiece. Every guest should leave our studio feeling accomplished and confident in their artistic abilities. Every painter is different, but every guest that comes into the studio should be able to create something unique and artistic with the assistance of you: the experienced artist. Studio upkeep and customer service are your two main focuses. We hope you enjoy and have pride in what you do as an artist here at Pinots Palette, because at Pinots Palette, we are all proud of what we do for the art community!

Overview of a Pinots Palette Artist


Job Summary
The artist will instruct and assist in classes as well as create new paintings and instructions. Daily responsibilities will include setting up the class, greeting customers, teaching and assisting the class, and cleanup after class. The ideal person for this job will have a captivating personality that lends itself to recreational art. Our goal is to encourage the creative habit! Customers will be following the artists instructions while they paint on their own 16X20 stretched canvases with acrylic paint. The artist will be treated as an independent contractor and subject to 1099 filing, unless directly hired as an employee of the franchise.

Overview of a Studio Manager


Job Summary
Pinots Palette Studio Managers are required to manage one or many studios. This is a growing position that requires the candidates to be self-motivated, self-managed, and detail oriented. Organization and efficient computer skills are optimal for this position due to the quantity of information that needs to be sorted and kept in a safe location.

Studio managers may be asked to participate in the setup of off-site parties and the coordination of off-site marketing events. Studio managers will get paid a minimum of $10 an hour for off-site events and should communicate with the owners of the studio on a regular basis. Policies and Procedures


Dress Code Policy
Direct contact with the public requires that high standards of personal appearance and grooming be maintained at all times. Although Pinot's Palette does not have a standard uniform policy, remember how we present ourselves to the public impacts the perception they carry away with them in regards to our professionalism and credibility. As such, the following guidelines were developed to ensure you are able to feel comfortable and confident while delivering exceptional service: Clothing should be clean and wrinkle free. Pressing/Dry cleaning is required. Avoid clothing with rips, worn out sections, and other obvious signs of wear and tear. Sports team shirts are not allowed, unless otherwise stated by management for special events. Refrain from smoking or using other tobacco products in the presence of clients. (Be mindful of the odor that lingers.) Refrain from chewing gum in front of clients. When speaking to clients, remove sunglasses. Eye-to-eye contact is extremely important and helps promote personal relationships with our clients.

Marketing Attire Adhere to the following guidelines when conducting marketing activities outside of: Casual Pants/Trousers/Jeans Pinot's Palette Logo Shirt Casual shoes. Sandals or flip flops are acceptable

Special Events At times we will have showcase events, large meetings, special functions, and special client meetings where specific dress guidelines will be in place. Prior to these types of events, please check with your manager regarding appropriate dress attire. Personal Appearance & Grooming Hair must be neatly styled and cut. Avoid trendy hair colors such as pink, purple, green, etc. Fingernails must be kept clean and manicured. 8

Policies and Procedures


Women's make-up should not be heavy in application but worn in good taste.

Attention to personal hygiene is required. Daily showers, deodorant, dental maintenance are a must. Perfume is acceptable but use restraint with application being sure not to over spray. Note: Any deviation from these standards will be considered an infraction of company policy and is such will be considered as a cause for dismissal.

Scheduling
Availability Artist availability is due no later than the 2nd Friday of each month. Any special circumstances or exceptions to this rule must be approved by your Studio Manager. Shift Swapping In the event that you cannot work an already scheduled shift, it is your responsibility to find necessary coverage and communicate any schedule changes to the appropriate manager. On-Call Shifts/Head-Counts From time to time artists will be placed on-call to cover shifts until more accurate numbers reflect the true needs of the class. Since the shift is scheduled as on-call compensation will ONLY occur if the artist works the shift, otherwise no compensation will be granted. Party Cancellations (Studio Specific)
On rare occasions, a host will find the need to cancel their party. If the cancellation occurs with at least a 2 week notice or more, no compensation will be granted. If the cancellation occurs with < 2 weeks notice by either Host or Studio Manager, the artist has the following options shown below: Artist can choose to report to their location for 2 hours of compensation. The artist will be expected to do 1 or more of the following: 1. Communicate with your Studio Manager as to a current need you can help fulfill. For example: marrying paint, cleaning, and organizing. 2. Report to the studio and help set-up for class. 3. Report to the studio and help clean-up at the end of class.

Policies and Procedures


Young Guest Policy
Since we are a BYOB art entertainment studio, we do have age requirements in place. Children from the ages of 13-17 are allowed to participate in a public class if accompanied by an adult. Children under the age of 13 are not able to participate in public classes. Please advise to attend one of our special kids camp classes or family day events.

Cancellation Policies for Guests


Pinot's Palette cancellation policy is as follows: A full refund can occur if notification of cancellation occurs at least 48 hours before class start. You can also have the option to put the reservation on hold for a later date or transfer the reservation to another class. The reservation can be put on hold or transferred to another class if notification is received at least 24 hours before class start. Loss of payment will occur if no notification of cancellation occurs or if notification occurs less than 24 hours prior to class start.

This cancellation policy applies to parties of 2 or less. For cancellation of a party of 3 or more, a minimum of one week's notice is required for a refund or to reschedule.

Pricing Information
Public Classes All public classes fall into the following 2 categories: 2 hour session- $35 per painter 3 hour session- $45 per painter Private Parties All private parties carry a base fee per painter as noted above. In addition, private parties may carry an additional fee. Please see below: 1. Private party room has been chosen by the host. (Fee automatically applied.)

Frequently Asked Questions (FAQs)


From time to time situations will arise in the studio that present an opportunity to demonstrate our commitment to delivering exceptional customer service. Below are a few customer examples of how we can ensure we are doing just that: 1. What should I do if a guest or potential guest walks by and obtains a brochure or shows interest? Answer: Go over and introduce yourself. Briefly inform our guest of the services we offer and encourage them to visit us not only in person but online as well. Be sure to let them know we have an online newsletter that will keep them in the loop regarding upcoming news and events. If time allows, offer to give them a tour of the studio. Overall, just be a walking marketing ad for the studio when representing the studio. The more business brought in, the more hours that can be worked and the greater the potential for bonuses to be paid out to you and your colleagues. 2. How should you accommodate a guest whose name is not on your seating chart? Answer: We never want to make a guest feel unwelcomed. And we NEVER want to point the finger as a way to explain a missing reservation under any circumstances. Quickly assure the guest we will try to accommodate them and immediately locate ANY available space we can use to fit in our guest. If non-traditional arrangements can be made (ex. a side table and office chair used) inform the guest of what we are able to do. If guest declines, obtain their email address and offer to send a gift certificate for the inconvenience. We never want a guest to leave our studio with a bad impression. Word of mouth is important and the way you handle the situation will not only be a reflection on you as an individual but on our organization as a whole. 3. How do you handle a guest whose seating request is not notated on the seating chart? Answer: At times, a guest will arrive who says they requested to be seated in a certain area or with a certain party. If this request is not notated on your seating request, you should immediately apologize to our guest for the inconvenience and take every measure possible to reseat them in the desired area. Refrain from showing signs of frustration as this will create an air of unprofessionalism to our guest. They are looking to you to make their experience a memorable one so we must deliver just that. Make it a good one by showing them exactly why we are better than the rest through our Exceptional Customer Service! 4. Can a guest give their seat to someone else? (Ex. Friend, family member, etc.) Answer: Absolutely! Frequently, we will have a customer purchase seats and not designate the name of the person who will occupy the seat or for some reason the original painter cannot attend the class and will send someone in their place. We do not dictate who uses the seats. They are paid for and we will accommodate whoever the purchaser sends to use them.

Submit your availability by the 2nd Friday of every month Submit one painting per month following guidelines below: o Please see: New Paintings: The Down & Dirty for further detail Painting on the calendar o Discuss your idea with the manager o By the 2nd Friday of the month develop and deliver a color sketch o By the 3rd Friday of the month new paintings due (all sides painted can be submitted by email if clear picture is sent) Please note: Instructions are expected to be emailed to the studio prior to dropping off the painting o By 4th Friday of the month develop and deliver 1st draft of instructions o One week (7 days) after teaching painting for the 1st time revised instructions are due Revisions can be written on the original instruction sheet for management to revise. Or, the artist can revise the instructions at home and email to the studio. o Custom Painting

If you choose to do a custom painting for any of our private parties, the painting submitted must be approved by both the manager and the party organizer who requested the custom painting. The same rules apply as listed above BUT the due date may vary depending on the party date. Submit your availability by the 2nd Friday of every month! 12

Opening and Closing Duties

Ensure that there is enough petty cash for future classes 7. Check the employee schedule to see who is working 8. Call in back-up employees as needed, based on absentees 9. Check phones to make certain they are working properly 10. Adjust the heating/air conditioning as needed 11. Check phone messages and emails 12. Check bathrooms for cleanliness and required supplies 13. When it is time for business to open, unlock all doors 14. Arrange merchandise on shelves (front and face products) and fill empty holes with overstock 15. Check studio displays for appearance

Instructor Class Introduction


Now that you have had a moment to go over some responsibilities and procedures of our artists, lets get started with the class itself. The instructor of the class will have to know information about the studio, such as the history of the company and details about the painting for the night. As the instructor, part of your responsibility is to study the topics that need to be discussed before class and be able to introduce the studio with enthusiasm. The topic points that need to be mentioned before class are as follows: Welcome to Pinots Palette Has anyone been here before? Introduce yourself & the featured painting Introduce Assistant(s) Give Pinots Palette History Go over all supplies (Brushes, water cup vs. wine glass, paper towels, and paint palettes) Paint cart location If you get paint on your clothes Restroom location Feel free to get up anytime (not a typical class) **Special Event Info (can be announced later) Lets get going More suggestions that can be used in your own personalized introduction are: -Ask has anyone been to Pinot's Palette before? -Introduce yourself. You can say where you went to school, that you're a local artist, and anything else you want to include. -Then introduce the assistant. Now I always say how lucky we are to have such a talented assistant & let everyone know that the assistant is also a local artist & also an instructor for Pinot's Palette (This helps because sometimes people think the assistant is just helping out the actual artist & they sometimes think the assistant isn't as good as the artist) -Introduce the painting you will be doing. -Then tell a little bit about Pinot's Palette *Pinots Palette originated in Houston Texas in May 2009. *Because of our incredible customers we are now growing tremendously and franchising all over the nation! (Bonus points if you know how many locations we currently have) -Go over all supplies: Brushes- Big brush, little brush Paper towel- great for blotting your brush to make sure all paint & water is off. Water Cup- Not to be confused with your wine glass! Paper Plates- Tonight we'll call these our paint palettes. Top plate good for mixing colors Introduce the paint cart- let people know they can get more colors if they want or if they run out to just come help themselves. *Be careful not to force the paint pump!! -Let everyone know we are using acrylic paint & if they get it on their clothes to let us know before it dries, Otherwise it is permanent! -Explain how the class will work: * I'll give a step & explain it then I'll turn the music on & that's their time to paint the step given & socialize. 14

Instructor Class Introduction


-Also remind everyone to have fun, relax and tell them this is not your average classroom setting that if they need more to dink or eat or need to use the restroom they don't need to raise their hand they can just get up & go. But we will be taking an official break or 2. Special events- Very important that you mention all special events coming up, but because the introduction is so long just say We have some really awesome special events coming up that I will tell you guys about later, but lets go ahead & get started with our painting!

Guest Check-In Check guests in and walk them over to their table being sure to let them know they will find their name written on the table in front of their seat. Note: Make sure to acknowledge each guest as they enter the building. If you are busy with another guest ensure those waiting that you will be right with them.

Tips for Painting Instruction Success


There are many things that an artist will run into on a day-to-day basis. The following tips can be helpful in remembering how to run the studio most efficiently: Instruction Template Tips and Instructions 1. Instruction Templates can be retrieved from your Studio Manager a. Once received, save to your personal computer for future use. 2. Be sure to fill out every single box, including the title of the painting (in the header and the Title box), the duration, layout and the canvas size. 3. Always leave the formatting and table cell sizes the way they are in the original template. Do not change the size or ratio of the step text vs. step photos boxes. 4. Use no more than 3 brushes. 5. The number of colors used should be a maximum of 9 colors. Palette colors should be listed exactly as they appear on the paint bottle(s). 6. Painting Notes/ Tips must include fun facts about your painting (i.e. what makes the painting interesting, what inspired you to paint it, etc.) This is mandatory. 7. Make sure than each step is numbered properly. Next to each step you will need to have a description of what the artist should be working on as well as the duration. a. This will help you keep track of the timing of the class. 8. Two hour paintings should have at least one 10-15min break. No more than two breaks. 9. Three hour paintings should have at least two breaks but no more than 3. Step Photos 1. Step photos should be taken with a high quality camera. This could very well be a phone camera depending on the megapixels. a. If you do not own a camera or camera phone, make arrangements with your Studio Manager to take step photos at the studio 2. Please keep in mind that each bullet point of text needs a photo that exactly matches what the text describes. Everything you do to the painting needs an individual step photo. Also, step photos need to include only whats been described in the instruction text up to that point. i.e. A step photo for step 3 cant include elements/colors that dont appear until step 6 3. Once your step photos have been taken, you will need to add them to the painting instructions. To do this you will need a Picasa Web Account picasaweb.google.com. 4. While viewing the screen that shows all of the photo thumbnails together, right-click on the small version of the image to copy + paste into your instructions. Do not click to enlarge the individual images. a. Be sure to use the thumbnail to ensure that the file is not too large for the template. b. If the file is too large to upload, email or open quickly, check the box Compress Pictures when saving the document to cut down the file size. 16

Original Paintings
Deadlines At least one colored sketch due per month. Due by the 2nd Friday of the month o Email a clear photo of the sketch to owner. If sketch is approved, final painting is due on the 3rd Friday of the month o You must email a clear photo of the painting for final approval before dropping the painting off at the studio. o Drop Off When dropping off the painting, please make sure the studio manager has the following information: Suggested name of the painting Suggested duration (2hr vs. 3hr) Orientation: Portrait vs. Landscape Instructions are to be emailed to the studio prior to drop off. Be sure the sides of the canvas are painted before turning it in If sketch is not approved, generate a new sketch within one week (by the 3rd Friday of the month) o Further deadlines on the alternate sketch will be handled on a case-by-case basis Ideas for new paintings Generally speaking, customers like to sign up to paint the sorts of paintings that they would normally buy at a store to hang on their walls. To see a good mix, check out the art selection at Michaels, Hobby Lobby, and Bed Bath & Beyond o Please remember our paintings have to be our own original work to avoid copyright infringement, so please use the examples as a guide for your own work The important components we use to judge a new Pinots Palette painting: o Will it be Fun to Paint o Will the customer think it is Cool to Hang Up o Will we be able to teach the painting & still Leave Time to Mingle o Does it have the Wow Factor (can customers can barely believe they painted it themselves because it turned out so great!) Odds & Ends There are several reasons that a sketch might not be approved. The most common reasons would be: o The concept for the painting does not have mass appeal to our average customer We have to feature paintings that apply to our average customer. The sketch you turn in might be awesome, but if it does not appeal to the average customer, it will not get sign ups when we feature it on the calendar. No sign ups for a painting = a cancelled class. o The sketch/painting does not meet our caliber of paintings We must be critical in approving paintings for the calendars because the caliber of our paintings is a major element of what sets up apart from our competitors. Our paintings have to strike a balance of being simple enough to teach in 2-3 hours but also having plenty of Wow Factor 17

When new sketches & new paintings are turned in, it sometimes takes a little time to review them before getting back to you. Time is taken to look them over & give critical feedback, so please know that there is a reason that we do not give same day responses. If its been 3 days, feel free to give a nudge It is always a good idea to work ahead and to turn in more than one sketch per month these deadlines are the bare minimum requirements to continue working at Pinots Palette. o The more great paintings you create, the more times you will be scheduled to instruct. o The more awesome the painting, the more likely it will become a blockbuster like Whimsical Fall, Starry Night, Bluebonnets, etc. & therefore, the more in-demand it will be. Similarly to turning in availability on time, we will consider your compliance with these deadlines for turning in new sketches/paintings when making the schedule. So please be on time or early with these deadlines! Instruction Submission and Revision 1. Once your painting instructions are complete, email them to your Studio Manager and/or Painting Library Editor. 2. You will need to include the following items in your email: a. What time you will drop off the new painting with complete painting instructions to the studio. b. The name of the painting c. Specify whether it is a two or three hour painting d. Optional: A high quality photo of your painting to be used on the website/calendar. If you do not include this photo, the studio manager will take one for you. 3. You will test each step of your new painting the 1st time you teach it. During this time you will make sure: a. The timing is correct b. The # of paint pumps are correct c. Each step is written clearly with corresponding photos 4. If needed, new step photos must be taken the 1st time it is taught along with any revisions. a. Place revisions in the front pocket of the Painting Instruction Binder for the Studio Manager/Painting Library Editor to revise. The painting will be taught the 2nd time by another artist as a second set of eyes. The artist will email the originating artist with any revisions.

Assistant Class Responsibilities


Assistant is expected to arrive 1 hr 15 min before class. If more than 35 painters are attending class and 2 assistants are scheduled please split duties. Below are the tasks that are required for any artist who is the assistant for the night. Along with the tasks mentioned, there are corresponding times in which is ideal for them to get done. Study the responsibilities of the assistant in order for the class to run smoothly.

Opening the Studio


Time counting down until the class begins 1:15 Turn on all lights (front track lights, hallway, back food area and bathrooms) and music (computer) 1:13 Secure seating chart (located on cork board) 1:12 Check the A/Cs temp (74) 1:11 Check to make sure there are enough unwrapped canvases 1:09 Take garbage and recycling out (restroom, desk & class trashcans, if any) 1:05 Setup food and wine area AND Bathrooms - Unload clean wine glasses from dishwasher & put onto wine racks - Fill buckets with ice, place 10-15 bottles of water on counter along wall, make sure surfaces are clean - Check supplies on table and refill if needed (including bathroom area) 0:55 Verify artists arrival if artist is 5 minutes late (Call Studio Manager) 0:54 Review seating chart and prepare painting area accordingly (Space out each station for classes <48)

Table Set Up:

Running Studio - Always be in the front room, get class count and return customer count to add to envelope - Take Pictures; help take pictures of painting for instructions as needed - Keep ears and eyes on everyone but especially the artists - Be available for questions, filling paint, fresh water cups, blow dry paintings, cleaning spills, get paint out of clothes (use murphys oil) - Make sure 50 canvasses are unwrapped for the next day (only during class break, 10 canvas = 4-5 mins.) - Break down any boxes & leave in storage room to pick up after class (only during class break) - Take payments on case by case basis (if needed) - Walk the original painting to the back of the room occasionally for guests to see small details. Adjust AC if needed. - After last step of painting is given start pre-bussing tables (throw away any trash & start collecting palettes & water cups/brushes as painters are finishing.) *Dont make anyone feel rushed! Assistant Class Responsibilities

- Clear tables, wipe all tables with a damp rag & Clorox, put stools on tables with easels inside stools, sweep/mop floor, hang aprons where they belong Clean food and wine area 21 - Empty ice buckets in sink, throw away food, sort empty wine bottles, reorganize area, wipe tables (granite cleans best with windex) Finish Envelope & put in locked drawer behind front desk Throw all items brought by painters, in trash. Empty all trash into large bag, Tie trash bags and place by back door (Retrieve broken down boxes from storage and place by back door including wrappings from canvases) Turn off lights (front, hallway, food area, and bathrooms) Turn off music and monitors Final closing walkthrough as you mop your way to the front of the studio. - Leave the mop bucket at the front door after pouring out dirty water & lock up. - Always walk to your cars with the other person youre working with.

The following agreement is included in this manual so that artists and managers can review it from time-to-time and check up on how they are doing as an employee.

Pinots Palette Employee Agreement


THIS EMPLOYEE AGREEMENT (this Agreement) is effective as of ____________, 20___, by and between ________________ (Artist) and [Business Name] a [Insert State] limited liability company with principal offices in [City, State] (the Pinots Palette). Pinots Palette and Artist (referred to as the Parties) agree as follows: 1. Services. Employee will perform the following services as needed when requested by Pinots Palette: (a) Develop Painting Ideas: Employee will develop original painting ideas (the Employee Painting Ideas) for use in Pinots Palettes business. (b) Produce Example Paintings: Employee will paint example paintings (Example Paintings) of the Employee Painting Ideas and, as requested by Pinots Palette, will paint ideas developed by Pinots Palette management (the Pinots Palette Painting Ideas) for use in Pinots Palettes business. (c) Develop Teaching Methods: Employee will develop methods of instruction (Painting Instructions) for painting the Example Paintings. (d) Teach and Assist During Classes: Occasionally, Pinots Palette will ask Employee to teach and assist at Pinots Palette art classes. During classes when Pinots Palette asks Employee to be the lead instructor (Lead Class), Employee will lead the instruction of the painting by giving step-by-step oral instructions, demonstrating the painting methods and helping participants with their individual paintings (paintings produced by Employee during these art classes are referred to as Instruction Paintings), and additional duties. During classes when Pinots Palette requests Employee to assist in the class, but Employee is not the lead instructor (Assistance Class), Employee will assist the lead instructor in conducting the class by setting up class, greeting class participants at the door, answering questions of class participants, distributing supplies, helping participants with their individual paintings, preparing for next class and cleaning up after class. (e) Other: Occasionally, Pinots Palette will ask Employee to perform services in addition to the services described above. 2. Relationship. Employee is an at-will employee, which means that either Pinots Palette or Employee may terminate the employment relationship at any time with or without notice, with or without cause, and with or without giving a reason for the decision to terminate the employment relationship. Nothing contained in this Agreement will be construed to alter the atwill relationship between the Parties. 3. Term. The term of this Agreement will commence on the date set forth above and continue until terminated by either party as provided herein. 22

4. Compensation and Benefits. For services performed under this Agreement, Pinots Palette will pay Employee as follows: (a) Hourly Rate: Pinots Palette will pay Employee a rate of $____________ per hour (the Hourly Rate). The Hourly Rate will be subject to withholding for all applicable federal and/or state income tax, social security and other items as required by law, and for other items consistent with Pinots Palettes policy with respect to health insurance and other benefit plans for similarly situated employees. Further, the number of hours worked by Employee may vary and Pinots Palette does not guarantee to employ Employee for a specific number of hours. (b) Example Painting: Pinots Palette will pay Employee $__________ for each Example Painting furnished by Employee and accepted by Pinots Palette. Acceptance by Pinots Palette shall occur only if painting is published. (c) Lead Classes: Pinots Palette will pay Employee $__________ for each Lead Class for which Employee provides services to Pinots Palette. (d) Assistance Classes: Pinots Palette will pay Employee $__________ for each Assistance Class for which Employee provides services to Pinots Palette. (e) Additional Requests: Occasionally, Pinots Palette will request that Employee create additional paintings outside of those described in this Agreement. In that situation, Pinots Palette and Employee will finalize the terms of that request in writing. Pinots Palette does not guarantee that it will use Employees services for any specific number of Lead Classes or Assistance Classes. Employee is not obligated to accept every Lead Class or Assistance Class for which Pinots Palette requests Employee. (f) Benefits. Pinots Palette does not guarantee that it will offer Employee any additional benefits. However, Employee may be entitled to receive benefits at some point during his employment. A description of any available benefits is available from Pinots Palette management. All benefits are subject to the terms of the applicable plan documents, summary plan descriptions and/or employment policies and are subject to modification, amendment or revocation in accordance with the terms of such documents, policies and procedures. 5. Other Activities. Subject to the terms of this Agreement, Employee may be engaged in other employment and the performance of services similar to those performed for P inots Palette including, without limitation, teaching art lessons and producing paintings. 6. Confidentiality. Employee understands and agrees that information developed by or disclosed to Employee in the performance of his duties hereunder (including, without limitation, information relating to identities of Pinots Palettes customers; pricing of Pinots Palettes services and its profit margins; Pinots Palettes methods and specialized equipment used in providing Pinots Palettes services) and any other business or technical information or trade secret of Pinots Palette (collectively, the Information) is proprietary and confidential and represents a valuable, special and unique asset of Pinots Palette, the disclosure of which would cause continuing and irreparable injury to Pinots Palette. Employee understands and acknowledges that Pinots Palette would not disclose the Information to him, even in connection with his performance of services for Pinots Palette, without his agreement not to divulge in any manner, at any time, for any purpose other than the exercise of his duties hereunder in the best interest of Pinots Palette, any of the Information. Accordingly, Employee agrees not to divulge in any 23

manner, at any time, for any purpose other than the exercise of his duties hereunder in the best interest of Pinots Palette, any of the Information. 7. Ownership of Paintings and Assignment of Copyrights. Employee assigns to Pinots Palette (and if necessary to give effect to this section, agrees to assign) all of Employees right, title and interest, including patent rights and copyrights, in each Employee Painting Idea, Instruction Method, Example Painting, Instruction Painting, and any other painting produced under this Agreement or as part of the services described in Section 1 or that Employee has produced or created as part of Employees services for Pinots Palette in the past. Employee agrees to execute all documents reasonably necessary to give effect to this Section. Employee waives the right to claim authorship of each painting produced under this Agreement, waives the right to prevent any intentional distortion, mutilation, or other modification of each such painting, and waives the right to prevent any destruction of each such painting. 8. Original Ideas; Indemnity. Unless expressly requested otherwise by Pinots Palette, Employee represents, warrants and covenants that all Employee Painting Ideas, and all Example Paintings and Instruction Paintings, covered by this agreement are and will be original ideas and works of Employee, and these painting ideas and works do not resemble or copy any existing works or infringe upon any copyright, license, patent, trade secret or other intellectual property right. EMPLOYEE HEREBY AGREES TO DEFEND, INDEMNIFY AND HOLD HARMLESS PINOTS PALETTE, ITS OWNERS, MANAGERS, EMPLOYEES AND THEIR RESPECTIVE HEIRS, LEGAL REPRESENTATIVES, SUCCESSORS AND ASSIGNS FROM ANY AND ALL CLAIMS, DEMANDS, JUDGMENTS, DEFENSE COSTS OR SUITS OF EVERY KIND AND CHARACTER IN FAVOR OF OR ASSERTED BY OR IN CONNECTION WITH ANY COPYRIGHT HOLDER, PATENTEE, LICENSEE OR CLAIMANT OF ANY RIGHT OR PRIORITY, WHETHER FOR COPYRIGHT INFRINGEMENT, PATENT INFRINGEMENT, TRADE SECRET MISAPPROPRIATION OR OTHER INTELLECTUAL PROPERTY RIGHT. Sections 6, 7 and 8 of this Agreement will survive the termination of this Agreement regardless of which party terminates the Agreement and the reason for the Agreements termination. 9. Entire Agreement; Modification. This Agreement is the entire agreement of the Parties with regard to the relationship between Pinots Palette and Employee. This Agreement may not be modified except by a writing signed by both Parties. 10. Applicable Law. This Agreement will be construed in accordance with the laws of the State of [State], without regard to the principles of conflicts of law, even if Employee executed this Agreement outside [State], and even if some or all of Employees services are to be rendered outside [State]. The proper venue for disputes arising under this Agreement is [County], [State].
