LOCATION AGREEMENT

Pathfinder Grant St. Holdings, LLC, in care of Property Manager Laura Hollowell (Grantor) hereby grants to SLAK Productions and EosPow Productions of Regis University ("Companies") and its employees, contractors, agents, independent producers, and suppliers, permission to enter upon and use the Location (Property), both exterior and interior, located at: 1115 Grant St. Denver, CO 80203 for the purposes of the film Jack in the Box (Project). The permission herein granted shall be for one or more days beginning on or about April 1, 2012 (subject to change on account of weather conditions or changes in production schedule) and continuing until completion of all scenes and work, but no later than June 30, 2012. This timeframe does not include access to specific suites and specific office suites may or may not be available for filming. Grantor has agreed to allow Companies to film the Project for free, and agrees that no other costs will be instated by the Grantor or by Pathfinder Grant St, Holdings, LLC before, during, or after the filming process, except as otherwise set forth herein. Companies may place all necessary facilities and equipment, including temporary sets, on the Property and agree to remove same after completion of work and leave the Property in as good condition as when received, reasonable wear and tear from uses permitted herein excepted. Signs on the Property may, but need not be, removed or changed, but, if moved or changed, must be replaced. Companies agree to use reasonable care to prevent damage to the Property, and will indemnify the Grantor and all other parties lawfully in possession of the Property and hold each of them harmless from any claims and demands of any person or persons arising out of, or based upon personal injuries, death or property damage resulting directly from any act of negligence on Company's parts in connection with the work hereunder. All rights of every kind in and to all photographs, motion video/film recordings and sound records made hereunder (including but not limited to the right to exhibit any and all scenes photographed or recorded at and of the Property or reproduction of the Property throughout the world) shall be and remain vested in the Companies, their successors, assigns and licensees, and neither the Grantor nor any tenant, or other party now or hereafter having an interest in the Property, shall have any right of action against Companies or any other party arising out of any use of said photographs and/or sound recordings whether or not such use is or may be claimed to be defamatory, untrue, or censurable in nature and hereby waives any and all rights of privacy, publicity, or any other rights of a similar nature in connection with the exploitation of any such photography or soundtrack. Should Companies elect not to use said Property for filming purposes, written notice will be given prior to the filming date releasing all parties from any obligations mentioned above. By signing, the Grantor understands that this agreement is binding and may not be broken at anytime. The undersigned warrants that the undersigned has the full right to enter into this Agreement and that the consent of no other party is necessary to effectuate the full and complete permission granted therein.

Companies shall, at all times during the term hereof, maintain policies of general liability insurance with limits no less than $1,000,000 per occurrence and $2,000,000 in the aggregate and third party property damage coverage with a limit no less than $1,000,000. Grantor shall be named as an additional insured on all such policies and Companies shall provide evidence thereof upon request.
