2010 jcpenney becomes exclusive department store retailer of the iconic Liz Claiborne brand and international fast fashion brand MNG by Mango and launches collaboration with People Style Watch magazine. The Company exits the catalog business and launches mobile coupons, a mobile commerce site (m.jcp.com) and launches findmore smart fixtures to select stores. jcpenney opens its first Manhattan store. The Company partners with Salvation Army for online Angel Tree on jcp.com. jcpenney launches its American Living concept by Polo Ralph Laurens Global Brand Concepts. jcpenney is rapidly transforming its brand by infusing great style in its assortments and delivering an impactful customer experience. STYLE AUTHORITY Liz Claiborne launched in 30 categories to all stores and online at jcp.com. The brand is exclusive to jcpenney in the U.S. and Puerto Rico. Opened 76 Sephora inside jcpenney beauty boutiques bringing the total to 231 locations nationwide. Launched MNG by Mango to 77 stores and Call it Spring by The ALDO Group to 3 stores. Sales from stores center core increased approximately 7 percent over last year. Launched highly successful collaboration with People StyleWatch that allowed customers to discover the style authority of jcpenney. New look. New day. Who knew!, marketing platform, invites customers to discover a whole new jcpenney. This was followed by the launch of our new logo in early 2011.

CUsTOMER INTERacTIONs For the 3rd consecutive year, ranked No. 1 in customer service among department store retailers by the NFR/ American Express Customers Choice Survey. jcp Rewards membership increased from 8 million to 26 million, by extending to every one of our credit card holders.

DIGITaL EXPERIENcEs Expanded in-store digital experience with roll out of findmore smart fixtures to over 120 select stores across the country. Grew Facebook fans to 1.6 million and launched the industrys first fully-integrated e-commerce application on Facebook. Built on our successful mobile coupon program with the launch of new mobile initiatives including a mobile commerce site, location based check-in offers and added enhancements to our mobile apps. Rolled out iPad devices to 50 fine jewelry departments in conjunction with the launch of Modern Bride.

OPERaTIONaL EFFEcTIVENEss Drove comparable store sales growth four consecutive quarters (see comparable store sales chart). Maintained gross margin rate of 39 percent in a highly competitive environment. Operating expenses decreased 1.9 percent from last year. EPS from continuing operations increased 49 percent to $1.59. Free cash flow of $158M (see chart in appendix). Completed $400 million senior note offering and $300 million debt tender offer, ending the year with over $2.6 billion in cash.

Designed, developed and sourced in-house, jcpenney private brands generate approximately 50 percent of our annual revenue. Gross margins from our private brands are 300 to 500 basis points higher than national brands. We have also identified 12 power brands from our private brand assortment with strong customer acceptance and loyalty, these brands have meaningful brand recognition and account for over 30 percent of jcpenneys total sales. JcP STORE BasE Operating 1,108 stores, jcpenney has a balance of both mall-based and off-mall stores to conveniently serve customers. Productivity of the newer off-mall stores is generally above chain average, based in part on a more efficient store layout (i.e., about 80 percent net to gross vs. 70 percent chain wide). In 2010, significant fixturing was completed in over 500 stores, as well as 26 major renovations and 15 store refurbishments. Approximately 14 percent of the store base is less than five years old.

STORE EXPERIENcE Customer satisfaction surveys measure the effectiveness and improvement of the store shopping experience. Topics surveyed include: customer loyalty, associate interaction, merchandise assortments, store execution and store environment. jcpenney earned the highest level of associate engagement in Company history at 81 percent. jcpenney associates earned their highest ever overall satisfaction scores from customers during the 2010 holiday season. jcpenney also offers four businesses our competitors often do not: salon, portrait, optical and custom decorating all in one convenient location.

Building on its powerful e-commerce site, jcp.com, jcpenney is more deeply engaging customers through personal and impactful digital experiences that inspire them to discover all that jcpenney has to offer. Firmly demonstrating its digital leadership, in 2010, jcpenney launched an orchestrated an ensemble of device-specific, customized innovations to reach customers where they are. These included:  Becoming the first major retailer to launch a fullyintegrated e-commerce application on Facebook which engaged customers to contribute comments and shop jcp.com all without leaving the jcpenney Facebook page;  Launching an integrated, mobile commerce site, m.jcp.com, to allow customers to easily find and purchase jcpenney items from their smart phone. Leveraging this technology, it expanded its e-commerce capabilities to its iPhone and Android apps;  Becoming the first home and apparel retailer to allow customers to opt-in to receive mobile coupons;  Partnering with various location-based services, jcpenney was a leader in rewarding customers with special offers when they checked-in to a jcpenney store;  Providing loyalty program members mobile access to reward coupons and account information, further enticing them to shop jcpenney more often; and  Bringing the jcp.com experience in-store by expanding its findmore smart fixture and launching its Modern Bride iPad experience in select stores.

2B Launching late summer 2011, CLAD and Gifting Grace are strategic collaborations with Hearst Publishing and are key drivers in creating the next generation of high-potential online retail businesses. CLAD is a complete online modern menswear resource that will provide a full assortment of well-curated designer brands. Gifting Grace will be a comprehensive online resource offering unique gift items and convenient tools for the year-round gift-giver.

With a focus on engaging big and tall customers who represent more than 50 percent of the male population today our Company launched The Foundry Big & Tall Supply Co., a new retail store. Carrying an extensive assortment of highly sought-after national mens brands along with its own private brand merchandise, The Foundry Big & Tall Supply Co. opened 10 stores and an online e-commerce site on foundrybigandtall.com in spring 2011.

MYRON E. (MIKe) ULLmAN, III Has served as chairman of the board and chief executive officer of J. C. Penney Company, Inc. since 2004. He was directeur general, group managing director of LVMH Met Hennessy Louis Vuitton from 1999 to 2002. Mike previously served as group chairman and chief executive officer of DFS Group Limited (1995-1999) and as chairman and chief executive officer of R.H. Macy & Co., Inc. (1992-1995).
