The By-Laws of the

Madison County Young Republicans (MCYR)

Article I. Name
Section 1. The Name of this organization shall be the “Madison County Young Republicans.”

Section 2. These By-Laws are hereby adopted as the By-Laws of the Madison County Young
Republicans.

Article II. Purpose


The purpose of the Madison County Young Republicans shall be: (1) To promote the growth and
acceptance of the Republican Party among the young people of Madison County by soliciting
and encouraging active participation in Young Republicans; (2) To support the principles,
objectives, and platform of the Madison County Republican Party; (3) To secure the election of
all duly nominated Republican candidates and to secure an effective voice for young people in
the affairs of the Republican party; (4) To develop and maintain an active countywide Young
Republican organization; and (5) To network with other Young Republican clubs for the mutual
benefit of the Young Republicans as a political force.

Article III. Executive Committee & Board of Directors


Section 1. The Executive Committee shall be composed of the officers of the Madison County
Young Republicans. These officers include the Chairman, the Vice Chairman, the
Secretary/Treasurer, and the Membership Director. The Executive Committee shall administer
the business of the Madison County Young Republicans. No member of the Executive
Committee may ever cast more than one vote. The Executive Committee shall perform all duties
required of it by the By-Laws. All members of the Executive Committee must be dues-paying
members of the Madison County Young Republicans.

Section 2. The Board of Directors shall consist of the Executive Committee and up to three (3)
at-large members. The Executive Committee shall be responsible for appointing the at-large
members. No member of the Board of Directors may ever cast more than one vote. The
Directors shall perform all duties required of it by the By-Laws. All members of the Board of
Directors must be dues-paying members of the Madison County Young Republicans. The Board
of Directors shall be responsible for shaping the future of the Madison County Young
Republicans and setting long-range goals for the organization. The Board of Directors shall also
be responsible for planning the annual Christmas party. The Madison County Young
Republicans Board of Directors shall also be responsible for organizing one charity event each
year, and one at-large member of the Board of Directors should be appointed in charge of the
charity event.

Section 3. No Executive Committee or Board of Directors member is allowed to miss three (3)
board meetings. Any member of the Madison County Young Republican Executive Committee
or Board of Directors will be automatically removed if he or she misses three (3) meetings.
Section 4. Meetings of the Executive Committee may be called by the Chairman or by the vote
of 3 members of the Executive Committee. The Chairman shall notify all officers of the time,
place, and purpose of the meeting at least fourteen days prior to the date of the meeting. A
quorum for transacting business shall be a majority of the members of the Executive Committee
eligible to vote at the meeting for which a quorum is being determined. The Executive
Committee shall meet at least once bi-monthly.

Section 5. Meetings of the Board of Directors may be called by the Chairman or by the vote of 5
members of the Board of Directors. The Chairman shall notify all Directors of the time, place,
and purpose of the meeting at least fourteen days prior to the date of the meeting. A quorum for
transacting business shall be a majority of the members of the Board of Directors eligible to vote
at the meeting for which a quorum is being determined. The Board of Directors shall meet at
least once semi-annually.

Article IV. Responsibilities of Executive Committee


Section 1. The Executive Committee shall be responsible for maintaining the following
documents:
(a) a list of officers of the Madison County Young Republicans;
(b) a list of all members of the Madison County Young Republicans, including mailing
address, phone number, e-mail address, and birthday;
(c) a list of all dues-paying members of the Madison County Young Republicans;
(d) all incoming and outgoing correspondence;
(e) all former press releases;
(f) all newsletters.

Section 2. The Executive Committee shall keep minutes from each regularly scheduled monthly
meeting, Executive Committee meetings, and the like.

Section 3. Each Executive Committee member shall be responsible for carrying out the duties for
their respective office to the best of their abilities in accordance with the By-Laws of the
Madison County Young Republicans and the Tennessee Young Republican Federation, Inc.

Section 4. The Executive Committee shall manage and direct the affairs of the Madison County
Young Republicans and authorize programs and activities to be carried out by the officers and
members of the Madison County Young Republicans.
Article V. Officers and Elections
Section 1. The officers of the Madison County Young Republicans shall be a Chairman, a Vice
Chairman, a Secretary/Treasurer, and a Membership Director.

Subsection (a). Chairman: The Chairman shall preside over all meetings of the Madison
County Young Republicans. He or she shall be responsible with planning the agenda of
each monthly meetings, and the Chairman shall be responsible for representing the
Madison County Young Republicans on the Executive Committee of the Madison
County Republican Party. The Chairman should attend all meetings of the Tennessee
Young Republican Federation, Inc. If the Chairman is unable to attend one of these
meetings, he or she shall appoint a member of the Executive Committee to attend the
meeting in his or her place. The Chairman has signing privileges on the Madison County
Young Republicans bank account. The Chairman should appoint all chairpersons of
committees in the Madison County Young Republicans.

Subsection (b). Vice-Chairman: The Vice-Chairman shall exercise the duties delegated to
him or her by the Chairman. Along with an at-large member of the Board of Directors,
the Vice-Chairman is responsible for organizing the yearly community service project.
The Vice-Chairman shall act as the Madison County Young Republican’s chief executive
officer in the absence of or at the request of the Chairman.

Subsection (c). Secretary/Treasurer: The Secretary/Treasurer shall be responsible for


recording the minutes of all Madison County Young Republicans meetings, including
general monthly meetings, Executive Committee meetings, and Board of Directors
meetings. The Secretary/Treasurer shall also maintain a database of all members of the
Madison County Young Republicans. The Secretary/Treasurer shall be responsible for
the collection of dues from members and controlling all money that goes in or out of the
Madison County Young Republicans bank accounts. The Secretary/Treasurer must
provide a financial report at all regular monthly meetings. The Secretary/Treasurer has
signing privileges on the Madison County Young Republicans bank account.

Subsection (d). Membership Director: The Membership Director shall be responsible for
locating new members for the Madison County Young Republicans. This officer should
be prepared to promote the Madison County Young Republicans in media, to local
colleges and universities, and through other means. The Membership Director should
report at each monthly meeting any steps taken to secure new dues-paying members of
the Madison County Young Republicans, and the Membership Director should announce
ways that all persons can assist the club locate new members.

Section 2. The officers shall perform all duties required of them by these By-Laws.

Section 3. All officers shall be elected at the February meeting of each year and shall serve for a
term of one year. Each term of office shall expire immediately after the February meeting of the
following year.
Section 4. Nominations for the Executive Committee shall take place at the January meeting and
continue through the February meeting.

Section 5. The Chairman shall not be elected to more than two successive terms by the members
of the Madison County Young Republicans, unless the first instance was fulfilling an un-expired
term.

Section 6. In order to be eligible to vote in the Madison County Young Republican elections, a
person must be a current dues-paying member.

Section 7. In the case of a contested election among candidates for office, votes will be cast by
paper ballot. If no race is contested, then voting may take place by a voice vote. A majority of
votes shall be necessary for each officer election. If there is no majority of votes for any
particular office, then balloting will continue until a candidate receives a majority of the votes.
Candidates having the lowest vote totals will be dropped from second and succeeding ballots
until a candidate receives a majority of all votes cast.

Section 8. Any office becoming vacant shall be filled by an appointment of the Chairman,
subject to ratification by the Madison County Young Republicans Board of Directors. In the
event the Chairman resigns, the Vice Chairman shall be acting chairman until the next regularly
scheduled meeting, when nominations will be taken for a new Chairman. Any member,
including any current officer, can be nominated for Chairman. Elections for Chairman shall take
place at the following monthly meeting.

Section 9. Any officer may be removed from office by a two-thirds vote in a secret ballot
election of the Board of Directors upon showing of failure to perform the duties of office or bad
faith. Any officer or director who has missed three (3) meetings of the Executive Committee or
Board of Directors shall be automatically removed from office, unless an absence is excused by a
two-thirds vote of the members of the Board of Directors.

Article VI. Eligibility for Holding Office


Section 1. No person who is not a dues-paying member of the Madison County Young
Republicans shall be eligible to hold office under this By-Laws.

Section 2. In the event an officer of the Madison County Young Republicans decides to stand for
public office, he or she shall inform the Executive Committee, which may, by the vote of
majority of the entire membership of the committee in a secret ballot election, affirm that no
conflict of interest or other circumstances which might be embarrassing to the Madison County
Young Republicans could arise. If a majority does so act, the member may hold his office within
the Madison County Young Republicans, but in all other cases, he or she shall automatically
cease to be an officer of the organization. No imcumbent or an elective local or state official
shall be elected.

Section 3. In order to be eligible for election to an office of the Madison County Young
Republicans, the person shall be 18 to 40 years old, inclusive.
Article VII. Membership
Section 1. The age limit for a member in the Madison County Young Republicans shall be 18 to
40 years inclusive, and the Madison County Young Republicans shall not be required to send
dues on any member falling outside this age group. Members who fall outside this age group
shall be eligible to be an associate member in the Madison County Young Republicans.

Section 2. Types of Members

(a) Regular Member: Any person who is not less than 18 years of age and not more than
40 years of age, is a resident of the State of Tennessee, and has paid for membership with
the Club.

(b) Associate Member: Includes members who are more than 40 years of age that are
members of the Madison County Young Republicans and members of other surrounding
Young Republican clubs who pay dues to the Madison County Young Republicans.
Associate members have all of the privileges of a regular member, except they may not
hold office and may not vote.

Section 3. Yearly membership dues shall be payable to the Treasurer of the Madison County
Young Republicans. The dues amount shall be $15 for a single membership, or $25 for a couple
membership. Dues cover membership for 12 calendar months.

Section 4. A member should be considered for expulsion only in a case of extreme disruption or
harm to the club as a whole. A member can be expelled with a three-quarters vote of the Board
of Directors.

Article VIII. Amendments.


Section 1. Amendments to these By-Laws shall be made by a two-thirds vote of the Madison
County Young Republicans.

Section 2. All proposed amendments should be presented to the Chairman in writing who will, in
turn, present the proposed amendment to the Madison County Young Republicans at the next
regularly scheduled meeting. The proposed amendment may be discussed at that time. At the
following regularly scheduled meeting, the Madison County Young Republicans shall vote on
the proposed amendment.

Article IX. Endorsing Candidates


Section 1. At no time shall the Madison County Young Republicans endorse any specific
candidate in a primary election. The officers of the Madison County Young Republicans shall
not permit the use of the title of their office in the club by an organization or person seeking the
nomination of a candidate for an elective office in a primary election.

Section 2. No member of the Executive Committee or Board of Directors of the Madison County
Young Republicans may openly and notoriously support or endorse a person other than a
Republican nominee where there are candidates in an election running under the Republican
Party label or banner.
Article X. Severability Clause
If any part of these By-Laws is found to be in conflict with the Constitution or By-Laws of the
Young Republican National Federation, the Tennessee Young Republican Federation, Inc., or
the Constitution or laws of the United States or the State of Tennessee, it shall not affect any
other part of these By-Laws and is declared severable.
