Governance Assistance and Organizational Development

Main Street Ann Arbor, MI 48104 Tel: 734-998-0160 x230 Fax: 734-998-0163 dkern@new.org rlinares@new.org Purpose: NEW (Nonprofit Enterprise at Work), through its BoardConnect Program proposes to assist the Consortium of Hispanic Agencies (CHA) with the establishment of ADELANTE, as a separate legal entity. The following needs have been established via a conference call with the Michelle Martinez on July 22, 2013. Scope of Work: NEWs approach to organizational development and governance assistance is practical and inclusive, based on a model that is driven by strategic goals and includes concrete action steps for achieving the mission and vision. Typically, NEW follows the flow chart that is included on page 6 to guide the establishment of a governance structure for a new nonprofit. NEW would support this process through information gathering via a stakeholder survey, inperson facilitation, follow-up reports, draft policy documents, implementation tools, and followup support. The participants in this process may have homework to complete between sessions to advance this governance structure work. A. Stakeholder Survey Instrument and Summary Report of Findings. This survey and report could be used to solicit input from the ADELANTE stakeholders. The survey instrument would be designed in collaboration with CHA, and NEW would provide a summary report of the findings prior to the first session. B. Retreat Facilitation for Four Sessions, NEW would facilitate four sessions for two to six hours each. After each session NEW would provide a Post-Session Summary Report. as well as the focus of each session. During the facilitated sessions, NEW may also present governance models of high performing nonprofits, trends in the nonprofit sector, best practices for sustainability, and other relevant topics, as desired. Upon completion of the final session, the following would be the final deliverables from the engagement: Four facilitated sessions and post-session summary reports Stakeholder Survey Summary (if desired) Determination of legal structure (501(c) 3, 4, or 6) Bylaws draft Governance Diagram Organizational Flowchart Officer Job Descriptions Committee Charter Templates Recruitment Timeline and Materials Term Limits Chart Draft Governance Policies Grant Tracking Report Template Dashboard Report Template Trustee Development Plan Template Board Manuals (if desired)

Pricing: NEW employs a social enterprise business model to ensure sustainable operations. For this reason NEWs governance experts charge $100 per hour for consulting engagements; for every hour of in-person facilitation, we estimate an additional two hours for preparation and completion of post-session work. As a nonprofit organization, we also recognize that there are often limited resources available for capacity building assistance, and would provide CHA with a discounted rate in the event that the final cost would be prohibitive to the engagement. The following is our estimate for completion of the work detailed in this proposal: Option A Stakeholder Survey and Summary Report: $500 Option B Retreat Facilitation: $5,100 Total pricing: $5,600 The Consortium of Hispanic Agencies would serve as the contracting organization on behalf of ADELANTE, and would also agree to reimburse the travel costs associated with the consultant traveling outside of Washtenaw County; mileage would be billed at $.565 per mile. Invoices would be sent after the engagement with a net 30-day expectation for payment.

Diana Kern, the Vice President of Programs and Director of BoardConnect, a program of NEW (Nonprofit Enterprise at Work), has a commitment to board governance and strong nonprofits. She is considered an expert in nonprofit board dynamics and governance. Diana is a governance contributor for Michigan Nonprofit Associations online newsletter, The Links and was the Technical Reviewer for the governance section of the 5th Edition of the Michigan Nonprofit Management Manual. Diana was the governance person of choice with New Detroit for their Compassion Capital Initiative federal grant working with faith based and community based nonprofits. She has served on numerous boards and is involved in nonprofit fundraising. She received the Randolph W. White Memorial Award for Community Service in 2003 for her dedication to serving the housing community. She has been a lobbyist for the National Apartment Association in Washington, D.C. on affordable housing topics. She currently serves as Secretary for the Humane Society of Huron Valley Board, is the Treasurer of the Friends of the Ann Arbor Skatepark Board and is co-chair of the Development Committee and she is a member of the Advisory Board for the Nonprofit Finance Fund Midwest. Diana participates in fundraising activities for the American Cancer Society and serves on the Michigan Womens Softball Academy Advisory Board, helping raise awareness of breast cancer and finding sponsors for the annual event at the University of Michigan under Coach Carol Hutchins. Diana arrived at NEW after twenty-five years of progressive advancement in real estate management with McKinley (a national real estate investment firm) where she supervised multi-million dollar budgets, and over 400 employees nationwide. While at NEW Diana has worked with over 50 nonprofit boards a year helping them with recruitment, board policies, best practices, board assessments using NEW's Board360 online assessment tool, Form 990 compliance, fundraising, bylaw changes, and more. She provides a one-

hour Board's Role in Fundraising session that gets rave reviews. Diana's approach to nonprofit board service is practical, purposeful and fun! Diana has recently worked with Area Agency on Aging 1B, Michigan Library Association, Oakland Mediation, Gleaners Foodbank, Starfish Family Services, Borders Foundation, Asher Student Foundation, The Arc Michigan, Loaves and Fishes Southwest Detroit, Solid Ground Inc., Jewish Gay Network of Southeast Michigan, and many, many more. Diana is a standard speaker on the Michigan annual conference circuit including presenting for The Michigan Nonprofit Associations Super Conference, The Michigan Affordable Housing Conference, The Arc Michigan Conference and others.

Rosemary Linares, the Program Associate and Training Specialist, works with the Vice President of Programs and Director of BoardConnect to help nonprofits succeed by strengthening nonprofit management and offering solutions to issues facing the nonprofit community. Prior to joining NEW, Rosemary launched Cross Movement Social Justice Consulting, L3C, to advance social justice by increasing the capacity of nonprofit organizations and building alliances across movements. Through her consulting practice, among other projects, Rosemary was contracted by Planned Parenthood of Mid and South Michigan to assist in the design, facilitation and evaluation of the organizations Cultural Awareness Responsibility Experience, a workshop on diversity and inclusion. In May of 2010, Rosemary graduated from New York University (NYU) with her MPA in Public and Nonprofit Management. For her NYU Capstone Project she worked in a team to conduct a process evaluation of a pilot project at Legal Momentum to increase female high school student participation in nontraditional career and technical education programs. Before her graduate program, Rosemary was the Program Assistant at the Arcus Foundation in New York City, a global foundation supporting social justice for the lesbian, gay, bisexual and transgender community, as well as the preservation and conservation of the great apes. While completing her BA in Cultural Interdisciplinary Studies at Antioch College, she volunteered with community-led, grassroots organizations in Ohio, Florida, and Cuba, and taught English as a foreign language in Ecuador and Mexico. Her commitment to strengthening the nonprofit sector began at age 15 when she started volunteering at local nonprofit agencies in Ann Arbor, Michigan. She currently serves as Secretary of the board of the Michigan LGBT Community Center Network, is on the Community Leadership Committee of the Encuesta Buenos Vecinos community-based participatory research project in Washtenaw County, and is the Community Engagement Liaison of the Understanding Race Project in Washtenaw County, in conjunction with the University of Michigan Museum of Natural History.
