ArticleI Membership SectionA.ClassesofMembership 1. MemberAnindividualthatregularlypaysduesandotherleviesassessedbytheSocietyandwho hasnooutstandingfinancialobligationstotheorganizationisconsideredanactivememberand entitledtovote. 2. StudentMemberanypersonattendingcollegeorpostgraduatestudiesmayjointheSocietyata discountedduesrateanddoesnotvote.HighSchoolstudentsorlowergradelevelsdonotpaydues anddonotvote. 3. HonoraryMemberanindividualmaybegrantedsuchstatusbyamajorityvoteoftheBoardof Directors.HonoraryMembersdonotpayduesanddonotvotebut,doenjoyallotherprivilegesof membershipandmayattendmeetingsoftheBoardofDirectorswithoutspecialinvitations.The ConsulGeneral,theDeputyConsulGeneral,Consul,ViceConsulofJapaninNashville,TNandthe HonoraryConsulGeneralinNewOrleans,LAaredesignatedasHonoraryMembers. 4. CorporateMembersAnorganization(i.e.business,tradegroup,institution,governmentalagency, etc.)whichregularlypaysduesandotherleviesassessedbytheSocietyisconsideredanactive corporatememberandisentitledtovote.CorporateMembersmayappointuptotwo(2) representativeseachofwhomhasone(1)vote.ThevotesofCorporateMembersarecountedin thesamemannerasofothervotingMembers. 5. JETAlumniMemberAllJETparticipantsareautomaticallyadmittedtotheSocietyupon completionoftheircontractsandtheirreturntoNewOrleans.JETAlumniarenotrequiredtopay duesforoneyearandarenotallowedtovote,however,theyareentitledtoallotherprivilegesof membershipintheSociety.Afteroneyear,JETAlumnimaycontinuetheirparticipationinthe Societybypayingmembershipdues. ArticleII Meetings Section1.GeneralMembershipMeetings Thereshallbeone(1)GeneralMembershipmeetingeachyear,inthemonthofNovember.The Novembermeetingwillserveasthemeetingatwhichnewofficerswillbeinstalled. Section2.BoardofDirectorsMeetings TheBoardofDirectorsshallmeeteachquarterThePresidentshallpresideatallmeetings.Inhis absence,theVicePresidentshallpresideandintheabsenceofboth,theSecretaryshallpreside.Shall allthree(3)beabsent,aChairmanandSecretaryforthemeetingshallbeelected. Section3.SpecialMeetings ThePresidentmaycallaspecialmeetingofthemembershiportheBoardtobeheldatthetimeand placehedetermines.TheSecretaryshallgiveaten(10)daynoticeofsuchmeetings.

ArticleIII Quorum Section1.GeneralMembership Aquorumisreachediften(10%)ofthemembersarepresent. Section2.BoardofDirectors AquorumisreachedifamajorityoftheBoardmembersarepresent. ArticleIV Voting Section1.VotingRights OnlyMembersandCorporateMemberrepresentativesmayvote.Eachvoteshallbecast.Votesby proxyarenotallowed. Section2.Balloting AllballotswillbebyvoicevoteunlessotherwiserequestedbyamajorityofMemberspresentinwhich case,ashowofhandsorwrittenballotswillbeemployed. Asimplemajorityvoteofthosepresentisrequiredforpassageofanymotionexceptasotherwise designatedbytheseByLaws. ArticleV DuesandContributions Section1.Dues MembershipduesarefixedbytheBoardofDirectorsandmaybechangedfromtimetotimeastheysee fit.Duesarepayableinadvance,uponreceiptofinvoice/statement. Section2.Contributions TheSocietymay,asrequired,solicitcontributionsfromitsMembersandothertobeusedforthe conductofappropriateprograms.

ArticleVI DirectorsandOfficers Section1.Number TheBoardofDirectorsshallconsistofaminimumofseven(7)members,plustheimmediatePast PresidentwhoshallhaveallthedutiesandresponsibilitiesofaBoardmember,includingtherightto vote,eachhavingone(1)vote.TheHonoraryConsulGeneralofJapaninNewOrleansshallbean HonoraryBoardMemberwiththerightsandprivilegesofaBoardmemberbutshallnothaveavote. Section2.ElectionandTermofBoardMembers Boardmembersareelectedbyamajorityvoteofthememberspresentattheannualmeeting.Board membersmayalsobeappointedmidyearbythePresidentandmustbeaffirmedatthenextannual meetingEachBoardmemberiselectedforatermofone(1)year.Boardmembersmaybeelectedto multipleconsecutivetermswithoutlimitations. Section3.DutiesoftheBoard TheBoardofDirectorsshallhavegeneralchargeofthebusinessandpropertyoftheSocietyandits decisionsonallmattersrelatingtheretoshallbecontrolling,subjectalwaystotherulesoftheSociety andtosuchactionastheSocietyitselfmaytakeatitsmeetings.TheBoardofDirectorsshallhaveand exercisesuchotherdutiesandpowersasareotherwiseprovidedforbylawandcustomofDirectorsof Corporations. Section4.Officers TheOfficersoftheSocietyshallbethePresident,theVicePresident,theSecretaryandtheTreasurer. Section5.ElectionandTermofOfficers Officersareelectedbyamajorityvoteofthememberspresentattheannualfallmeeting.EachOfficer iselectedforatermofone(1)year.Officersmaybeelectedtoamaximumoftwo(2)consecutive terms,however,theymayserveadditionaltermsifsoapprovedbyamajorityoftheBoard. Section6.DutiesoftheOfficers ThedutiesoftheOfficersshallbeasfollows: a. ThePresidentshallpresideatallmeetingsandshallhavetherightsanddutiesthatusually appertaintosaidoffice. b. TheVicePresidentshalldischargethedutiesofthePresidentduringhisabsenceorduringa vacancyinhisofficeandduringsaidtimeshallhavethesamerightsandprivilegesasthe President. c. TheSecretaryshallkeepminutesofallmeetingsandofthecorrespondenceandkeepthe recordsandshallperformalldutiespertainingtotheofficeofSecretary.

d. TheTreasurershallcollectallfundsoftheSocietyanddisbursesameinaccordancewiththe directionoftheBoardofDirectorsandshallreportateveryannualmeetingandBoard Meetingsonthestateoffunds.AllchecksmustbesignedbytheTreasurerand/or President. Section7.NominatingCommittee TheBoardshallappointaNominatingCommitteecomprisedofthree(3)members,two(2)fromthe Boardandone(1)fromthegeneralMembership,allingoodstanding.ThePresidentshallappointthe ChairmanoftheCommittee.NominationsforDirectorsandOfficerswillbepresentedtothe membershipbytheCommitteethirty(30)dayspriortotheannualfallmeeting.Nominationswillalso beacceptedfromthefloor.Thenomineesreceivingthehighestnumberofvotesshallbedeclaredtobe elected. ArticleVII Committees Section1.Committees TheBoardofDirectorsand/orthePresidentisempoweredtoappointsuchstandingandspecial committeesasmaybedeemednecessary. Section2.StandingCommitteesandChairmen StandingCommitteesshallbeasfollows: a. TheVicePresidentshallserveasProgramChairman b. TheTreasurershallserveasMembershipChairman c. TheNominatingCommitteeChairmanshallserveastheChairmanoftheAnnualInstallation DinnerMeeting. Section3.ExOfficioMembers ThePresidentshallbeanExOfficiomemberofeverystandingcommittee. ArticleVIII MiscellaneousProvisions Section1.ParliamentaryOrder TheproceedingsofallmeetingshallbegovernedbyRobertsRuleofOrder,unlessthereisaconflict withtheArticlesand/orByLaws,inwhichevent,theprovisionsoftheArticlesand/orByLawsshall control. Section2.EffectandAmendment TheseByLawsshalltakeeffectimmediatelyuponadoptionandmaybeamendedatanytimeas providedbytheArticlesofIncorporation.Amendmentsshallbeeffectiveimmediatelyuponadoption.
