AGREEMENT BETWEEN REGISTERED ADVERTISING AGENCY AND DOORDARSHAN COMMERCIAL SERVICE.

An agreement made on the ______ day of _______ 200___ (Two thousand ______) between the Prasar Bharti (BCI) through the Director (Commercial), Prasar Bharti, (Broadcasting Corporation of India), Copernicus Marg, New Delhi 110 001 (herein referred to as the "Doordarshan

Commercial Service ")of the first part and M/s. _______________________-----------------------------------------------------------------------------------------------------------------------------------------------------------------------------------------------------------------------------------------______________________ (herein called the "Agency") of the second part.

WHEREAS for the better regulation of the practice of advertising and to secure the best advertising service for advertiser, the Doordarshan commercial Service has agreed to allow commission in respect of advertisement placed by any advertising agent and resisted by it and whereas the agency desirous of being resisted by the Doordarshan commercial Service for the purpose of becoming entitled to commission in respect of Advertisement placed with Doordarshan commercial Service and has made an Application in writing to Doordarshan Commercial Service for granting a "Registered" status. The information contained in the same application is the basis of the agreement and any inaccuracy or commission in the said information due inadvertence accident or otherwise shall render this agreement avoidable at the option only of the Doordarshan Commercial Service which has accepted the said application. Now, it is hereby mutually agreed by and between the parties hereto as follows: 1. By the Doordarshan Commercial Service :- the Doordarshan Commercial Service hereby granting "Registered" status to agency and includes

its name in the list of Registered Agencies : 2. By the agency: In consideration of the registered status herein granted and of the commission to which the agency will be entitled by reason of such registration : (a) The agency shall maintain a properly equipped office and use its best efforts to insure that all advertisement placed by it are legal, honest and truthful render the best possible advertising accounts. (b) The remuneration of the agency for placing Advertisement in the Doordarshan Commercial Service shall be in the form of standers

agency :commission of 15% (Fifteen Percent) to be paid by the Doordarshan Commercial Service. (c) The Agency shall retain in full all Commission and remuneration earned as an advertising agency and that it will at no time pay or otherwise allow directly or indirectly any part of such commission or remuneration to any person, advertiser representative of any advertiser for whom it may be acting or has acted as an advertising agency. (d) The Agency will not charge any advertiser for any advertising time more or less than the rates prescribed by the Doordarshan Commercial Service.

(e)

The Agency will advise/inform in writing the Doordarshan Commercial Service of any alteration particulars furnished in the form of application for registration originally submitted passively within fifteen (15) day from the date of the alteration aforesaid.

(f)

In the even of any important alterations, the Doordarshan Commercial Service will be entitled to remove the Agency's name from the list of registered agents or, it necessary require the Agency, to submit a fresh application for registration.

(g)

In the event of the Doordarshan Commercial Service removing from the list registered agents the name of any advertising agency, the said Agency will not for a period of Twelve (12) months after the date of such removal employ partner or Director of such Deregistered Agency as a partner or Director or make any arrangements for the purpose of taking over the business therefore wholly or in part without prior intimation in writing to the Doordarshan Commercial Service.

(h)

The Agency shall pay to the Doordarshan Commercial Service the advertisement charges and other related bill in advance by demand drafts on a bank in new Delhi According to the rules framed and before due date fixed by the Doordarshan Commercial Service in the regard. If the agency fails to make advance payment as hereinabove provided the Doordarshan Commercial Service shall be entitled to stop its all further telecast without any way becoming liable to the agency and without prejudice to all other rights remedies hereunder. Provided for the, if the agency fail to remit the amount of advertising charges and other related bills already collected from the advertisers to the Doordarshan Commercial Service the prescribed due date of the payments or with holds such

amounts for unreasonably long periods, its registration will be liable to be cancelled. (i) In the event of branch or infringement of any terms or condition of this agreement by the Agency, it shall keep the Doordarshan Commercial Service indemnified against all action, claims, demand and expenses arising as a consequence thereof. The agency will also be liable

to loops its status.

3. The Doordarshan Commercial Service will have the right subject only to giving one month notice in writing to suspend or cancel the Agency's Registration and remove its name from the list of Registered Agencies without giving reasons for this decision. The Agency may appeal to the Deputy Director General (Commercial), New Delhi for reconsideration of the decision to suspend or cancel it registration and his decision shall be final and binding on the Agency.

A commercial telecast will be regulated by such code of conduct, standards and rule as may be prescribed by Prasar Bharti (BCI) from time to time.

In the event of any question, dispute or deference arising under these presents or in connection there with (except to any maters the decision o which is specially provided for by these present), The same shall be referred to the sole arbitration of an officer appointed by the Director General, Doordarshan. it will be

no objection that be arbitrator is a Prasar Bharati Employee, that he has to deal with the matters which this presents relate or that in the course of his duties as a Prasar Bharati employee he has expressed views on all or any of the matters in dispute on difference. The award of the arbitrator shall be final and being on the parties to these presents. In the event of the arbitrator dying, neglecting or refusing to act or resigning or being unable to act for any reason; it shall be lawful for the Director General, Doordarshan to appoint another arbitrator in place of the outgoing arbitrator in the manner aforesaid. The arbitrator may, from time to time with the consent of the parties to this presents enlarge time time for making and publishing the award. Upon every any such reference and the assessment of the cost of any incidental to the reference and the award respectively shall be in the discretion of the arbitrator. Subject as aforesaid, the Arbitration Act, 1940, the rules there under and any statutory modification thereof for the time being in force shall be deemed to apply to the arbitration proceeding under this clause. 4. The Doordarshan Commercial Service shall have the right to amend or alter the terms and the rules governing granting of the registration status from time to time as ti may deem necessary and such amendments and alterations shall be binding on the Agency.

5. The Prasar Bharti (BCI) agrees to bear the stamp duty, if any, chargeable on these presents. IN WITNESS WHEREOF the parties here to have set and subscribed their respective hands there up to the day and year first above written.

Annexure I Form of Advertisement Empanelment of Stringers in Doordarshan Doordarshan Kendra .. Doordarshan Kendra________ invited applications for empanelment as Stringers/Cameraman from Proprietor, Partnership firm Corporate body Organization with experience in visuals coverages. Stringer are required in ______ (list names of town/cities and places where stringers are to be empanelled). Applicants should mention in the application from the names of Town and Cities where they would with to be empanelled. Empanelled stringers are expected to service the Doordarshan Kendra news ceverages as also ceverages in DVC-Pro/DV-CAM/CCD/Mini DV for short features on news current affairs sports business and other subjects. NOW THEREFORE THIS AGREEMENT WITHNESSETH AND IT IS AGREED BY AND BETWEEN THE PARTIES AS UNDER: 1. Nature and Description of Services 1.1 M/s. _________________ will perform the following:

(a) To cover newsworthy events assigned by Regional News Unit of Doordarshan and the same will be used as far as possible in at least one news bulletin. (b) The coverages by the second party should contain all elements of a news story. For each coverage, it should provide raw footage, dope sheet, press material and script. (c) The second party will alert the Regional News Unit of Doordarshan on major news fall or breaking news or stories of interest on their town/city. 2. Consideration i. For assigned local coverage of duration of 6 hours, a gross sum of Rs1200/- (Rupees one thousand and two hundred only) (irrespective of length of the footage of usage of the coverage) , inclusive or transportation and delivery charges, will be paid for coverages done in DVC-Pro/DV-CAM/CCD/Mini DV camera and in case duration of 6 Hrs. in exceeded or when it involves locations part for more than 10 kms. it will be treated as two coverages and 2nd coverag paid @ Rs.900/-. In the case of outstation coverages which are coverages undertaken beyond the geographical limit of town/city where stringer is empanelled or beyond the town of the Kendra, a gross amount of Rs.1500/- (Rupees one thousand and five hundred only) inclusive of transportation and delivery charges, all taxes/charges, irrespective of length of the footage or usage of the coverage, will be paid for coverages done in DVC-Pro/DV-CAM/CCD/Mini DV camera. Payment will not been made if the coverage is of poor quality or of the coverage is delayed. The ceiling for payment per annum will be Rs. ______________ The second Party shall submit pre-receipted monthly bill.

3. Equipment and Facilities.

i. The second party can use DVC-Pro/DV-CAM/CCD/Mini DV camera for coverages and shall also have its own adequate facilities and equipment, and facilities would be reviewed from time to time to factor technological charges in the area. The second party shall allow a physical verification of the equipment by an officer/committee authorized for this purpose by Prasar Bharati. It shall also submit the necessary documentary evidence as proof of ownership of the equipment. To improve movement and connectivity, second party shall maintain a four wheel vehicle and a mobile phone at their own cost.

4. COPYRIGHT All rights including copyright in and in relation to any work produced by second party during above mentioned empanelment with Prasar Bharati shall always vest with Prasar Bharati and the second party not be entitled either to claim any right of any kind whatsoever and/or use any Doordarshan. Any work produced by the second party, as per the terms of this agreement, shall be the exclusive property of Prasar Bharati and shall be used by Prasar Bharati for any purpose. The second party shall undertake to execute all such documents/deeds/agreements in favour of Prasar Bharati, whenever required, for this purpose. The second party shall not be entitled to:i. Permit any telecasting/broadcasting Organization to relay such assigned work; ii. iii. Publish such assigned work or their translation in any language and Make or distribute and permit any individual or Organization to make or distribute mechanical reproduction thereof.

5. The second party shall perform the assigned work at its own risk. The first party shall not be liable to pay any compensation or damages to the second party for loss of life injury of any kind including permanent disability and loss or damage of equipments etc. 6. Termination of Agreement. i) This agreement will be terminated in all any of the following grounds, if

a) The second party refuses to cover an assigned coverage on two or more occasions; b) The coverage is poor in content or in technical quality(poor audio quality, noisy video, variation in chrominance or luminance levels, defocused pictures etc.); c) There is a delay in providing timely coverage; d) The second party is suspected to be sub-contracting the assigned work to others; e) The second party is found to be operating or is a part of a Cartel system amongst similar placed persons vis-a-vis Prasar Bharati; f) The information furnished in the empanelment is found to be incorrect; application from for

g) Any act on the part of the second any causes empanelment to Prasar Bharati. ii) In the case of the first default on account of (i) a) and/or b), an appropriate communication will be sent to the second party. Before termination of this Agreement, a show cause Notice will be sent to the second party. A reply to this notice must be sent to the sender within 30 days of the issue of the notice. The second party may if it wishes prefer an appeal to the Director General Doordarshan within thirty days of receipt of the order terminating this Agreement. The Director Generals decision on the appeal shall be final.

7. Indemnities: (a) The second party shall indemnify and keep Doordarshan fully indemnified its employees and agents from and against all claims including any third party claims, demands actions proceedings damages liabilities cost and expenses whatsoever (including legal fees and expenses actually incurred) arising directly or indirectly out of, i. Any actual misrepresentation or actual negation of any of the representation assurances and warranties provide by the second party under this agreement (which may arise due to the telecast of news coverage by Doordarshan)

ii. Any breach by second party of this agreement; iii. Any claims including any third party claims that may arise upon or be made against Doordarshan in respect of or due to the telecast of the news coverages in accordance hereof. iv. Second party shall indemnify Doordarshan from any controversies arising out of the telecasting of news coverages provided by it. 8. CONCILIATION & ARBITRATION: In case any difference and/or dispute arise, it shall be settled by the parties amicably by mutual conciliation. If for any reason, such disputes and/or differences cannot be resolved amicably, the same shall be referred to sole arbitrator to be appointed by the Chief Executive Officer of Prasar Bharati (BCI), whose decision shall be final and binding on both parties and shall e governed by the Arbitration and Conciliation Act, 1996. The venue for such arbitration shall be New Delhi (India). 9. JURISDICTION AND GOVERNING LAW: The agreement shall be governed by and construed in accordance with the law of India. All disputes shall be subject to jurisdiction of courts at Mumbai. 10. NOTICE: All notices requests comments and other communications under this agreement shall be in writing in English languages and shall be sent by (i) speed post (ii) facsimile (iii) personal delivery to the respective parties to this agreement at the address set forth above, in case of any change in address phone number fax number e-mail address etc. each party will notify the change to the other immediately. Each such notice given in accordance with this paragraph shall be deemed to have been given five (5) days after having been mailed or immediately upon transmission by facsimile (with confirmation of error free transmission). 11. COSTS ON ACCOUNT OF THIS AGREEMENT: All the costs, changes expenses incurred in connection with executing this agreement including stamp duty and all other disbursement shall be borne by the stinger. 12. The second party may also get its name deleted from the panel of the approved stringers after giving at least three months notice to the First Party.
