Severability: If any term or other provision of this Agreement is invalid, illegal or unenforceable, all other conditions and provisions

of this Agreement shall nevertheless remain in full force and effect so long as the economic and legal substance of the transaction contemplated hereby is not affected in any manner materially adverse to any party. Upon such determination that any term or other provision is invalid, illegal or unenforceable, the parties shall negotiate in good faith to modify this Agreement so as to reinstate the original intent of the parties as closely as possible in an acceptable manner to the end that the transactions contemplated hereby are fulfilled to the maximum extent possible. Endoprobes are for single-use only. Microbial or prion infection may occur if re-used. Potential risk from reuse or reprocessing endoprobes labeled for single use include: Phototoxicity from inconsistent laser or illumination exposure caused by a damaged fiber or connector, reduced laser/illumination output, fluid path leaks or obstruction resulting in reduced fluidics performance, and foreign particle introduction into the eye. Without prejudice to the provisions of Clause 6 below, until title in the Goods has passed to the Buyer pursuant to this Clause the Seller shall be entitled to re-take possession of any Goods held by the Buyer under this Contract, or under any other contract with the Buyer, should the Buyer become insolvent, pass a resolution for winding up, suffer the appointment of a receiver, administrator or liquidator or voluntarily enter into any arrangement with or to compound with its creditors, or otherwise cease to be able to pay its debts as they fall due or if analogous events shall occur in any other jurisdiction. The Buyer will not permit, procure or suffer the Goods sold to it under this Contract to form the subject of any insolvency proceedings or arrangements whatsoever unless payment in full has been made for such goods title in the Goods has passed to the Buyer pursuant to this Clause. Existing Land Use Development Plans should be reviewed to reflect the best and most accurate information on coastal erosion. It is important that Plans are based on a suitable evidence base which identifies and understands all forms of coastal hazard risk and how it is changing (hazard, vulnerabilities, consequences and risk). The objective must be to avoid new development in areas at risk of erosion and other coastal hazards and to plan to sustainably reduce coastal hazard risks in areas which are already developed. Existing plans and policies towards development in the coastal zone should therefore be reviewed and updated to reflect the conclusions of this project.
