ABC COMPANY COMPANY CAR POLICY

POLICIES, RESPONSIBILITIES AND GUIDELINES POLICY It is ABC COMPANYs policy to provide vehicles to employees in designated positions. This Policy applies to employees wherein driving is key for job performance, whether employees are in a personal vehicle or a Company vehicle, and is provided for use in conjunction with ABC COMPANYs Employee Manual. The purpose of this Policy is to outline ABC COMPANYs expectations and employees responsibilities. It clarifies the Companys position regarding issues that affect working relationships and establishes guidelines to follow. It is not a contract of employment. The employment relationship between the employee and ABC COMPANY is totally voluntary and can be terminated by the employee or ABC COMPANY at any time for any, or no, reason. (Please refer to the ABC COMPANY Employee Manual). Policy will be reviewed periodically by ABC COMPANY, and may be changed, modified and/or deleted. Employees will be notified of any changes via ABC COMPANY email. Employment may be contingent not only upon the employee abiding by ABC COMPANY Company Policy but acknowledging said Policy. Failure to acknowledge Policy within 30 days of the commencement of employment, or within 30 days upon requests to do so as a result of Policy changes/updates, will be construed as a violation of Policy, and will be grounds for disciplinary action, up to and including termination. If you ever have any Policy questions, comments or concerns, please do not hesitate to contact your Manager. RESPONSIBILITIES Company Management is responsible for establishing and maintaining standards for vehicle selection/replacement and criteria for vehicle assignment. The use of the Company car is restricted to the employee (authorized driver) while engaged in Company and reasonable personal business, and employees authorized non-employee spouse, while engaged in reasonable personal business. Other authorized Company personnel engaged in Company business may use the vehicle; i.e., the employees manager. Authorized Drivers Employees of ABC COMPANY who are granted permission by the Company to drive a Company vehicle or personal vehicle on behalf of the Company. These employees must: (1) have a valid drivers license in the state in which they reside; (2) authorize the Company to perform periodic/annual driving records checks; (3) have an acceptable driving record in line with Company standards; (4) be physically capable of driving safely (appropriate reasonable accommodations will be considered by the Company). Authorized Non-Employee Drivers the spouse, as legally recognized and defined, of an authorized driver is the only authorized non-employee driver provided that: (1) they are declared to the Company by the authorized driver (2) have a valid drivers license in the state in which they reside; (3) meet the Driver Eligibility criteria. No other person is authorized to operate the Company Vehicle.*

Employment is contingent upon possession of a valid drivers license within the state in which employee resides. Failure to obtain a drivers license corresponding to the employees primary residence within 30 days of moving for current employees, and within 30 days of start date for new hires, could result in termination. Employees must provide a copy of the new license to the ABC COMPANY Fleet Department at the secure fax location 201-XXX-XXXX. GUIDELINES ABC COMPANY prohibits the following: Transporting of hitchhikers. Use of the vehicle for any business venture other than that pertaining to employees job duties. Acceptance of any form of compensation for carrying passengers or materials. Towing of trailers or other vehicles. After-market modifications to the Company vehicle, including but not limited to stereo equipment, luggage racks, window tinting, etc. Should aftermarket modifications be made to the Company vehicle, the employee will, at his/her own expense, remediate such aftermarket modifications, ensuring the vehicle is undamaged and returned to its original condition. Use of the vehicle while under the influence of any substances as stated in the ABC COMPANY Employee Manual (Substance Abuse Policy), and the ABC COMPANY Safety Policy. Use of headphones of any kind while operating the Company vehicle or personal vehicle. Transporting of firearms or weapons of any kind in the Company vehicle. Use of cell phones, regardless of hands-free or hands-on operation, at any time while operating the Company vehicle; or personal or rental vehicle while on ABC COMPANY business. Use of vehicle by any non-authorized driver. Use of the Company vehicle, or use of personal vehicle while conducting Company business, while any authorized drivers license is suspended.

Please understand any violation of the above-mentioned Responsibilities and Guidelines will be referred to the Corporate Compliance Officer and Human Resources, and may result in disciplinary action (up to and including termination) and/or forfeiture of the Company vehicle for which a car allowance at the prevailing rate would be provided.

DISCIPLINARY ACTION

Disciplinary action will be guided by ABC COMPANYs Corporate Disciplinary Policy and encompasses, but is not limited to, that outlined below, is at the discretion of the Company, and/or is proportional to the risk to which the employees actions place the Company: Placement of Policy violation notification in the employees Human Resources file. Accumulation of more than one Policy violation notification in the employees Human Resources file which shall result in warning to employee of said Policy violations by a Human Resources representative and employees direct manager. Loss of Company vehicle. Termination.

VEHICLE USAGE AND OPERATION The employee is responsible for operating and maintaining the assigned vehicle in accordance with the following requirements. It is expected that the employee will be the primary driver of the Company vehicle. *Only the employee and the employees spouse, following MVR clearance and notification from ABC COMPANY Fleet Department to employee of employees spouses clearance, may operate the Company vehicle. Service and maintenance of the vehicle must be performed in accordance with ARIs instructions furnished with the vehicle. Should failure to maintain the vehicle result in damage to the vehicle, the employee will be responsible for costs up to $500.00, and possible forfeiture of the vehicle. Additional information is provided in the Maintenance and Repairs section of this manual. Employees provided Company vehicles and expected to keep records on the vehicle use (gas and mileage), arrange for proper maintenance of the vehicle, and keep them clean and in safe operating condition. Failure to do so will be construed as abuse of the vehicle and a violation of Policy. Such abuse and violation will be referred to the Corporate Compliance Officer and Human Resources, and may result in disciplinary action (up to and including termination), and/or forfeiture of the Company vehicle for which a car allowance at the prevailing rate would be provided. Windshield washer fluid or an occasional quart of oil should be replenished by employee and expensed on the Field Expense Report. For other services, the Company car is covered by a preventive maintenance and repair program administered by ARI. When driving the Company car on ABC COMPANY business, the employees primary responsibility is to drive safely. It is also important to maintain security of the car and its contents, as well as keeping it neat and clean both inside and out. Vehicles are to be kept locked at all times and sales materials; i.e., samples, etc., should be secured and out of sight. Windows should be closed in all unoccupied vehicles. Employees are not permitted to tow any type of trailer with the Company vehicle.

ABC COMPANY will reimburse for external cleaning of cars ONLY up to $10.00/month which can be charged on the Corporate American Express Card. Costs for external cleaning should not be placed on the WEX/Wright Express Fuel card. ABC COMPANY will not reimburse for internal cleaning or detailing of the Company vehicle, considered to be the employees responsibility.

Please understand any violation of the above-referenced Vehicle Usage and Operation will be referred to the Corporate Compliance Officer and Human Resources, and may result in disciplinary action (up to and including termination) and/or forfeiture of the Company vehicle for which a car allowance at the prevailing rate would be provided.

INSURANCE INFORMATION All Company vehicles are fully insured and are covered by ABC COMPANYs business auto policy provided vehicles are operated by authorized drivers. Upon initial entry into the Program, employees will be provided with a current insurance ID card which should be kept in the vehicle at all times. The ID card will automatically be replaced/updated yearly. Replacement for lost or missing insurance cards should be directed to ARI at the Fleet Administration number 866-XXX-XXXX. COVERAGE Any ABC COMPANY employee authorized to drive a Company vehicle. The authorized spouse* as defined by ABC COMPANY of an employee if the spouse possesses a valid drivers license and has consent of the employee responsible for the vehicle. Insurance Coverage for ABC COMPANY Fleet Vehicles What is covered: Liability and property damage for ABC COMPANY Fleet vehicle when driven by an authorized ABC COMPANY driver. What is not covered: Non-authorized ABC COMPANY drivers Liability and property damage for nonABC COMPANY Fleet vehicle

ACCIDENT REPORTING The Company expects authorized drivers to exercise prudent judgment in the operation of any vehicle. However, should an accident/incident occur regardless of whether there does not appear to be any vehicular damage, the driver must follow the procedures/guidelines below. 1. IMMEDIATELY report the accident/incident to ARI at 866-XXX-XXXX.

2. Notify police immediately and obtain copies of pertinent documents; i.e., police reports, as soon as they are available. 3. Obtain information from the other party(ies) involved in the accident/incident. 4. WITHIN 24 HOURS report the accident/incident to both the ABC COMPANY Fleet Department at 800-XXX-XXXX, and to your manager. Failure to adhere to these procedure/guidelines will be construed as a violation of Policy, will be referred to the Corporate Compliance Officer and Human Resources, and may result in disciplinary action (up to and including termination) and/or forfeiture of the Company vehicle for which a car allowance at the prevailing rate would be provided. Employees will be assessed the following penalties for any at-fault accident involving the Company vehicle being driven by either the employee or authorized non-employee spouse: First Accident Second Accident Third Accident within 24 month period $500.00 deductible $500.00 deductible and forfeiture of the Company vehicle Referral to appropriate manager for counseling, and completion of State-approved driver remedial course, cost to be borne by the employee, to be fulfilled within three months after loss date. Proof of successful fulfillment to be provided to ABC COMPANY within two weeks of course completion. Termination Termination

Third Accident within 12 month period Fourth Accident within 24 month period

NOTE: Accident reporting procedures must also be followed if employees are driving an Enterprise rental while awaiting a Company vehicle, or while having repairs performed on the Company vehicle. Items 2 and 3 also apply to those driving personal vehicles.

ACCIDENT REPAIRS A representative from ARI/CEI (Collisions Experts, Inc.) will direct the employee on how to arrange for inspections/repair of the Company vehicle at an established repair facility. Towing, estimates/appraisals and rentals, when approved, will be arranged by ARI. No fee for these services will be reimbursed when not obtained through proper channels. Accident repairs are to be performed on all Company vehicles as soon as reasonably possible, but not to exceed 30 days of accident date. Failure to have repairs performed will be considered a Policy violation, and will be referred to the ABC COMPANY Corporate Compliance Officer and Human Resources for appropriate disciplinary action that may include forfeiture of the Company vehicle.

DAILY RENTAL VEHICLES If the Company vehicle is inoperable due to accident or unscheduled repairs and substitute transportation is needed, all rentals will be arranged through ARI. Every effort will be made to ensure rental vehicles are of comparable quality and size of the Company car.

If a rental upgrade is requested, any additional costs will be the employees sole responsibility. ARI contracts with specific rental agencies. If a rental is obtained through means other than ARI, all costs over and above ARI rates will be the employees sole responsibility. WEX cards are not to use used to fuel rental vehicles.

STOLEN VEHICLE The theft of a Company vehicle must be reported immediately to the police, ARI, the employees Manager, and the ABC COMPANY Fleet Department. ARI will arrange for a replacement vehicle. If samples are involved in the auto theft, Sample Compliance should also be notified. Employees are to make every reasonable effort to assist in the investigation, followup and recovery of the vehicle. Failure to do so will result in the employee being referred to the Corporate Compliance Officer and Human Resources for appropriate action. Should the theft be attributed to employee negligence, including but not limited to, unlocked doors, opened windows, keys left unattended/lost, etc., the employee will be referred to the Corporate Compliance Officer and Human Resources for appropriate action, and may be assessed a penalty of up to $500.00 to cover deductible losses, as well as possible loss of the Company car benefit. VEHICLE ORDERING VEHICLE SELECTION Each model year a selected list of vehicles is developed by ABC COMPANY to determine the best possible vehicles to meet employees needs. Vehicles are selected based on safety, comfort and convenience, as well as adherence to economic criteria. Every effort will be made to provide employees with the vehicle of their choice. However, Company Policy does not permit the refusal of a vehicle because it is not the make, model or color preferred. If an employee declines participation in the ABC COMPANY Company Car Program, reimbursement will be for business fuel only. ORDERING Upon confirmation of full-time employment, employees will be eligible to participate in the ABC COMPANY Company Car Program and a vehicle will be assigned from within ABC COMPANYs surplus fleet. If no vehicle is available and we are in a vehicle ordering cycle, notification will automatically be forwarded from ARI with instructions on how to access the on-line ordering system. Employees are requested to use their personal vehicle until receipt of a Company car for which they will be reimbursed an auto stipend at the prevailing rate, plus business gas. Employees should not sell their personal vehicles until placed in a ABC COMPANY Company car, as no provisions will be made for interim transportation. Once a vehicle has been ordered from the manufacturer and confirmed, an Order Acknowledgement from ARI will be sent to the employee containing the name and location of the delivering dealership. Please review the Acknowledgement and report any discrepancy to ARI. Please note that the Order Acknowledgement contains the ARI telephone number through which employees may obtain status on their vehicle production/delivery.

Approximately six weeks from the time of Order Acknowledgement, the vehicle will be produced and shipped to a delivering dealer within a 35-mile radius of the address on the Order Form. In most cases, when employees receive an Assignment of Delivery Notice from ARI, the vehicle is en route to the dealership and should be available within approximately three weeks. When the vehicle is ready, the dealership should make contact to pick it up. However, feel free to call them to inquire about pickup status. Please bring a valid insurance card (which will be mailed with delivery paperwork from ARI) when the vehicle is to be picked up. If no insurance card is issued, please contact ARI at the Fleet Administration number 866-XXX-XXXX for a replacement. NO VEHICLE IS TO BE DRIVEN WITHOUT A VALID INSURANCE CARD PRESENT. Any citations issued for driving with invalid documentation will be the sole financial responsibility of the employee. Retrieval costs for Company vehicles impounded for driving with invalid documentation will be the sole financial responsibility of the employee. When accepting delivery of a new vehicle: Check to ensure the vehicle is the make, model, body style and color indicated on the invoice. Examine the vehicle carefully for damage that might have occurred during shipping/delivery. Be sure all selected options are present. All vehicles are provided with two sets of keys and remote keyless entry fobs. If not provided for at time of delivery, make note on all copies of delivery paperwork (including dealer copies) and contact ARI immediately. Contact ARI before accepting delivery if there are any discrepancies in the order or damage from delivery. Any damages are the responsibility of the delivering dealership. The dealer is responsible for providing license plates, registration and warranty book. Please contact ARI immediately if the dealership does not provide the proper documentation for the vehicle.

REORDERS AND USED VEHICLE RETURN REORDERING Once a vehicle has reached between 36 and 39 months in service (MIS) or 75,000 miles, it automatically triggers the replacement process. All company vehicles are assigned from within ABC COMPANY surplus fleet. If no vehicle is available and we are in an ordering cycle , notification will automatically be forwarded to ABC COMPANY email from ARI with instructions on how to access the on-line ordering system. As this process is managed by ARI, questions regarding eligibility should be referred to ARI at the Fleet Administration number 866-XXX-XXXX, and not the ABC COMPANY Fleet Department. DRIVER PURCHASE Employees will have an opportunity to purchase the vehicle at a special ABC COMPANY employee rate after receipt of a replacement vehicle. A price quote will be sent to the employee by ARI for the current vehicle shortly before delivery of the factory order replacement, or after employee inquiry to ARI after delivery of a reassigned surplus vehicle. Instructions will be provided at that time if vehicle purchase is desired. The purchase transaction should be completed within a four-week period or the vehicle will be assigned for pickup. If no response is made to an ARI purchase inquiry within three days after initial contact, the vehicle will be assigned for pickup. Financing should be arranged as quickly as possible, and certified or cashiers check used as payment method. No personal checks will be accepted, and may result in the purchase being voided.

Once the purchase transaction has been initiated, the vehicle will be taken out of service, and ABC COMPANY no longer insures the vehicle and accepts no responsibility for its unauthorized use. Therefore, the vehicle should not be driven until the buyer is in possession of the title and the vehicle is properly licensed and registered in the buyers name. Buyers should consider obtaining an insurance binder to cover this interim period. Should damage to the Company vehicle or to other persons or property occur during this interim period, they will be the buyers sole legal and financial responsibility. Additionally, any unauthorized use of the Company vehicle, including as defined above, will be considered a violation of Policy and will be referred to the Corporate Compliance Officer and Human Resources for disciplinary action. USED VEHICLE LEASING ARI offers a Used Vehicle Lease Plan. This alternative may be considered during the decisionmaking process. Upon request to ARI, more detailed information will be provided along with the used vehicle price quotation. REPLACEMENT BY NEW VEHICLE If the employee chooses not to purchase/lease the used vehicle, vehicles will be assigned for auction, and the following procedures followed: For vehicles factory ordered: Employees will be instructed to leave the used vehicle at the dealership where and when the new vehicle is received. When the vehicle is left at the dealership, the employee will be asked to complete a Condition Report with the dealer representative. If unusual damage exists on the vehicle, document with a written explanation and photographs (if available). For vehicles assigned from surplus fleet: ARI will arrange to have an auction house pick up the vehicle from the employees location within 1 to 3 weeks after delivery of the in-service replacement. As this process is handled by ARI, feel free to follow-up with ARI directly regarding pickup status at 866-XXX-XXXX.

Please be sure to remove the insurance card and any other personal or Company property. The WEX card and maintenance coupons may be cut up and disposed of. Please do not return them to ABC COMPANY or ARI. LICENSE AND TITLE INFORMATION LICENSE AND REGISTRATION RENEWALS ARI handles all license and registration renewals. If any action is required on the employees part to obtain renewals, the employee will be notified by ARI at least thirty (30) days prior to expiration. If paperwork has not been received by then, notify ARI immediately. No vehicle should be inoperable due to expired registration, non-inspection, etc., nor should it be operated under those circumstances. It is the employees responsibility to ensure that the vehicle complies with all state and local requirements and that necessary documentation is valid. The employee is responsible for any and all fines and accumulating penalties resulting from expired registrations or insurance cards which omission was not reported within 30 days prior to incurred violation. The employee is solely responsible for illegal parking or other traffic violations, including EZPass, etc. Failure to pay/resolve any issues involving violations within two weeks after notification will

be considered a violation of Policy and will be referred to the Corporate Compliance Officer and Human Resources for disciplinary action that may result in forfeiture of the Company car for which a car allowance at the prevailing rate would be provided. Repeated or a pattern of violations will necessitate disciplinary action that may include forfeiture of the Company car. Should employees receive a registration renewal request from the local DMV agency, they should be forwarded directly to ARI for processing, ATTN: Licensing and Title, at the address following. If employees are assigned a surplus vehicle from another state, registration and license plates will automatically be ordered. Upon receipt of new plates, the old plates should be returned directly to ARI for disposal. Should registration and plates not be forthcoming within 3 to 4 weeks after receipt of the vehicle, please follow-up directly with ARI. SAFETY INSPECTIONS If not covered by ARI, mandatory state inspection fees should be paid and expensed through standard program expense procedures. Please check with ARI prior to completing the inspection process. CHANGE OF ADDRESS Employees should notify their managers of any changes to personal information, including address, phone number, etc. The manager will submit data changes Human Resources that will be input into PeopleSoft, and within 24 to 72 hours, be electronically transmitted to ARI. It is particularly vital that state change information be conveyed to ensure timely re-documentation and plating of the Company vehicle in order to comply with varying local and/or state laws. If the change involves residence in another state, employees must obtain a new drivers license in their new state of residence within 30 days of the move and forward a copy of the new drivers license to the ABC COMPANY Fleet Department at the secure fax #201-XXX-XXXX. Failure to do so may result in termination. TITLES AND OTHER LICENSING DOCUMENTS The title for Company vehicles is in ARIs name and is held by ARI. If at any time an employee receives a vehicle title or other documentation not specifically related to the annual registration renewal; e.g., Personal Property Tax Notification, it should be sent to ARI immediately at: Automotive Resources International License and Title Department 9000 Midlantic Drive PO Box 5039 Mt. Laurel, NJ 08054 PARKING AND OTHER MOVING VIOLATIONS The ABC COMPANY Fleet Department must be notified of all accidents/incidents and moving violations incurred by any authorized driver (employee or spouse) regardless of the vehicle being driven during the incident. Failure to notify the ABC COMPANY Fleet Department of all accidents/incidents and violations will result in referral to the Corporate Compliance Officer and Human Resources, and may result in disciplinary action (up to and including termination) and/or forfeiture of the Company car for which a car allowance at the prevailing rate would be provided.

The employee is responsible for all parking and moving violations associated with their assigned vehicle. Please pay all fines immediately. If ARI receives notification of unpaid fines, it will pay the fine, notify ABC COMPANY and send the employee a notice to forward the costs of the violation, plus a handling fee, to ABC COMPANY. Failure to pay/resolve any issues involving violations within two weeks after notification will be construed as a violation of Policy, and will be referred to the Corporate Compliance Officer for disciplinary action that may include forfeiture of the Company car for which a car allowance at the prevailing rate would be provided. A continued pattern of violations will necessitate disciplinary action up to and including termination.

PARKING PERMITS/STICKERS/FEES ABC COMPANY will pay for business parking that is related to business activities and local government stickers for the Company car. ABC COMPANY will not pay for personal parking; e.g., garaging, condo/association parking permits, park-and-ride fees, etc., for the Company car.

OPERATING THE VEHICLE OUTSIDE THE U.S. (CANADA AND MEXICO) Authorized ABC COMPANY drivers may operate their vehicles in Canada. Operation of Company vehicles in Mexico is prohibited.

Failure to operate vehicles as described above will be construed as unauthorized use and violation of Policy. Such matters will be referred to the Corporate Compliance Officer and Human Resources for disciplinary action (up to and including termination) and may include forfeiture of the Company vehicle for which a car allowance at the prevailing rate would be provided. MAINTENANCE AND REPAIRS COMMUNICATING WITH ARI When calling ARI, please have the vehicle number and odometer reading available. Each vehicle has a 6-digit vehicle number assigned to it. The number may be found on the lower left-hand corner of the WEX card, or on the maintenance coupons. If already in a service facility, have the shop inspect the vehicle and then call ARI. PREVENTIVE MAINTENANCE Failure to comply with the coupon intervals will be considered abuse. Should failure to maintain the vehicle result in damages to the vehicle, the employee will be referred to the Corporate Compliance Officer and Human Resources for disciplinary action, and will be responsible for costs up to $500, as well as forfeiture of the Company vehicle. Routine scheduled maintenance is handled through the use of the maintenance coupons provided by ARI. These coupons allow an authorized service facility to perform scheduled maintenance at the required intervals without a telephone call to ARI. The employees signature will verify that the work was completed. If coupons are missing or lost, have the facility contact ARI for authorization to have the work performed, then contact ARI for replacement coupons. Advance appointments should be made for all preventive maintenance (PM) so as to reduce wait times. Reasonable effort should be made to schedule PM appointments early in the day, late in

the day, or if possible, weekends. Rentals are not provided for PM since the work performed does not usually exceed one hour. Service not covered by a coupon requires a purchase order from ARI. To obtain the purchase order, have the service facility contact ARI toll-free at 866-XXX-XXXX. SERVICE LOCATIONS Service locations are identified with the coupon packet. If help is required in locating a facility, ARI Service Representatives are readily available to assist all employees. EMERGENCY REPAIRS Emergency repairs after hours and on Sundays are to be authorized by ARI. ARIs Technical Center is operational 24 hours a day, 365 days a year. 24-HOUR ROADSIDE ASSISTANCE ARI also provides roadside assistance. You may contact ARI at 866-XXX-XXXX 24 hours a day, 7 days a week for assistance. PERSONAL USAGE PERSONAL USE Employees and authorized non-employee drivers may use the Company car for reasonable personal use outside of business hours providing: All driver guidelines are still met All operating procedures are followed

FUELING DURING PERSONAL USE If extended personal use is required, ABC COMPANY expects its drivers to use their best judgment as to whose expense the gas will be. However, keep in mind that the ARI WEX (Wright Express) fuel card is provided for business, and not personal, use. When using the Company vehicle during bank-of-days periods, all fuel should be paid for by the employee and not placed on the ARI WEX (Wright Express) fuel card. Leaves of absence are considered 100% personal use and fuel usage during a LOA period is not to be expensed to ABC COMPANY. Please note that WEX card usage will be suspended during leave terms. Unauthorized WEX card usage will be considered a violation of Policy for which the employee will be responsible for reimbursing the Company. Continued unauthorized usage will be considered a violation of Policy, and the employee will be referred to the Corporate Compliance Officer and Human Resources for disciplinary action that may include forfeiture of the WEX card or forfeiture of the Company vehicle for which a car allowance at the prevailing rate would be provided. Failure to reimburse the Company for unauthorized use will be considered violation of Policy, and the employee will be referred to the Corporate Compliance Officer and Human Resources for appropriate disciplinary action. PERSONAL USE DEDUCTION A Personal Usage fee is calculated based on approximately 18% of the value of the car. These fees are adjusted from time to time in accordance with IRS regulations and are assessed as a fixed, after-tax deduction from the employees bimonthly paychecks. The Personal Usage fee is

effective upon ABC COMPANY providing a vehicle that may be either a rental or ABC COMPANY Company car. Should the deduction not appear in the employee paycheck a month after being placed in the vehicle, it is the employees responsibility to notify ABC COMPANY Fleet and ABC COMPANY Payroll immediately in order to make all necessary adjustments. Please note that delivery reports and payroll records are routinely audited to ensure compliance with Federal regulations, and deductions will be implemented to recover any and all missed personal use periods. NOTE: Personal use for home office personnel eligible for a Company car is handled through payroll and the W-2 form. GASOLINE CARD PROGRAM Fuel credit cards (WEX/Wright Express) will be provided to each driver by ARI, excluding home office employees eligible for a Company car. These cards are to be used for the purchase of fuel only. Cards are assigned to specific vehicles, are unique to that specific vehicle (not individuals), and may not be used for any other vehicle. All employees are expected to self-pump (where available), use regular unleaded fuel and monitor fuel prices. Usage of premium fuel will be monitored and reported as an exception to Policy. Policy violations will be referred to the Corporate Compliance Officer and Human Resources for appropriate disciplinary action. Each employee will be provided with a personal identification number (PIN) when the credit card is issued and will be required to input this number at the time of fuel purchase. The PIN is the six-digit employee ID number which can be found at the top left corner of employees paycheck located under FILE. In addition, the employee must provide to the attendant the vehicle odometer reading that is then keyed into the central computer at the credit card company. Employees must report accurate odometer readings each time they fuel. Lost or stolen credit cards must be reported to ARI (866-XXX-XXXX) at the beginning of the next working day to minimize fraudulent use of cards. Until a new card is received, fuel charges can be paid for via cash or personal credit card, and will be reimbursed via the monthly expense report. Fuel, or for that matter anything Fleet-related, should not be paid for via the Corporate Amex card. WEX Card replacement takes approximately 7 10 days.

When using the Company vehicle during bank-of-days periods, all fuel is to be paid for by the employee and not placed on the ARI WEX (Wright Express) fuel card. Short-term disability/leaves of absence are considered 100% personal time and fuel usage during that period is not to be expensed to ABC COMPANY. Please note that WEX card usage will be suspended during leave terms. Unauthorized WEX card usage will be considered a violation of Policy for which the employee will be responsible for reimbursing the Company. Continued unauthorized usage will be considered a violation of Policy, and the employee will be referred to the Corporate Compliance Officer and Human Resources for disciplinary action that may include forfeiture of the WEX card, or forfeiture of the Company vehicle for which a car allowance at the prevailing rate would be provided. WEX cards are automatically replaced within two weeks prior to their expiration date. Expired cards may be cut up and disposed of locally. Please do not return expired WEX cards to ARI or ABC COMPANY. If a replacement card is not delivered by the time of expiration, contact ARI.

SHORT-TERM DISABILITY/LEAVES OF ABSENCE Company cars are a convenience for ABC COMPANY. Employees are permitted to use their Company car during short-term disability/leaves of absence periods. Should the employee decline the Company car during short-term disability/leave of absence periods, vehicle availability cannot be guaranteed upon employees return to work, and it will be the employees responsibility for securing transportation until a Company car does become available. Routine maintenance and service calls should be performed business-as-usual. As use of the Company vehicle will be 100% personal, the personal usage fee will continue during short-term disability/leaves of absence periods either through payroll deduction if still receiving a paycheck, or be billed to the employee at the prevailing rate. The employee may elect paying the fee by check or money order, or have the deduction taken through payroll once returned to work. Please follow instructions on the Leave of Absence invoice. WEX PINS are deactivated during short-term disability/leaves of absence periods. PINS will be reactivated upon notification by the reporting manager of the employees return to work through accepted ABC COMPANY process. Reactivation may take 24 to 48 hours after initial notification to ARI. Upon commencement of long-term disability/leaves of absence, ABC COMPANY will, at its discretion, arrange retrieval of the Company vehicle from the employee. The vehicle should be released as soon after notification as possible, not to exceed 5 (five) business days. Employees are expected to comply with all vehicle relinquishment requests and have the vehicle returned in clean, safe operating condition. Computer equipment, program materials and samples are to be removed from the vehicle. Refusal to surrender the Company vehicle upon request will be construed as a violation of Policy, the vehicle will be reported as stolen, and all necessary legal steps will be pursed in order to retrieve ABC COMPANY Company property. Refusal to surrender the vehicle upon request will result in immediate termination.

RELOCATION Employees are encouraged to take their Company cars with them should they relocate due to business, status, or territory changes as long as the distance is reasonable. In these instances, ABC COMPANY will not pay to move or transport the vehicle. Should an employee decline moving the vehicle, vehicle availability at the employees new location cannot be guaranteed, and it will be the employees responsibility for securing transportation until a Company car does become available. If the relocation distance is not reasonable (e.g., East to West Coast, Maine to Georgia, etc.), the employee may elect not to take the car with them. They employees manager should then communicate with ARI in a timely manner in order to have the vehicle retrieved prior to employees relocation date. Arrangements will be made through ARI at the managers request for interim transportation until a Company car becomes available. SEPARATION FROM THE COMPANY Within 24 hours of separation date, ABC COMPANY will arrange retrieval of the Company vehicle from the employee. The vehicle should be released as soon after notification as possible, not to exceed 5 (five) business days. Employees are expected to comply with all vehicle relinquishment requests and have the vehicle returned in clean, safe operating condition.

SAFETY POLICY
PURPOSE This guideline establishes ABC COMPANYs Vehicle Safety Policy in an effort to protect the public and prevent or minimize vehicular incidents that result in personal injury or property damage. The Company has developed this Safety policy to provide for driver safety and reduce the number of injuries and liability risks associated with vehicle collision(s)/incident(s). It is to be used in conjunction with ABC COMPANYs Employee Manual to which the same standards apply. Authorized ABC COMPANY employee drivers and authorized non-employee drivers are required to use and operate Company vehicles in accordance with the ABC COMPANY Vehicle Safety Policy. This applies to the use of the Company vehicle for both personal and business use. This Policy applies to the use of leased/owned Company vehicles, as well as rented or personal vehicles used for Company business. Compliance with the requirements of the ABC COMPANY Vehicle Safety Policy is a condition of employment. ABC COMPANY will implement and enforce this Policy consistent with its Employee Policy and Equal Employment Opportunity Policy, and will not discriminate against any person because they are in a protected group as defined by State and Federal law. DEFINITIONS Authorized Drivers employees of ABC COMPANY who are granted permission by the Company to drive a Company vehicle or personal vehicle on behalf of the Company. These employees must: (1) have a valid drivers license in the state in which they reside; (2) authorize the Company to perform periodic/annual driving record checks; (3) have an acceptable driving record in line with Company standards; (4) by physically capable of driving safely (appropriate reasonable accommodations will be considered by the Company) Authorized Non-Employee Drivers the spouse, as legally recognized and defined, of an Authorized Driver is the only Authorized Non-Employee Driver provided that: (1) they are declared to the Company by the Authorized Driver; (2) have a valid drivers license in the state in which they reside; (3) meet the Driver Eligibility criteria. No other person is authorized to operate the Company vehicle.* Company Vehicle any motor vehicle owned, leased, or rented by ABC COMPANY, or a safely maintained and properly insured personal vehicle operated for the purpose of Company business. Disciplinary Action encompasses, but is not limited to, that outlined below, is at the discretion of the Company, and/or is proportional to the risk to which the employees actions placed the Company: Placement of Policy violation notification in the employees HR file. Accumulation of more than one Policy violation notification in the employees HR file which shall result in warning to employee of said Policy violations by an HR representative and employees direct manager. Loss of the Company vehicle. Termination.

Driver includes the authorized employee driver and authorized non-employee driver.

Motor Vehicle License a valid license issued in the state of an operators residency by a State/Government Agency permitting an individual to operate a motor vehicle. Operators Motor Vehicle Recheck a review of a state agencys record of a motor vehicle operators driving for a 36-month rolling history period. RESPONSIBILITIES Employees and non-employee authorized drivers are responsible and accountable to operate motor vehicles in a safe manner. Employees and non-employee authorized drivers are also responsible for reporting moving violations, changes in their licensing, accidents, and injuries as provided within the guidelines. Failure to provide notification of any accidents, moving violations, or changes in licensing will result in disciplinary action and/or forfeiture of the Company vehicle as applied to the employee, and revocation of driving privilege for non-employee authorized driver. The following are Driver Safety Requirements: Driver Safety Requirements: 1. All authorized drivers are responsible for the safe, legal, non-abusive operation of Company vehicles. All occupants must have seat belts fastened during any movement of the vehicle. 2. All motor vehicle laws must be obeyed. 3. Occupants must always wear safety restraints. If traveling with infants/children, they are to be secured in a child restraint seat or system placed in the rear of the vehicle consistent with prevailing local/state law. Children under 12 are prohibited from riding in the front seat of a vehicle equipped with a passenger airbag. 4. Vehicles must be operated at legally permitted speeds appropriate to the road, traffic, and weather conditions. 5. Operating a Company vehicle while judgment or faculties are impaired (i.e., by consumption of alcoholic beverages, fatigue, and/or medications or other controlled substances or drugs) is unequivocally prohibited. This provision is in conjunction with the ABC COMPANY Employee Manual Substance Abuse Policy is subject to all provisions outlined in said Substance Abuse Policy. 6. Driving while fatigued is not permitted. For long trips, drivers must stop and take rest breaks as needed. 7. Doors must be locked immediately after entering and leaving the vehicle. 8. Overloading or overcrowding of vehicles is prohibited. 9. The operator of the Company vehicle shall not use a cellular phone, regardless of hands-free operation, while the vehicle is in motion. 10. All tickets and/or fines incurred by employees or non-employee authorized drivers during the period in which they were assigned to, were in possession of, or were operating a Company vehicle are the sole responsibility of the employee. ABC COMPANY will not reimburse for any ticket or fine paid. 11. The Company encourages a smoke-free work environment and smoking in Company vehicles is prohibited. 12. Under no circumstances will a weapon (e.g., firearms, explosives, knives) be permitted in a Company vehicle. 13. All items, including product sample kits or brief cases, are to be safely secured, preferably in the trunk. 14. Transporting hitchhikers or strangers is strictly prohibited. 15. Children shall not accompany authorized drivers on Company business. 16. Writing notes, map reading, eating, cell phone usage (regardless of hands-free operation), and similar distracting activities shall be allowed only when the vehicle is parked, and not while driving. 17. Collision(s)/incident(s) must be reported to ABC COMPANY as required.

Violation of any of the above-mentioned Driver Safety Requirements may result in disciplinary action (up to and including termination) and may include forfeiture of the Company vehicle for which a car allowance at the prevailing rate would be provided. DRIVER ELIGIBILITY Driver eligibility criteria and conditions will apply as follows: 1. Employees must have a valid drivers license within their primary state of residence, vehicle registration and insurance card in their possession while operating a Company Vehicle. 2. The authorized driver must immediately notify the ABC COMPANY Fleet Department of a citation or conviction for Driver Under the Influence (DUI) or Driving While Intoxicated (DWI). Failure to report any incident to the Fleet Department will be considered a violation of Policy, and the employee will be referred to the Corporate Compliance Officer and Human Resources for disciplinary action (up to and including termination) and/or forfeiture of the Company car for which a car allowance at the prevailing rate would be provided. 3. The authorized driver must immediately notify the ABC COMPANY Fleet Department of any license suspension. Upon suspension or revocation of a drivers license, the employee will immediately lose authorization to drive a Company vehicle. Failure to report the suspension of a driver license to the Fleet Department will be considered a violation of Policy, and the employee will be terminated. 4. To attain and maintain authorized driver and authorized non-employee driver status, employees must grant the Company permission to obtain initial and periodic/annual driver history records. The Company will review driving records against Company acceptability criteria to determine eligibility. UNACCEPTABLE DRIVING PERFORMANCE The following criteria define unacceptable driving performance which will result in employee being referred to the Corporate Compliance Officer and Human Resources for disciplinary action (up to and including termination) and/or forfeiture of the Company vehicle for which a car allowance at the prevailing rate would be provided. Employees will also be bound by the provisions outlined in the ABC COMPANY Employee Handbook in regard to the ABC COMPANY Substance Abuse Policy*. These unacceptable driving criteria shall also apply to the authorized non-employee driver and will result in revocation of driving privileges. Gross or willful negligence by the authorized driver/non-employee driver is defined as follows: Proven use of Company vehicle in violation of Federal, State, or local criminal laws. If convicted and the driver is a ABC COMPANY employee or an unauthorized driver immediate termination. If driver is a non-employee authorized driver warning letter in employee file and revocation of driving privileges for non-employee. Conviction for driving while intoxicated by alcohol or drugs (controlled substances). DUI/DWI First offense warning letter Second offense in a 24 month period termination

MOTOR VEHICLE RECORD CHECKS The employee must provide information necessary to complete the Motor Vehicle Record check (MVR) for authorized driver/non-employee driver within the time frame requested, or authorization to drive for ABC COMPANY will be denied. 1. Employee MVRs If a pattern of traffic violations, accidents, DUI/DWI, etc., is identified in the MVR, the employee will be referred to the Corporate Compliance Officer and Human Resources for appropriate disciplinary action as necessary. 2. Authorized Non-Employee Driver MVRs If a pattern of traffic violations, accidents, DUI/DWI/, etc., is identified in the MVR, the authorized non-employee driver (spouse) will forfeit ABC COMPANY driver eligibility and will be prohibited from driving the ABC COMPANY Company vehicle.

DISCIPLINARY ACTION 1. Accidents Employees will be assessed the following penalties for at at-fault accidents involving the Company vehicle being driven by either the employee or authorized nonemployee spouse. The employees history/records may be considered for other potential disciplinary action.

$500.00 deductible $500.00 deductible and forfeiture of Company vehicle Referral to appropriate manager for counseling, and completion of Stateapproved driver remedial course, cost to be borne by employee, to be fulfilled within three months after loss date. Proof of successful fulfillment to be provided to ABC COMPANY within two weeks of course completion. Termination Termination

2. Moving Violation If a ABC COMPANY employee who is an authorized driver has three moving violations within a 24-month period, the employee will be referred to appropriate management for counseling. The employees history/records may be considered for potential disciplinary action (up to and including termination), and/or forfeiture of the Company vehicle for which a car allowance at the prevailing rate would be provided. A continued pattern of traffic citations/violations could result in disciplinary action (up to and including employee termination). 3. Loss of License If an employee loses drivers license privileges, or is not authorized to drive the Company vehicle or his/her personal vehicle on behalf of the Company, the employee is responsible for developing a proposal for management review of alternate means of transportation to satisfactorily perform all job duties and responsibilities. The Corporate Compliance Officer and Human Resources will determine whether the alternate means of transportation are acceptable/reasonable. The employee will lose the benefit of the Company vehicle and a car allowance at the prevailing rate would be provided. If it is deemed unacceptable, and other suitable employment is not available, employment will be terminated. 4. Serious Traffic Offenses Each serious traffic offense received by the employee will be evaluated independently by Fleet and the Corporate Compliance Officer, and will be referred to Human Resources for possible disciplinary action (up to and including termination), and/or forfeiture of the Company vehicle for which a car allowance at the prevailing rate would be provided. 5. Restricted Vehicle Use for Non-Employee Driver Employment is not conditioned upon non-employee driving authorization. If an authorized non-employee driver commits any of the following offenses, he/she will be prohibited from driving the ABC COMPANY Company Vehicle: One citation/conviction of DUI/DWI One accident where he/she is deemed at fault within 24 months One citation for a serious traffic offense Two hazardous moving violations within a 12 month period

6. Appeals An ABC COMPANY employee may appeal to a Human Resources Manager regarding any disciplinary decision.
