Mutual Agreement
This deed of Mutual Partnership in Business is made on this date..............................Between: 1. Mr. Ankit Raj Singh; The founder of the firm, hereinafter referred to as first party, and also known as Managing Partner of the organization. 2. Mr. _____________________________; hereinafter referred to as second party and also known as Business Associate of the Organization. Whereas, the parties hereto have agreed to commence business in partnership and it is expedient to have a written instrument of partnership. NOW THIS PARTNERSHIP WITNESSES AS FOLLOWS: 1) The parties/ here to have mutually agreed to carry on the business under the name and style of ARS Corporate Solutions. 2) The Conglomerate Segments of Business mutually agreed to carry on in the business are divided in 22 major segments & Sub Segments as mentioned in Anexture-1

3) PLACE OF BUSINESS:

INDIA, Operates from New Delhi

4) DURATION OF PARTNERSHIP:

The duration of partnership shall be at will

5) PROFIT SHARING RATIO: The following shall be the profit/commission sharing ratio of the firm:

(i)

If second party or Business Associate directly brings any business deal to the firm, he/she shall be entitled to receive fifty percent i.e. 50% only of the gross profit generated by such deal, and the remaining fifty percent shall be transferred to the bank account of the firm under the head of Capital Reserve.

(ii)

If any other party is involved either in finalizing the deal or in providing the relevant Service to the customer, then such Associate who brought the deal shall be entitled to receive twenty five percent i.e. 25% only of the gross profit generated by the deal , the Third party shall also be entitled to receive twenty five percent and the remaining fifty percent i.e. 50% only shall be transferred to the bank account of the firm.

(iii)

If the sale is done by the Central Marketing Team (CMT) of the firm, Then the Associate of Management Team shall be entitled to receive Twenty five percent i.e. 25% only of the gross profit generated by such deal in lieu of the services provided by him/her. Exception: However, the first party, may, with the permission of other Associates of the firm, increase the share in the gross profit generated by a deal: a) Of an Associate(s) of Business, who provides relevant Service to the customer on behalf of the firm. b) Of an Associate(s), in such cases, where the Associate(s) have to Put extra effort in providing relevant service to the customers such As web designing, real estate and other services of like nature.

c) Of an Associate(s) of Business, who is not a part of the CMT, but was involved/instrumental in providing the relevant service to the customer(s). If the firm gets any deal through the reference of a person, who does not belong to the firm; hereinafter referred to as non-Associate(s), Such non- Associate(s) shall have an option to choose either of the two:

(i)

Twenty percent i.e. 20% only of the gross profit generated by such deal or;

(ii) 6) AMENDMENT:

Five percent i.e. 5% only of the total amount of the deal.

No Associate shall have the authority to alter the provisions of this deed, except the first Party; supported by not less than 3/4th i.e. 75% of The Group Management Body. 7) Second party is not allowed to run any business activity related to the 22 conglomerate business run under the name & style of ARS Corporate Solutions, in future if Second party have to take permission 75% (3/4) of Group Management body for running such activity after leaving organization. 8) First & Second Party is not allowed to use any resources in form of data, assets, goodwill of the ARS Corporate Solutions for their personal use. 9) MODE OF PAYMENT: All payments to be made by the firm, either towards direct commission of Referral commission, as the case may be, shall be made, either by way of cash or Account Payee Cheque. Preference shall be give to Account Payee Cheque. 10) ACCOUNTS: All incomes generated through direct/referral commission, as the case may be, shall be credited to the Personal Income through other sources of the Associate/Associate(s) of Business. The firm shall not provide any document in support of the Income Tax Statement of any Associate(s) while filing the Income Tax Return.
