Constitution And By-Laws Revised May 07, 2012

ARTICLE I Name The name of this organization shall be The MiB Club ARTICLE II Purposes The purposes of MiB Club is to organize and gather all Microbiology and Biotechnology students and teachers in a platform and utilize their knowledge and power to upgrade the present status of Microbiology ans biotechnology in Bangladesh as well as Jagannath University. The goals of MiB Club: To develop the national figure of microbiology in Bangladesh To develop the knowledge of microbiologist with the flow of world present status. To spread the achievement and importance of microbiology and Biotechnology through the country. To provide the opportunity for the students of Microbiology & Biotechnology in performing and enjoying extracurricular activities. ARTICLE III Membership The membership of this club shall consists of adult persons of good character and leadership potential. Each member of this MiB Club shall attend at least 60% of the clubs regularly scheduled meetings annually Membership shall automatically terminated upon failure to meet attendance requirements unless excused by the executive board of this club for good and sufficient reason. Membership may be terminated (a) upon failure to continue to meet the qualifications for membership, or (b) for cause, as determined by this club by vote of not less than 2/3 of all the members in good standing. The membership can be resumed by the excuse and recommendation of the governing body. The Applicant must be associated with the activities related with Microbiology & Biotechnology.

ARTICLE IV Emblem, Colors, Slogan and Motto Emblem: The emblem of this organization shall be as follows:

Colors: The colors of this organization shall be White and Blue.

Slogan: Its slogan shall be:

Motto: Its Motto shall be: We are together.

ARTICLE V Meetings The club shall meet not less than twice per month, as provided in the by-laws, at a time and place suited to the convenience of the members. For good cause, the board may change a regular meeting to any day during the period commencing with the day following the preceding regular meeting and ending with the day preceding the next regular meeting, or to a different hour of the regular day, or to a different place. Meetings of the club and of the executive board may be cancelled during holiday or vacation periods and the notice will provided before the duration. An annual meeting for the election of officers shall be held not later than 31 December. ARTICLE VI Attendance For Members: Each member should attend this clubs regular meetings. A member shall be counted as attending a regular meeting if the member is present for at least 60 percent of the meeting, or is present and is called away unexpectedly and

subsequently produces evidence to the satisfaction of the board that such action was reasonable. A members absence shall be excused if the absence complies with the conditions and under circumstances approved by the board.

ARTICLE VII Officers and standing Committee Governing Body of the club shall include a president, vice-president, secretary, assistant secretary and treasurer. Elections of officers and directors shall be held annually prior to 1 March by methods mentioned in the by-law. All incoming MiB Club officers shall be provided with leadership training by the standing committee. Each officer shall be elected as provided in the bylaws. Each officer and committee member shall be a member in good standing of this club. ARTICLE VIII Duties of Officers PRESIDENT. The president shall preside at all conventions of this association and at all meetings of the executive Board. He/she shall supervise the work and activities of the association, and perform such other duties as usually pertain to that office. VICE PRESIDENT. If for any reason the president is unable to perform his/her duties, the ranking vice president shall perform the duties of, and have the same authority as, the president. ADMINISTRATIVE OFFICERS. The duties of the secretary and treasurer, and such other officers to maintain the rule of command and act their rule as defined by the governing body. ARTICLE IX Committee of the Executive Board Standing Committee: The President shall appoint, with the approval of the standing committee. The committee will have to consist of more than three members.

ARTICLE X Activities and Projects This club shall be responsible for planning, organizing, financing, and conducting its own activities and shall itself supply money, manpower, and creative imagination necessary This club shall provide for a professional development program for its members. It is the responsibility of the club to raise the funds necessary to carry out its program ARTICLE XI Fees Any fees, dues, or assessments on the membership of the club shall be nominal and shall only be for the purpose of meeting the administrative costs of the club. Funds for activities and projects undertaken by the club shall be raised apart from such fees, dues, or assessments. A thorough audit by a qualified person shall be made once each year of all the clubs financial transactions. ARTICLE XII Acceptance of Constitution and By-Laws Every member of the club, by acceptance of membership, thereby accepts the principles of MiB Club as expressed in its purpose and goals and agrees to comply with the constitution and by-laws of this club.

ARTICLE XIII Duration This club shall exist so long as it continues to function in accordance with the provisions of this constitution and policy relating to MiB Club established.

ARTICLE XIV Administration Amendment: The constitution may be amended only by the executive board of directors.

MiB Club By-Laws Article I Elections Voting Method: Election for the officer, president, vice- president, secretary, treasurer, and standing committee shall be held annually prior to 1 December. Those elected shall take office an 1 February. Nominations of officers shall be made in writing. Candidates shall be voted upon at the regular meeting following the meeting at which nominations are made. Voting shall be by secret ballot. Those candidates receiving a majority of the votes of the members present and in good standing shall be elected. In addition to president, vice-president, secretary, and treasurer there shall be elected standing committee. Article II Duties of Officers President: The president shall preside at all regular and special meetings of the club. Vice-President: The vice-president shall succeed to the office of president in the event or removal of the latter for whatever cause, and, in the absence of the president, shall preside at all meetings of the club. Secretary: The secretary shall maintain all club records, He shall keep minutes of all the meetings of the club and executive board. Assistant Secretary: Duty as secretary and act the role of secretary in the absence of Secretary otherwise asset secretary in all activities. Treasurer: The treasurer shall have custody of all club funds, maintaining all necessary records and depositing all such funds in a bank approved by the executive board. He/she shall report on the clubs financial status at each meeting of the club and shall hold all records available for inspection by any club member Article III Meetings Meetings of the club shall be not less than twice a month, and meetings of the board not less than once a month. A majority of the members in good standing shall constitute a quorum at any regular or special meeting of the club. Article IV Fees and Dues The admission for the new members shall be 30 taka. Monthly dues shall be 20 taka per member.

All fees and dues must be paid before a member will be considered in good standing. Article V Amendments These by-laws may be amended by majority vote of the members in good standing at any regular or special meeting of the club. Nothing in these by-laws shall contravene any provision of this clubs constitution.
