BY-LAWS

ARTICLE I.MEETINGS.

Section 1. Annual Meetings. The annual meeting of the members shall be held at
the principal office of the association at St. Martin Subdivision, Silang, Cavite on the
Fourth Wednesday of December at 6:00 o’clock in the evening. The President shall
render his annual report to the members regarding the activities of the association.
The election of the board of directors shall also be held during this meeting.

Section 2. Special Meetings. Special meetings of the members shall be called as


the need thereof arises. The meeting shall be called by the PRO using simple notice
of text messaging or email, at the time and venue the PRO may state. Meetings
shall preferably be on the Fourth Wednesday of the month at 6:00 o’clock in the
evening.

Section 3. Quorum. Quorum shall be had with the majority of all members present
and such majority may decide any question at the meeting, except those matters
where the Corporation Code required the affirmative vote of a greater proportion.

Section 4. Order of Business. The order of business for the annual meeting shall be
as follows:
1. Call to Order
2. Quorum determination with presentation of proof of presence of quorum.
3. Reading and approval of the minutes of the previous annual meeting
4. Secretary’s Report
5. Treasurer’s Report
6. President’s update and Report
7. Election of Trustees for the ensuing year
8. Unfinished Business
9. Other Matters
10.Adjournment
If it is practicable, this order of business may be employed in every special
meeting.

Section 5. Voting Proxy. Each member shall be entitled to one vote, and he may
vote either in person or by proxy which shall be in writing and filed with the
Secretary of the association before the scheduled meeting.

ARTICLE II. TRUSTEES.

Section 1. Board of Trustees. The corporate power of the association shall be


exercised, its business conducted and its property controlled by the Board of
Trustees.

Section 2. The Trustees must be of legal age and members of the association.

Section 3. Disqualification of Trustees or Officers. No member convicted by final


judgment of an offense punishable by imprisonment for a period exceeding six (6)
years, or a violation of the Corporation Code of the Philippines committed within five
(5) years prior to the date of his election or appointment, shall qualify as a trustee
or officer.

Section 4. Term of Office of Trustees. The trustees shall hold office for one year and
until their successors are duly elected and qualified.

ARTICLE III. OFFICERS.

Section 1. Officers – The Officers of the association shall be a President, a Vice-


President, a Secretary, a Treasurer, a Public Relations Officer and Two (2) Marshalls.
Except for the two Marshalls, all others shall be elected by the Board of Trustees
from among themselves. The Board may combine compatible offices in a single
person.

Section 2. Term of Office of Officers. The officers shall hold offices for one year and
until their successors are duly elected and qualified.

ARTICLE IV. FUNCTIONS & POWERS OF OFFICERS.

Section 1. President. The President shall be the Chief Executive Officer of the
Association. He shall preside in all meetings of the members of the association and
the board of trustees and shall represent the Club on all forums, communications,
conventions and federations.

He shall execute all resolutions of the Board of Trustees. He shall be charged


with directing and overseeing the activities of the association. He shall submit to
the board as soon as possible after teh close of each fiscal year, and to the
members of each annual meeting, a complete report of the activities and operations
of the association for the fiscal year under his term.
The President shall have the following additional functions:
1. The President The President shall liaison with umbrella motorcycle
organization for proper accreditation such as LERAP, DOTC, Motorcycle
Federation of the Philippines, Luzon Motorcycle Federation, PNP-Mobile
Group Provincial Directorate;
2. The President has the sole authority to cancel a Sunday Ride. However,
such cancellation shall be valid only if relayed to the PRO.

3. To conduct immediate orientation of the members on the rules of the
Umbrella Organization and Affiliated Groups when riding under their banner and organized
ride.

Section 2. The Vice-President. The Vice-President shall exercise all powers and
perform all duties of teh President during the absence or incapacity of the latter and
shall perform duties that maybe assigned by the Board of Trustees.

Section 3. The Secretary. The Secretary shall take and keep the minutes of all
meetings of the members and of the Board of Trustees in a book kept for the
purpose. He shall keep the seal of the association and affix such seal to any paper
or instrument requiring the same. He shall have custody of the members register
and the correspondence files of the association. He shall also perform all such other
duties and work as the Board of Trustees may from time to time assign to him.

Section 4. The Treasurer. The Treasurer shall have charge of the funds, receipts and
disbursements of the association. He shall keep all moneys and other valuables of
the association in such banks as the Board of Trustees may designate. He shall
keep a ledger and have charge of the books of accounts. He shall also perform such
other duties and functions as may be assigned to him from time to time by the
Board of Trustees. It shall be the duty of the Treasurer to collect the dues and fees
cited in the by-laws and assure the association that all members are updated in
their accounts.

Section 5. The Public Relations Officer. It is the duty of the Public Relations Officer
to inform the group of the scheduled rides and its cancellation and to inform the
venue and dates of special meetings, and upon which he shall prove to the meeting
that he has made the due notices to the members. It shall also be the duty of the
PRO to inform the Guest Rider and Back Rider of their obligations and the rules that
they will follow in Club rides. Additionally, the PRO shall be responsible in the
orientation of new applicants, making sure that they have a copy of the by-laws.

Section 6. Ride Mashalls. There shall be two (2) Ride Marshalls designated for each
particular ride day on rotation basis. The Secretary shall keep the records of
marshalling duties. The First Marshall shall dictate the speed of the ride and act as
Ride Leader and Front Sweeper for the club ride. This function shall not in prevent
any club rider from overtaking the Marshall on his desired speed, provided the Ride
Leader signals him to overtake. The Second Marshall, also called a Rear Sweeper,
shall be the last rider on formation and as such he is not allowed to overtake
anybody, even a newbie, a guest rider or a member with back rider. It shall be the
primary duty of the Second Marshall to see to it that all riders have reached the
destination safely. Other experienced riders can take the lead of any group segment that
becomes separated due to traffic flow. The leader and rear sweeper must establish a means of
communication such as cell phones or c.b. radios in the event that the rear sweeper must stop to provide
assistance to someone.

ARTICLE V. MEMBERS.
Section 1. Qualifications for Membership.

1. All founding members are automatic members of the Association
without the necessity of complying with the other qualifications set
forth hereunder, provided they sign in this by-laws;
2. Payment of P2,000.00 entry fee;
3. Must be at least 16 years of age at the time of application;
4. Must possess a driver’s license with “1” restriction clearly inscribed
and can drive a bike, as defined in the by-laws;
5. Must have the equipment defined in the by-laws for motorcycle riding;
6. Must have passed three (3) regular rides of the club, after which third
ride, he shall have been duly endorsed by at least 3 members for
membership approval. The approval of membership requires the
unanimous vote of all members present during the ride day upon
which the membership is endorsed for voting.
7. As a final rite for his membership, he shall take the necessary oath and
drink the CLUB TOAST that will be handed to him by the President.

Section 2. Rights of Members. A member shall have the following rights:


1. To exercise the right to vote on all matters relating to the affairs of the
association;
2. To be eligible to any elective or appointive office of the association,
provided he qualifies by virtue of legal age or absence of any
disqualifications;
3. To participate in all deliberations / meetings of the association;
4. To avail of all the facilities of the association;
5. To examine all the records or books of the association during business
hours.

Section 3. Duties and Responsibilities of the Members. A member shall have the
following duties and responsibilities:
1. To obey and comply the Constitution, by-laws, rules and regulations that
may be promulgated by the association from time to time;
2. To attend all meetings and activities of the association;
3. To pay membership dues and other assessments of the association;
4. A member who joins any circuit racing is obligated to use the patch and
logo of the association in all his races.
5. To refrain from operating a bike when alertness and judgment are impaired by the
effects of alcohol, drugs, high stress levels, or lack of sleep.

Section 4. Guest Rider. The Club may allow other riders to join
their ride as a Guest Rider. Guest Riders shall pay the amount of P600.00 to cover
his ride fees for a Sunday Ride and such other amount as the Club may dictate
depending on the ride destination. This provision shall not apply to riders who have
submitted their application for membership in the Club. The Guest Rider shall be
entitled to all courtesy and assistance from the Club.

Section 5. Back Rider. A Back rider is the sole responsibility of each member who
takes him/her. Back Riders shall pay the amount of P300.00 on club rides to cover
his/her meals and rehydration. Members with back rides are not allowed to take the
lead in club rides. Should it be the member’s turn for marshalling, his turn shall be

taken by the next member on the rotation. Meals for support personnel on long
rides and track days shall be covered by the Club funds.

Section 6. Honorary Members. The Club may accept membership to the club
without necessity of complying with the rules for application to such person who has
exemplified extra-ordinary contribution to the purpose of the Club and as such the
member shall be called an Honorary Member. The Honorary Member is exempt
from the financial requirements of the club. The Honorary Member, however, shall
have no right to vote and cannot interfere in the affairs of the Club.

Section 7. Ex-Officio Members. The following are ex-officio members of the club:
The Provincial Governor of Cavite, The PNP Provincial Director, The Traffic Tsars of
the different cities and municipalities of Cavite Province, The President of LERAP and
LMF. They are entitled to all courtesy that can be afforded by the Club, however,
they have no voting rights and cannot interfere in the affairs of the Club.

ARTICLE VI. SUSPENSION, EXPULSION AND TERMINATION OF MEMBERSHIP

Section 1. Suspension, expulsion and termination of membership, shall be in


accordance with the rules and regulations of the association.

Section 2. Any member of the association may file charges against the member
by filing a written simple complaint with the Secretary of the Association. The
Board of Trustees shall call a special meeting to consider the charges, however, the
PRO, President or the Vice-President, in that order, must first exert all efforts to
have the compliant settled in the most cordial manner without regard to
technicalities. The affirmative vote of majority of the trustees shall be necessary to
suspend a member; Provided that where the penalty is expulsion, the affirmative
vote of majority of all the members of the association shall be necessary.

ARTICLE VII. ACTIVITIES and PROGRAMS.

Section 1. The following are the activities and programs of the association:
1. Assistance on Civic Parades;
2. Bicycle Road Race assistance;
3. Designing and Participation in Environmental Awareness programs;
4. Bike development and Bike Ride Training
5. Sponsorships and assistance in the form of authorized marshalling on track
days at amateur and professional bike racing circuits;
6. To act as a police arm in crime prevention by reporting suspicious movements
to concerned police personnel.

ARTICLE VIII. FUND

Section 1. FUNDS. The Funds of the Club shall come from annual dues, surplus from
Sunday rides (Ride Fees), admission fees, penalty fees, special assessments, gifts,
donations from members and benefactors. For this purpose the initial amount of
P1,000.00 shall be assessed from all founding members. New applicants shall pay
the amount of P2,000.00 subject to pre-qualifications set forth in the by-laws to be a

bonafide member of the club. The amount paid by a new applicant cannot be
refunded, if later, he is denied membership in the club. Thereafter, the amount of
P500.00 shall be paid by each member as annual dues on or before the last ride of
January.

Riding Fees. The riding fee of P500.00 shall be paid by the member for every
Sunday Ride except if the ride day falls on the member’s birthday, giving him the
option to shoulder the day’s bill. The fee shall cover the member’s breakfast and
rehydration. Any surplus from the said amount shall form part of the Club’s Funds
as above-cited.

No Ride Penalty Fees. The amount of P100.00 shall be paid by the member
for every ride of which he is absent, except the following: (1). If the member is on
overseas tour of duty; (2). When the member’s bike is out of commission; and (3).
When the member rides a different bike within the club’s defined allowed bike, (4)
In case of incapacity or physical disability of the member, and (5) in cases of
schedule conflict with the member’s racing schedule, if the member is in a racing
circuit. Excuse must first be relayed to the President, personally, by SMS, email or
other means of communication, who for purposes of simplicity and quick action, can
rule on the validity of the excuse. The President shall then relay his approval or
disapproval to the Treasurer for purposes of records. If the excuse is disapproved,
the fine of P500.00 shall apply.

No Track Day Penalty. The amount of P2,500.00 shall be paid by the member
is he fails to run at least one track day at BRC or CRC per year as scheduled by the
Club. The track day is considered to have been complied if the member joins one
(1) long ride which covers at least 400 km. Members must register their odometer
reading at the start of the track day for records purposes. Receipts on use of track
shall be conclusive proof of his track day is not necessarily used on track day with
the Club.

Track Day Fees. The amount of P500.00 shall be paid by each rider on
scheduled track day to cover his meals and rehydration. Track fees shall be paid by
each rider individually.

Section 2. Disbursements. Withdrawal from the funds of the association, whether


by check or any other instrument shall be signed by the Treasurer and
countersigned by the President. If necessary, the Board of Trustees may designate
other signatories. However, disbursements on ride days and special meetings may
be immediately done by the Treasurer, while preserving receipts therefore for
purposes of audit.

Section 3. Fiscal Year. The fiscal year of the association shall be from January 1st to
December 31 of each year.

ARTICLE IX. DEFINITIONS and OTHER RULES.


Section 1. BIKE DEFINITION. Bike as defined shall be any motorcycle falling under
the category of Sports, Super-Sports and Superbikes, with a displacement of at least
400 cc. Harley Davidson type, Cruisers and Choppers are allowed entry into the
club provided they can keep the pace set forth by the Lead Sweeper. This rule is

relaxed for the founding members of the club. Bikes with 250cc may be allowed
entry into the club provided the same has been pre-qualified to run at least 170kph
and approved by at least three (3) members of the club.

Section 2. EQUIPMENT. Equipment as defined shall be the helmet and other


protective gears. Riding without such protection shall not be tolerated. This rule
shall be relaxed when the club is on civic parade running on snail pace, of which,
the use of “do-rag” or bandanas and sleeveless shirts shall be allowed. However, in
no case shall a member ride without shoes.

Section 3. SPEED LIMIT. Except on civic parade and civic assistance missions, there
shall be no speed limit. However, for safety and assistance purposes, members are
advised to have at least one company when breaking away for his desired speed.

Section 4. SIGNALS. All members must know the signals used by the club. For
uniformity, the club shall adopt the signal standards of LERAP (Law Enforcers Riders
Association of the Philippines). The club may also adopt it own special signals which
must be known to all members.

Section 5. REAR SWEEPER. The rear sweeper is the last rider of the group who is responsible
for assisting anyone who stops along the route due to mechanical or other difficulty.

Section 6. The “Do-Rag”. These is a leather bandana-like object, shaped for the head and tie in the back.
This holds the ear in place but also provides some protection should you scrape your head during a fall.

Section 7. Riding with Umbrella Association and Affiliated Groups. The Club shall follow the riding rules
of the Umbrella Organization and Affiliated Groups when riding under their banner and organized ride.

ARTICLE X. CORPORATE SEAL, LOGO AND EMBLEM

Section1 . Form. The corporate seal, logo, banner and emblem of the association
shall be in such form and design as may be determined by the Board employing
colors Gold and Yellow as the primary colors.

ARTICLE XI. AMENDMENTS

Amendment or repeal to these by-laws or any provision thereof shall be


effective immediately upon a majority vote of the members and by a majority vote
of the trustees at any regular or special meeting duly held for the purpose, there
being a quorum. A simple majority of the Trustees can amend the constitution and
by-laws if the same is needed to conform to the Constitution and By-laws of the
umbrella organization for which the association affiliates. The Constitution and By-

laws of the umbrella organization unto which the group shall affiliate shall form part
as a supplement to the by-laws insofar as not inconsistent herewith.

Adopted this 25th day of January, 2009 at Tagaytay City, Philippines by the
affirmative vote of the undersigned members representing a majority of the
members of the association in a special meeting duly held for the purpose.
