M/S State Bank of India, a body corporate incorporated under State Bank of India Act, 1955 and having its Corporate Office at Madame Cama Road, Nariman Point, Mumbai 400 021 and having one of its Centre at Retail Assets Central Processing Centre . as follows :

The First of us is a builder, and developing property situated at ., which is more fully described in the Schedule hereunder by putting up residential flats thereon.

2. The Second of us purchased one flat bearing No . In the .. floor measuring .. sq ft. together with proportionate undivided share of land which is more fully described in the Schedule B hereunder from the First of us.

3. Second of us is availing housing loan from State Bank of India for the purchase of Schedule B mentioned flat and a sum of Rs .. (Rupees .only) has been sanctioned by State Bank of India.

4. Second of us has entered into a Sale Agreement dated . With the land owner and the Construction Agreement dated .. with the builder, the 1st of us for purchase of the proportionate undivided share of land and also for the construction of Schedule B Mentioned Apartment.

5. As per the GO dated 01.12.2012 issued by the Tamil Nadu Government, the Registration of the Sale Agreement and Construction Agreement is made compulsory and mandatory with effect from 01.12.2012.

6. Since there is no clarity about the Stamp Duty and Registration Charges in respect of the registration of Sale Agreement and Construction Agreement, the Sub-Registrar office has not started implementing the order for registration of the Construction Agreement and Sale Agreement. Hence, we also have not registered the Sale Agreement dated .. and Construction Agreement dated

7. We hereby declare and confirm that we will undertake to register the said sale agreement for undivided share of land and construction agreement whenever a revised guidelines for the sub-registrar received from the Inspector General of Registration at the cost and expenses of 2nd of us with co-operation of First of us.

8. We hereby agree to indemnify at all times and keep harmless State Bank of India from and against all losses and damages that may be suffered by State Bank of India due to delay in registration of sale agreement and construction agreement dated ..
