2013 IRREVOCABLE UNDERTAKING AGREEMENT TO PAY FOR THE CONSULTANCY FEE & SERVICES DONE.

COMPANY'S RESOLUTION :

PROJECT TITLE : PROPOSED DEVELOPMENT OF NEW CAMPUS AND ASSOCIATED WORKS FOR QUEST INTERNATIONAL UNIVERSITY PERAK FORMERLY KNOWN AS PREMIER INTERNATIONAL UNIVERSITY AT GUA TEMPURONG,MUKIM KAMPAR, DISTRICT OF KINTA PERAK DARUL RIDZUAN (PHASE 1- Project value RM391,223,129.32) (Building, Structures Mechanical & Electrical and Related Works). We, SDN BHD , hereby irrevocably and unanimously, with full personal and legal authority and corporate responsibilities, duly agreed, consent, covenant and confirmed and undertake and guarantee full payments by our BOARD of DIRECTORS AND SHAREHOLDERS to pay the sum stated below being consultancy fee to the beneficiary/beneficiaries. This irrevocable undertaking agreement issued shall be bound legally according to the laws of Government of Malaysia. CONSULTANCY FEE : RINGGIT MALAYSIA ONE PERCENTUM (1.0%) TO BE BASED ON THE TOTAL PROJECT VALUE STATED IN THE LETTER OF AWARD / TOTAL CONTRACT SUM STATED IN THE CONTRACT AGREEMENT (THE CONTENT IS IN FULL AFFECT FOR EVERY PHASE AWARDED)

MODE OF PAYMENT :- LUMP SUM AFTER SIGN LETTER AWARD @ AGREEMENT

The payment of the consultancy fees shall be made and honored without protest, recourse, deduction, lien or encumbrances in accordance with the schedule payment stated herein and shall be payable to name above or their beneficiary/ beneficiaries or nominees.

RE : LETTER OF GUARANTEE PAYMENT PROJECT TITLE : PROPOSED DEVELOPMENT OF NEW CAMPUS AND ASSOCIATED WORKS FOR QUEST INTERNATIONAL UNIVERSITY PERAK FORMERLY KNOWN AS PREMIER INTERNATIONAL UNIVERSITY AT GUA TEMPURONG,MUKIM KAMPAR, DISTRICT OF KINTA PERAK DARUL RIDZUAN (PHASE 1) (Building, Structures Mechanical & Electrical and Related Works). We, the Main Contractor for the project name stated above, shall irrevocably agree to pay a sum of RINGGIT MALAYSIA ONE PERCENTUM (1.0%) TO BE BASED ON THE TOTAL PROJECT VALUE STATED IN THE LETTER OF AWARD / TOTAL CONTRACT SUM STATED IN THE CONTRACT AGREEMENT being consultancy fee to the beneficiary/ beneficiaries stated below. TO BENEFICIARY: MOHAMMAD JAMILI BIN IBRAHIM (NRIC NO:680314-08-6727 )

With reference to the above matter, we the undersigned, the Managing Director and Executive Director, act on behalf of all the company directors and shareholders, duly agreed, confirmed, consent and with full corporate authority and responsibilities under penalty of perjury are determined to GUARANTEE, the beneficiary above named, the full payment for the amount stated above being consultancy fee of the project. Should the present company being taken over by another Group of Company and/or the undersigned Managing Director, Executive Director or Directors being resigned, thereof, the new Group of Company and the new Managing Director, Executive Director or Directors will automatically be bound to undertake this Letter of Guarantee, and whatever Agreements been signed earlier, shall be confirmed and duly agreed by our BOARD of DIRECTORS with immediate effect. We hereby irrevocably, irreversibly and unconditionally, shall make honored without protest and delay or non-notification, promise and guarantee such payments shall be made without set-off and free and clear of any deductions, liens or encumbrances, charges, fees or withholding of any nature now or thereafter imposed, levied, collected withheld or addressed by any party or authority thereof or therein.
