MINUTES OF technical meeting related to project design, scope, shared facilities etc between EMIC and Al Ghail Power (AGP) LLC on November 1, 2012 Sl. # 1 2 Description Introductions and goals of the meeting were set. Laydown area requirements: EMIC and AGP reviewed the existing site layouts for both Al Hamra and Al Ghail Power Plants. EMIC explained that it needed to give EPC contractor the ability to plan for laydown areas at each site: Al Hamra: AGP to review the site layout and indicate those areas which would be OFF-LIMITS for potential laydown area (space requirement minimum 5000m2) Al Ghail: EMIC is informed that the plot adjacent to AG PP is free and has been preliminarily designated for EMICs use as laydown for a temporary period for constructions; AGP to also check on availability and support securing this land for laydown use Action By INFO

Plant layout: Some design aspects were reviewed at the AH PP including the height of the piperacks above the access road. After some discussion AGP agreed that the clearance height of 4.5m can be accepted with some modifications: - AGP would erect a new Northern entrance gate from the main road next to the ACC at AH PP to allow easier access by large cranes. - EMIC to modify design to connect the road north of the ACC to the new Northern entrance.

Electrical connection from 11kV generator breaker: AGP informed EMIC that its preference is for EMIC to connect directly to the 11/33kV step-up transformer at Al Ghail, rather than to 11kV bus bar. The reason for this is, that the 11kV bus bar at Al Ghail is already heavily loaded, requiring extensive new protection equipment. This also has advantages for the 11kV cabling layout and reduces space requirements in 11kV switchroom. Since most power will be exported via the 33kV grid, this is the most efficient solution at Al Ghail. Terminal point for power export is the 11kV connection of the generator breaker (EMIC scope). The 11/33kV step-transformer and connection to the generator breaker is within AGPs scope for power export. EMIC to advise its contractors and make modifications as appropriate. The situation at Al Hamra is similar, except that the 11kV bus bar is less loaded and the power will be exported to consumers in Al Hamra on the 11kV grid. AGP to assess its preference for connecting the steam turbine generator to the 11kV bus bar or to 33kV grid and advise EMIC [AGP: Please advise before November 11, so that EMIC may inform its EPC Contractor appropriately.] EMIC to provide AGP with its assessment / proposal of connecting at 33kV at Al Hamra site.

11/33kV step-up transformer (AGP scope): EMIC to provide AGP with its recommendation for appropriate 11/33kV transformer capacity at both sites. Relocation of existing equipment: EMIC presented the current anticipated layouts to AGP and indicated that currently the sites have been designed to avoid relocation of existing equipment as far as possible. If any relocation of equipment is required, EMIC will advise AGP of such requirement, specifying exact scope and timing and will work with AGP as needed. EMIC also presented those items which were descoped from the EPCs scope of work as part of value engineering (see slides attached). Tie-in and interruption of existing plant operations: EMIC and AGP discussed the timelines for the project and in particular the performance testing. AGP indicated that with the new transmission lines, it will be possible to provide uninterrupted power supply to clients with 3 of 4 GTs running at any one time during installation / commissioning / testing. EMIC presented its preliminary project schedule, which satisfies AGPs requirements (tie-in in winter months, staggered tie-in of HRSGs). AGP to review and confirm on the basis of discussions with EMIC that performance testing can be managed without major disruptions to power supply and advise Carl (IDO) on its feedback. There was discussion regarding ramp rates etc; EMIC to provide AGP with the dynamic operating parameters for the steam cycle. Black start requirements were also discussed, with the understanding that an additional black start facility for the steam plant is not required, since the steam cycle can only be started, when the gas turbines are operating. Safe shut-down of the steam cycle in a blackout situation is ensured by the steam cycles own uninterrupted power supply.

I&C systems: The integrated I&C proposal was reviewed with AGP. Integration with the existing control system will require cooperation between the EPC contractor and AGP. EMIC requested AGP to help in providing the required signals or changes to the existing I&C system and/or secure the assistance from the supplier of the existing I&C systems for the interfacing. EMIC will put together a list of requests for changes or signals as soon as possible. AGP agreed it will review the interfacing requirements and indicate how it can support once the EPC contractor is appointed.

Fire systems: AGP and EMIC reviewed the proposals by the lead bidder on the fire protection systems. EMIC indicated that the provision of fire protection systems is out of scope of work and that it may be more efficient for AGP to source this work itself. AGP to review and advise EMIC. However, AGP said that fire system design approval from Cvil defence need to be taken by EMIC. Execution of the fire system will be reviewed by AGP in consultation with IDO

Permitting NOC from Civil Defense: it was discussed that the NOC for fire protection systems should cover the entire expanded plant as a whole if the fire systems will be expanded and not standalone. EPC contractor is required to manage the process with Civil Defense but NOC should be in the name of the existing plant. If standalone fire protection systems for steam cycle plant then there would likely be a standalone NOC(I doubt whether it is correct to say that civil defence issue approval for total plant, please review). Shared facilities and services: the list of shared facilities was reviewed and agreed upon by both parties including: Control room: shared facilities will include the full building, related equipment and staff seating spaces Switch room: shared facilities will include the full building and related equipment Admin buildings: i) at AH PP: EMIC will ensure there is space for approximately 8 to10 AGP staff at the new admin buildings to be built; and ii) at AG PP: AGP will ensure there is sufficient space for 8 to 10 EMIC project company staff. Or it can swap of equal area in sq meter at Al Ghail and Al Hamra Warehouse: APG agrees that the existing warehouse at AG PP can be reconfigured or renovated as and if needed (the cost of such to be borne by EMIC) and this building shared with EMIC at no cost, in order to house the spare parts for the steam cycle of both plants. Inventory management and related costs will be addressed during O&M discussions. EMIC to include in the BOOT contract Other: O&M: EMIC is in the process of drafting the O&M agreement and will have this prepared likely near the end of November; the aim is to have this finalized before NTP to the EPC contractor (early Feb).
