THIS INDENTURE OF LEASE is made this 1st March of Two Thousand and Thirteen BETWEEN Smt.

Pramila Devi, D/O Shri Jagdish Prasad Singh, House No- 13/B, Sarba Khan Road, Kolkata - 700037, Herein after called the LESSOR (which expression shall unless excluded by or contrary to this subject or context means and includes his heirs, legal representative, administrators and assigns) of the ONE PART:AND NATIONAL INSURANCE COMPNY LIMITED a company incorporated under the Companies Act, 1956 and having its registered office at 3, Middleton Street, Kolkata 71, herein after called the LESSEE (which expression shall unless excluded by or repugnant to the subject or context means and includes its successors and assigns) of OTHER PART: -

WHEREAS the LESSOR is the absolute owner of the premises No. 530/1, Netaji Colony, Kolkata 700090, AND WHEREAS the LESSOR has agreed to let out and the LESSEE has agreed to take on lease one flat at No. 530/1, Netaji Colony, 1

Kolkata 700090, and more fully described in the Schedule hereto for using the same for residence of officers. NOW THIS INDENTURE WITNESSED AND IT IS HEREBY AGREED AND DECLARED AS FOLLOWS: 1. In consideration of the rent hereby reserved and or covenants hereinafter contained the LESSOR both hereby demise into LESSEE ALL THAT demised flat together with use of fitting and fixtures and the water closets, lavatories and other convenience in the demised premises. To hold the same unto and to the use of the LESSEE for a term of 2 (Two) years but determinable as herein after provided, commencing from 01/03/2013 to 28/02/2015 yielding and paying, therefore unto the LESSOR the monthly and every month the rent of Rs. 12000/- (Rupees Twelve Thousand only). 2. THE LESSOR ITSELF AND ITS SUCCESSORS AND ASSIGN TO THE INTENT THAT THE OBLIGATION SHALL CONTINUE THROUGHOUT THE TERMS BOTH HEREBY COVENANT WITH THE LESSOR AS FOLLOWS: a. THAT THE LESSEE shall during the said terms pay to the LESSOR the said monthly rent of Rs. 12,000/ (Rupees Twelve Thousand only) each month on or before 7th of current month. b. THAT THE LESSEE shall use the demised premises for dueling purpose of its officers only and shall not assign, under let or part with the possession of the demised premises or any part or portion thereof nor shall be make any structural alteration and/or addition to the said premises without obtaining previous consent from the LESSOR. c. THAT THE LESSEE shall pay monthly rent of Rs. 12,000/ (Rupees Eleven Thousand only) for amenities and facilities provided therein to the LESSOR. All other taxes shall be paid by the LESSOR. d. That the payment of rent will be due on and from the date on which premises is delivered to the LESSEE i.e. 01/03/2013 e. THAT THE LESSEE at the expiry of the above mentioned period of two years shall handover the possession of the premises to the LESSOR. However lease period may be renewed for further period subject to consent of both the parties. 2

f. That the electrical consumption charges as per the bill of the meter separately allotted to flat will be paid by the occupant office/ LESSEE. g. That regarding supply of water, the LESSEE will get water from LESSORS Tube well/Tap water as per the daily requirement of LESSEE. 3. THE LESSOR FOR ITSELF ITS SUCCESSORS AND ASSIGN TO THE INTENT THAT THE OBLIGATION SHALL CONTINUE THROUGHOUT THE TERM BOTH HEREBY CONVENANTS WITH LESSEE AS FOLLOWS:a. That the LESSEE performing and observing all the covenants and conditions herein after contained on the part of LESSEE to be performed and observed shall quietly hold, possess and enjoy the demised premises during the said terms without any inference or interruption by the LESSOR or any person claiming through him. b. That the LESSOR shall maintain the demised premises in the tenantable condition. 4. IT IS HEREBY MUTUALLY AGREED BY AND BETWEEN THE PATIES HERETO AS FOLLOWS: a. That the LESSEE shall be at liberty to terminate this agreement and handover vacant possession of the demised premises at any time before expiry of the period of lease by serving one month notice on the LESSOR of its intention to do so. b. That the LESSEE Company agrees to pay to the LESSOR a sum of Rs.36, 000/- (Rupees Thirty Six Thousand only) as advance which shall be adjusted at the end of the lease at the time of vacation or as may be applicable and shall be refunded to LESSEE through a Bank Draft/check. c. If at any time during the continuance of the lease, the demised premises thereof be destroyed and/or damaged by fire, earthquake, tempest or other Act of God or by riot war, Air raid or any irrestible forces not caused by willful act or negligence on the part of the LESSEE so as to become unfit for habitation and use for the purpose for it was let, then this lease at the option of the LESSEE shall stand determined.

d. That above lease is to commence on and from March 1, 2013 and shall be for duration of Two years from 01/03/2013 to 28/02/2015 (Inclusive of both days) subject to renewal at the option of the LESSOR. SCHEDULE OF PROPERTY. ALL THAT portion of house No. 530/1, Netaji Colony, Kolkata 700090, comprising of carpet area of about 600 Sq. Ft. IT WITNESSESS WHEREOF, the said LESSOR and LESSEE have hereto respectively put their signature and set their hands on
