ISM Goodwill Gymnastics Meet:

Last Saturday a very busy, long but extremely successful day of gymnastics was held at the ISM MS Gymnasium.
Our ISM Bearcat Gymnastics teams did a great job representing us as the host school and I would like to
congratulate all the girls and coaches for their efforts.
The individual and team results are posted in this bulletin.
I would also like to recognize the hard work put in by our Bearcat Gymnastics Parent Booster Club led by President
Jenny Kinsella, Kerrie Uytengsu, Ane Preysler and the team of parent helpers who assisted in so many areas with
this large event. This event would not be possible without the support of the parent volunteers in the areas of team
registration, sponsors support, awards ceremonies, t-shirt/program/snack sales booths, goodie bags etc.
No doubt the gymnasts and the mom’s slept very well when they finally got home on Saturday evening.

I would also like to recognize the efforts of the following people/groups for their help in making this event happen.
ATAC staff (Triz, Joan, the ATAC boys) for logistics and facility set up.

From the Board of Trustees:
02 March 2009

Dear Parents:

Thank you for your continuing support of International School Manila.

As you may remember, our By-laws give you a central role in the governance of the Corporation, with five of the ten Board
seats being allocated to Associate Members. This year, there will be one (1) vacancy for Trustee from the ranks of
Associate Membership. With this in mind, we seek your nominations for this post, which must be submitted to the Corporate
Secretary (at Room P089, Administration Office, ISM Campus) on or before 07 April 2009.

All Associate Member candidates, who are members in good standing, will be interviewed by the Committee on Trustees,
and those whose skill-sets and profiles best meet the needs of the Board of Trustees will be endorsed to the community for
election.

Voting may be done in advance of, or at, the Annual General Meeting (AGM). From 12 May to 20 May 2009, a ballot box will
be established in the administrative office area near the Corporate Secretary’s office for those who wish to vote in advance
of the AGM. You may recall that, as of May 2007, there is no longer the option of voting by proxy. Hence, Proxy Forms
which you submitted at the beginning of this year (enclosed in your Enrollment Packet) will be used solely for attendance
purposes and to determine presence of quorum at the AGM, and cannot be used to vote.

The AGM will be held on 21 May 2009 in the Fine Arts Theater, and members of the community who have not voted should
cast their ballots at that meeting. Results will be announced as soon as the assigned auditing firm has concluded the count.

Prospective candidates for the Board should read the attached nomination and election procedure and guidelines in full. The
nomination and election procedure and guidelines may also be viewed at the ISM website (www.ismanila.org).

THE COMMITTEE ON TRUSTEES

Board of Trustees

INTERNATIONAL SCHOOL MANILA, INC.

Annual General Meeting (AGM) of Members
21 May 2009

NOMINATION / ELECTION GUIDELINES

For Associate Member Candidates

1. Our By-laws have clarified the function of the Board of Trustees (the “Board”) and the relationship it enjoys with
the Superintendent. Essentially, the responsibility of the Board is to ensure that the School remains true to its
Vision, Mission and Core Beliefs, that the Corporation’s financial and accounting reporting systems are
appropriately managed and audited and that the Corporation is legally secure. The Board hires (and
evaluates) a Superintendent who is responsible for all day-to-day decisions in the School.

2. It follows from this that we are hoping to find Trustees who understand that their work will be focused on policy
and strategy as well as financial scrutiny rather than any involvement in the operations of the School. We shall
certainly be looking for Trustees with a professional background in financial matters, but also for those with
significant leadership experience in management, administration, education, diplomacy and law. Clearly it
would be advantageous for candidates to have worked on boards before and who thus understand the role of
the Trustee in big-picture thinking.

3. In sum, our By-laws require that the Board shall consist of ten (10) Members of the Corporation, five (5) of
whom shall be elected from the ranks of the Sustaining and Honorary Members and five (5) of whom shall be
elected from the ranks of the Associate Members Following our By-laws, two (2) Sustaining or Honorary
Page 4 of 9
Member Trustees and one (1) Associate Member Trustee shall retire by the end second year of its application
(i.e. SY 2008-2009). Thus, at the 21 May 2009 Annual General Meeting (AGM) of all Members, the Members
shall elect one (1) Trustee out of the nominees from the ranks of the Associate Membership.

4. All candidates must, of course, be Members of good standing in the Corporation – that is, in the case of
Associate Members, be current in terms of fee payments. There are, as well, certain criteria established in the
Corporation Code that could conceivably exclude candidates from standing (please refer to Section 3, Article 3
of the By-laws). Associate Member Candidates will, by their signature on this document, declare that (a) they
are Members in good standing of the Corporation and (b) individuals who are not in breach of criteria
established in the Corporation Code.

5. Candidates from the ranks of Associate Members must submit their certificate of candidacy to the Committee
on Trustees (the “Committee”), through the Corporate Secretary’s office at P089, Administration Office, ISM
Campus, by 07 April 2009 which consist of the following:

a) Resume – with appropriate bio data and covering personal and professional background; and

b) Letter of Intent indicating that the candidate is an Associate Member and outlining the
individual’s qualities and skills that will be relevant to the ISM Board of Trustees.

6. The Committee will begin interviews of candidates shortly thereafter. In this instance, because we are obliged
to fill one (1) vacant seat on the Board, the Committee will then recommend, by 30 April 2009, candidate(s) to
the present Board of Trustees. The Board will convey this endorsement to community at large in advance of
the election. The Committee will base this decision on the qualities and experiences of the candidates and the
particular skill sets they would bring to the Board.

7. Those candidates who do not receive the endorsement of the Committee may choose to withdraw from the
election and should do so in writing to the Corporate Secretary ON or before 29 April 2009. Candidates who
do not receive the endorsement but still wish to stand for election will be included in the Final List of
Candidates that will be published on 04 May 2009 to the community. To guide the community in their choice,
the Committee will also send out at that time the resumes and letters of intent of all candidates, as previously
submitted. This is the only campaign information that will be made publicly available.

8. Candidates must undertake not to publish, or otherwise disseminate or encourage or allow others to publish on
their behalf, any additional information that may encourage community members to vote in a particular way. It
is not in the interest of the School – or the candidates – for there to be electioneering of any kind. It is not
possible for the School to filter out anonymous text messages or e mails or blog sites, but we would hope that
the community-at-large will understand that those people who engage in such activities are behaving contrary
to the best interests of the School.

9. From 22 April 2009 up to 28 April 2009, each candidate shall engage into a discussion with the Board’s
Committee on Trustees whose task is to review and recommend candidates coming from the ranks of
Sustaining or Honorary Members who meet the foregoing criteria, and whose portfolios of skills are best
equipped to fill vacancies in the Board.

10. On 12 May 2009, there will begin a seven (7) working day period for the early casting of votes. This replaces
the proxy system and is designed to encourage maximum participation by the community. Ballot boxes will be
found in the Administration Office.

11. On 21 May 2009, there will be the Annual General Meeting (AGM) of Members at which there will be reports
from the Board and Superintendent and an opportunity for all Members who have not already cast their votes
to select Trustees for the new Board. Results of the election will be announced on that same evening.

Summer Language Study / Home-stay / Travel Program to SPAIN

The ISM High School Modern Language Department is pleased to announce its Summer Language Study / Home-
stay / Travel Program to Spain from June 6th to July 4th 2009 for students aged 13 to 19 years old.
The program aims to develop students’ language proficiency and to broaden his/her cultural knowledge. This
program is being offered in cooperation with Escuela Internacional Madrid (TANDEM), a school in Madrid and
San Sebastian, Spain. Students will continue learning and, more importantly, will practice Spanish through total
immersion in the classes and during the home-stay. The school finds families for students to stay with, assists
in locating appropriate local resources for the group’s activities, plans outings, maintains a list of local medical
and emergency resources, and helps with the orientation for group leaders.

The language course proposal is to have 4 class sessions (45 minutes each) of language and culture from Monday
to Friday, from 09.30 to 13.00 each day (with a break from 11.00 to 11.30). The classes will include language
and culture subjects as well as adequate preparation for the cultural visits. Students will complete a
placement test in order for the school to form groups based on the level of Spanish.
Last year, 15 students from ISM traveled to Spain and all of them reported dramatic improvements in their
acquisition of the Spanish language as well as outstanding experiences with their home-stay families and one
another during their time in Spain.

If you are interested in receiving more information about this summer course, please contact Laurie Atilano or
Samantha Ramos in the High School Office, or email Adriana Vargas at vargasa@ismanila.org.
