CONTRACT FOR HOUSE MAINTENANCE SERVICES THIS AGREEMENT is made and entered into this 1st Day of August,

2005, by and between (company name), a company duly organized and existing under the laws of India , with its principal place of business at (ADDRESS)and its Registered Office at (ADDRESS) (hereinafter referred to as party of FIRST PART), which expression shall unless repugnant to the context or meaning thereof mean and include its successors , executors, administrators and assigns) and

M/S (CONTRACT PARTY NAME) a Partnership firm, acting through Mr. MANE, with its principal place of business at (CONRTACTORS ADDRESS) (hereinafter referred to as party of SECOND PART), which expression shall unless repugnant to the context or meaning thereof mean and include its successors and assigns). WHEREAS party of SECOND PART is in the business of providing various facilities in form of Security, House Maintenance, Supply of Labour, and other allied activities. WHEREAS party of FIRST PART has called for quotations for the availing the services of House Maintenance from various parties. WHEREAS party of SECOND PART has sent its quotation to party of FIRST PART and has represented that it has requisite experience in providing the services of House Maintenance and is already in the business of providing the said services to various parties WHEREAS party of FIRST PART has agreed to avail the services of party of SECOND PART on certain terms and conditions forming part of this agreement. NOW THIS AGREEMENT WITNESETH AS UNDER :1.

The party of FIRST PART has agreed to avail the services of party of SECOND PART w.e.f services. DATE for House Maintenance and related

The party of SECOND PART agrees to provide the services of House Maintenance, which includes services of Upkeep, Cleanliness , Sanitation , Supply of unskilled Labour and manpower

for its temporary office service and other allied activities pertaining to the factory premises , at a services charge calculated @ 10% (excluding Service Tax) of the aggregate of the statutorily prescribed minimum wages paid to labors / Personnel deployed in each month for providing House Maintenance Service to party of FIRST PART, subject to following a.

The party of SECOND PART shall supervise the activities of its Staff/ Personnel. The Staff / Personal deployed by the party of SECOND

PART for the purpose of providing House Maintenance service to the party of FIRST PART shall for all purpose be regarded as the employees of the party of SECOND PART. In any circumstances these Staff/Personal will not be regarded as employees of party of FIRST PART.

The party of SECOND PART shall maintain muster and other necessary statutory records required by the law of land. The payment as mentioned above shall be reduced by amount relating to the absenteeism of Staff/ Personnel of party of SECOND PART unless, party of SECOND PART has provided replacement during such period. The party of SECOND PART covenants to provide necessary copies of the muster roll to the party of FIRST PART every month.

The party of SECOND PART further covenants that :a.

It shall provide necessary staff / personnel as may be required to ensure that the premises and the sanitary blocks of the party of FIRST PART are always neat, clean and in perfect sanitary

condition, etc. and do miscellaneous jobs relating to such activities at its own risk and cost.

The above staff / personnel shall be selected by the party of SECOND PART from its own fleet and the party of SECOND PART shall be responsible for any lacuna of the service undertaken by them for which the party of FIRST PART shall be entitled to be reimbursed an amount as may be decided by the party of FIRST PART from time to time. The staff/ personnel so engaged by the party of SECOND PART shall be fully conversant with the work of cleaning and keeping the premises and sanitary blocks in perfect sanitary conditions for which necessary material shall be provided / supplied by the party of SECOND PART. The staff, personnel so employed by the party of SECOND PART shall be with necessary equipments as required for the discharge of their duties. The party of SECOND PART shall be solely responsible for the recruitment, posting and control over its own personnel from time to time. It shall be the duty and responsibility of the party of SECOND PART and their staff/ personnel, not to make misuse of the premises of the party of FIRST PART, which results into civil or criminal liability on party of FIRST PART. The party of SECOND PART shall be responsible for all the negligent acts of its staff / personnel resulting into whether civil or criminal liability, while on duty at the premises of party of FIRST PART and shall indemnify the party of FIRST PART for the loss/ damage incurred to it due to such negligent act. It shall keep all the necessary records of its staff / personnel and keep it available for inspection by the nominated person of party

of FIRST PART. The party of SECOND PART shall submit a list of staff/ personnel that may be posted from time to time stating therein clearly the name of the personnel, his age, address and such other particulars that may be required to identify such personnel.

The staff / personnel posted, deployed by the party of SECOND PART shall be well dressed and in uniform and they shall wear the name plate of the party of SECOND PART. These staff/ personnel shall be given identity card with a photograph affixed on it. The party of FIRST PART may authorise any of its staff/ personnel to supervise the activities of staff/ personnel deployed by party of SECOND PART and it shall be the duty of party of SECOND PART or its representatives to give full cooperation. It shall be the duty of party of SECOND PART to carry out its duties properly and upto the requirements laid out by party of FIRST PART. . The party of SECOND PART shall deposit Rs. 4,000 (Rupees Four Thousand Only) to party of FIRST PART as security deposit for the award of contract and shall be refunded back to them on completion of this agreement after deducting liabilities , if any, of party of SECOND PART to party of FIRST PART . The party of SECOND PART has represented that they have licenses for undertaking contracts/ agreements for Contract Works, and their employees / workmen will be covered under various acts like Employees State Insurance Act, Provident Fund Act, Workmen Compensation Act and other acts applicable to the nature of services undertaken by them . The party of SECOND PART has promised to provide sufficient proof of having such

licenses and approvals from necessary authorities to party of FIRST PART within 15 days of entering into this agreement.

It shall be the responsibility of party of SECOND PART to pay all wages, salaries, contributions and such other payments and benefits to its Workmen/Employees as are required by or under any Labour Laws or under any other applicable Law for the time being in force. The party of SECOND PART shall pay all the wages and salaries to its Workmen/Employees deployed for providing House Maintenance services to party of FIRST PART only in presence of an Authorised Representative of party of FIRST PART and shall obtain a signature of such Authorised Representative on the pay roll as an evidence of due compliance with the above requirement. The contribution made by party of SECOND Insurance PART and towards Labour Provident Welfare Fund, in Employee respect State of its Fund

Workmen/Employees deployed for providing House Maintenance Service to party of FIRST PART shall be reimbursed by party of FIRST PART, provided party of SECOND PART produces to party of FIRST PART all original records evidencing the due payment of the said contribution to the respective authorities. The party of SECOND PART shall inform the party of FIRST PART of due compliance under the provisions of the various applicable Acts, and delay if any in payment of statutory payments shall be informed in writing to the party of FIRST PART immediately. In case of the default the party of FIRST PART shall have the authority to withhold the payment of monthly bills to the extent payable from bills of party of SECOND PART.

In case of any default or noncompliance by party of

SECOND PART in discharging its obligation or liability under any applicable Legislation, the party of SECOND PART shall solely be responsible for any penalty, interest and/or other consequences arise from such default or non compliance. The Party of FIRST PART shall not indemnify or reimburse the party of SECOND PART for any such penalty, interest and/or other consequences paid, born or suffered by party of SECOND PART for any such default or noncompliance. The party of SECOND PART shall put up its bills to party of FIRST PART immediately on completion of the month and party of FIRST PART shall after detail scrutiny of same shall pay the party of SECOND PART within 7 days. 5. This agreement shall be valid for a period of 8 (Eight) months commencing from (DATE). The same can be further renewed on both the party agreeing to this effect within one month of completion of 8 (Eight) months of this agreement. 6. The agreement shall be terminated on :a. On either party giving one month notice in writing to other party, or
b.

On party of SECOND PART making breach of the terms mentioned in (2) and (3) above, or

c. On termination of this agreement and where agreement is not renewed.

In case of dispute between both the parties, the matter shall be referred to arbitration of two arbitrators, each appointed by the either party to this agreement, and in case of dispute between the parties to the agreement on the award of the arbitrators, the

Chairman/ Managing Director of the FIRST PART shall act as Umpire, whose decision shall be final and binding. In witness whereof the parties to the agreement has put forth their hands on (DATE) .
