As a result ,the present application is approved due to aforesaid reasons, the public trust named Sardhav Gram Vikas Mandal which is registered vide no: E/2264/Ahmedabad. The scheme under Exibit11 is hereby implemented, while making the changes in existing constitution & administrationofthetrustandsameisenclosedasanAnnexureA.Nowtheadministrationofthe trustwillbedoneaccordingtothescheme.Thefollowingpersonsareappointedasafirsttrustees andtheyhavetodischargethedutyasatrustee. Trustees and Managing committee will administer according to the constitution. (A) Theminimumnumberoftrusteeswillbe5(five)andmaximumnumberwillbe9(nine). (B) ThememberofMandalcanbenominatedasatrustee. (C) All the properties with the Mandal at the time of nomination will be acquired to the trustees. (D) Writtenconsentisrequiredtobeobtainedfromthemember,whowillbeappointedas atrusteeofMandal. (E) TheGeneralbodyoftheMandalcanappointthepersonastrusteesubjecttorulesand regulations in case of death of any trustee or absence from India without written permissionoftheCharityCommissionerorsentencedinanytypeofcriminaloffenceof character or wish to relieve from trustee or become defaulter or can not discharge duties as a trustee or become unable to discharge the duties or does not ready to dischargeduties.

(C) TheCurrentMembershavetopaysubscriptionprevioustothedayofelectionotherwise thememberwillnotbeentitledtocastthevote. No.(6)/ACancellation: The member will be removed from the list of members of the Mandal for the following reasons. (A) OnhisDeath. (B) Onthememberbecomingunsoundmind. (C) ForactingagainsttheinterestoftheMandal. ThedecisionoftheManagingCommitteewillbefinalandbindinginthisconnection. No.(7)Subscriptionofmember: ThepersonwhosenativeplaceisSardhavwillbeenrolledasamemberpayingRs.101for annualmembershipandRs.501collectivelyforlifetimememberafter1041993. (A) Donormember,Wellwishermember,Lifetimememberenrolledbefore141993,asper theearlierconstitutionwouldbecontinuedasamember. No.(8)Votes: (A) Ordinary members shall be entitled to vote after being enrolled on payment of subscriptionintermsofclause(6)(A)andoncomplyingwiththeprovisionsof(6)(C). (B) Lifetimemembers,patronsanddonorsshallalsobeentitledtovote. (C) Anyresidentofsardhavdonatinginthenameofafirmcanappointarepresentativefor thefirmandtherepresentativewillbeentitledtovoteforlife.Oncearepresentativeis appointed, the firm will not be permitted to change the representative. Even if any changestakeplaceintheconstitutionofafirm,theoriginalrepresentativewillcontinue assuchontheMandalforlifetime.

No.(9)Committeesofmanagement: (A) TheGeneralBody. (B) TheManagingCommittee. No.(10)TheGeneralBody: (A) TheGeneralBodywillconstituteofmembersofMandal.TheGeneralBodywillmeetat leastonceinayear. (B) TheGeneralBodywillnormallymeetinSardhav.Itcanmeetelsewhereifnecessary. (C) Eachmembershallbeinformedsevendaysbeforethemeetingbyalettermentioning theDate,Time,PlaceandtheAgendaofthemeeting.Theperiodof7(seven)daysofthe noticeshallbecountedfromthedateofpostingofthenotice. (D) EverymembershallbeentitledtocastonevoteinaGeneralBodymeeting. (E) No member will be entitled to vote by representative. Members residing outside or goingoutsidewillbeentitledtovoteinaccordancewithrule17. (F) AllmotionsshallberesolvedbymajorityinGeneralBody. (G) The quorum of General Body will be presence of one third of the total members or twentyonememberswhicheverisless.Ifthereisnoquorumattheendofhalfanhour ofthetimefixedforthemeeting,10(ten)membersifpresentwillformthequorum. (H) Managing committee shall have the right of calling the General Body meeting. In exceptional circumstancesthe presidentshallalsobeentitledto calltheGeneralBody meeting. (I) GeneralBodymeetingshallhavetobeconvenedwithinonemonthontherequisitionof one third of the total members paying annual subscription or of 15(fifteen) members from the permanent members. The general body meeting so requisitioned will discuss onlythesubjectdetailedintherequisition. No.(11)AgendaoftheGeneralBodyMeeting: (A) ToadoptthereportoftheManagingCommitteeandpassauditedaccounts. (B) ToelecttheManagingCommittee. (C) Toappointauditorsandfixtheirremuneration. No.(12)ProcedureforconductingGeneralBodyMeeting: (A) ThePresidentoftheMandalwilltakeplaceasaChairmanoftheGeneralmeetingbefore thecommencementofthemeeting.IntheabsenceofthePresident,theVicepresident, andintheabsenceofboth,anymemberoftheManagingCommitteewillbenominated as a Chairman to conduct the General meeting. The General meeting will commence with the reading of the Minutes of its last meeting and minutes of all Managing Committee meetings subsequent to the last General Meeting. Before the commencementof the meeting,thesignatureofthememberspresentinthemeeting shallbetaken. (B) If there is equal voting in favour of and against a resolution at General meeting, the Chairmanwillbeentitledforaadditionalcastingvote. (C) MinutesoftheGeneralmeetingshallbemaintainedinaregister. (D) The decision of the Chairman will be final on the interpretation of any clause of the constitution. (E) AmemberdesirousofmovingaresolutionordiscussingasubjectataGeneralmeeting mustsendtheresolutionorthesubjectfordiscussiontotheManagingcommitteetwo daysinadvance.Allgeneralrules,regulationsandprecedentsforconductofaGeneral meeting, unless repugnant to the context, herein, shall be applicable to General meeting.

 No.(13)ManagingCommittee: (A) Managingcommitteewillbeof23members (1) Maximum3fromannualmembers(Whoattainedannualmembershipforcontinous fiveyearsormore) (2) Lifetimemembers&others (3) TrusteeofMandalunderclause5 (B) Amongsttheelected23members,theManagingcommitteewillelect,aPresident,two Vicepresident,twoSecretariesandaTreasurer. (C) ThequorumoftheManagingcommitteewillfunctionwithpresenceofminimumseven members. (D) The meeting will be conducted by the Vicepresident in the absence of the President, andbyamemberelectedbytheManagingcommitteeintheabsenceofthePresident andVicepresident. (E) Vacanciesinthemanagingcommitteewillbefilledupbycooption.Vacancieswillnot befilledupifitoccursduringthreemonthsprecedingthenextelection. (F) Managingcommitteewillmeetatleasttwiceduringtheyear. (G) AmeetingoftheManagingcommitteewillbeimmediatelyconvenedifeightmembers of the Managing committee send a written requisition. At such meeting no business otherthanmentionedintherequisitionwillbetransacted. (H) Normally, within three months of the close of the financial year of the Mandal, the audited accounts will be presented before Managing Committee. The Managing CommitteewillsanctionitandthereafterpresentthesefortheapprovaloftheGeneral Body. (I) The Secretary will convene the meeting of the Managing committee after obtaining consentofthePresident. (J) ThePresidentmay,ifhefeelsitnecessary,inviteGentlemenintheManagingCommittee meetingsbuttheinviteesshallnothavearighttovoteonanyresolution. (K) The main object of the Managing Committee will be to advise and to guide in undertakinganyworkarisingfromtheaimsandobjectsofMandal. No.(14)DutiesofPresident: (A) ThePresidentwillbetheChairmanofeverycommitteeoftheMandal.Hewilllookafter theworkingofthecommittee.Hewillbeentitledtoaskforexplanationorinformation on any subject or matter from the officebearers of the committee. He will loyally shoulderallresponsibilitiesoftheMandal. (B) ThePresidentwillinstructtheSecretariestocallforimportantwork,ordinaryorextra ordinary meetings of the General body. The President will constitute a working committee of the citizens of Sardhav residing in Bombay, to accelerate the administrationofSardhavGramVikasMandal. No.(15)DutiesofSecretaries: (A) The Secretaries will keep the record of meetings and the business transacted at each meeting.Theywillalsotakesignaturesofthememberspresentatmeeting. (B) The Secretaries will be completely responsible to the Managing Committee. They will givetotheManagingCommitteeexplanationrequiredonanymatter.

No.(16)ManagingCommitteeElections: (A) Memberswillbeentitledtovoteforcandidatesoftheirownclass. (B) Nocandidatewillbegivenmorethanonevote. (C) Membersshallhavevotesequaltothenumberofseatstobefilledinrespectiveclass andshallhavetocastallvotes. No.(17)Elections: (A) Electionwillbebyballetanditshalltakeplaceonceeverythreeyear.TheGeneralBody willhavetherighttochangethesystemoftheelectionsbytwothirdsmajorityofvotes. The Managing Committee shall have the right to make all arrangement regarding electionsafterfixingtheDate,TimeandPlaceofelection. (B) Ifanytimethenumbersofnominationsarelessthanthenumberofseatsvacant,there shallbenoelectionsandthepersonswhosenominationsarereceivedwillbedeemed elected. The members so elected will coopt more members to fill up the remaining vacantseats. (C) Ifthenominationsaremorethanthenumbersofseatstobefilledup,thereshallbean electiontowhichthefollowingruleswillbeapplicable. (1) Theballotpapershallbefilledupcompletely.Ballotpapers,notfilledupcompletely orspoiledorunsignedwillbetreatedasinvalid. (2) Ballotpaperswhichshallbearthesignatureoroneofthesecretariyshallbefilledup accordingtoinstructionstherein. (3) The President will appoint the Returning Officer who will conduct the election procedureasperrulesandpreparetheresultandhandoverthelistofcandidateto thePresident.Electionwillbeconductedaccordingtorulesthroughdemocraticand ballotsystem. No.(18)ManagementofFunds: (A) ThemoveableandimmoveableassetsoftheMandalwillbemanagedbythePresident, theVicePresidents,SecretariesandtheTreasureroftheManagingcommitteewiththe approvalofthecommittee. (B) TheTreasurershalldepositwiththebankallamountinexcessofRs.500/. (C) An account will be opened with a scheduled bank in the name of the Mandal. An amountwiththeMandalcanbedepositedinthenameoftrustinschemeauthorisedby theGovernmentaftergettingapprovalfromCharityCommissioner. (D) The bank account will be operated jointly by the signature of any two from the President,theVicePresidentandtheSecretary. (E) The said five office bearers will be jointly entitled to spend up to Rs.10,000/ for the benefitoftheMandal. No.(19)ResolutionwithMajority: The decision of every resolution or question should be taken on majority of the present membersandvotersmembersinthemeeting.Everymembershallcastonevote.Ifthereis equalvote,thePresidentwillbeentitledforadditionalsecondvote.

No.(20)Circular: If the members of Managing Committee are agree, then the decision regarding the daily businessormatterrequiresimmediatedecisionshallbetakenbycircularresolutionwithout calling the meeting. In case difference arises amongst members, the disposal of the same willbedoneduringthenextmeeting. No.(21)MinuteBook: (A) SeprateminutebookshallbemaintainedformeetingofmembersofKelavaniMandal, meeting of Managing Committee, and meeting of Managing Committee. Clear details aboutthebusinesscarriedoutineachofthemeetingshallbemaintained.Ifthedecision istakenoffactthroughcircularresolutionthenthecopyofthecircularresolutionmust bekeptintheminutebookofManagingCommittee. (B) Minute book will be read during next meeting and after acceptance of present members,thepresidentofthemeetingwillsignthereof. (C) If there is difference of opinion amongst the present members about acceptance of minute book, then the note shall be made as per the resolution on majority of the memberspresentduringpreviousmeetingormajorityofthemembers. No.(22)KeepingtheAccounts: ProperaccountsshallbemaintainedaboutmanagementofassetsoftrustbytheManaging CommitteeandtheaccountsshallbeauditedaspertheBombayPublicAct,1950andsent totheofficeofthePublicTrustRegistration. No.(23)InvestmentofTrustFund: The fund and assets of trust shall be invested as per the clause(35) of the Bombay Public TrustAct,1950(andingeneraltheamountmorethanRs.250shallnotbekeptonhandby membersofManagingCommittee.Allaccountsmaintainedwithbankshallbeinthename ofTrustandtheaccountshallbeoperatedjointlybytwomembersofManagingCommittee outofwhichoneshouldbePresident). No.(24)List: ThedetailedListofallkindsoffixedandliquidassetsshallbepreparedandsameshallbe verified by members of Managing Committee every year and shall be signed thereof by President,SecretaryandTreasurer. No.(25)KeepingtheStaff: For running the administration of the Trust the Managing Committee shall appoint the employeesandservantswiththeterm&conditionasdeemfitanddecidingpay,dearness allowance, honorarium as deem fit, the Managing Committee can remove, dismiss the employee and servants. The employees and servants can be kept in trust premise with propertermsandconditionduringtheirservicetenrare. No.(26)ExpenditureofTrust: Managing Committee has to first incur all the expenditure for the administration and managementofassetsoftrustfromthealltypesofincomesuchasrent,interestetc.ofthe trust. Managing Committee can carry the amount to reserve fund as deem feet from remainingincome.Theutilisationofreservefundshallbedoneformajorrepairing,repairing

of properties and new construction as deem fit by Managing Committee. The remaining incomeshallbeutilisedforaimsandobjectivesmentioned. No.(27)AppointmentofSubcommittees: The SubCommittee shall be appointed as required by Managing Committee from the ManagingCommitteefortheworkoftrustandtheSubcommitteeshallsubmitthereport about the work done by them to the Managing Committee and the decision taken by ManagingCommitteeonreportwillbefinal. No.(28)Rules: ManagingCommitteeshallframerulesasdeemfittoimplementtheschemeandtofulfilthe objectives of the trust after getting approval from Charity Commissioner. The Managing CommitteeshallmakeamendmentinRulesasandwhenneededaftergettingapprovalfrom theCharityCommissioner.TheRulesframeunderthisclauseorthemodificationcarriedout thereofshallbeconsistencewiththisschemeandtherulesframedundertheBombayPublic Act1950. No.(29)ChangeintheScheme: As and when the changes is necessary in the scheme Managing Committee or the two or more interested persons shall submit the application to the Charity Commissioner. The CharityCommissionershallmakethechangesintheschemeasandwhendeemfitbygiving noticetotheManagingCommittee. No.(30)InterpretationofScheme: If any dispute occurs in the Managing Committee about interpretation of clause of the schemethedecisionshallbeputbeforetheCharityCommissionerandthedecisionofthe CharityCommissionerwillbefinalandbinding.
