BYLAWS
ARTICLE I: MEMBERSHIP Section 1 Establishing a Membership An applicant shall become a member of the YCLP by fulfilling all of the following qualifications: 1. Sponsorship of applicant by a member of the Board of Directors, submitted at a regular business meeting. 2. Completion, by applicant, of a probationary period of one year. 3. After completion of probationary period, passing a majority vote of the Board of Directors to induct the new member. If the applicant does not pass this vote it may be taken again after a period of six months, as needed. 4. Explicit agreement with the following statement, by signature filed with the Secretary: "I hereby certify that I do not believe in or advocate the initiation of force or fraud as a means of achieving political or social goals." 5. Submission of contact information to the Secretary. 6. Applicant must be a registered voter who has registered their party affiliation as Libertarian Party. Section 2 Standards of Membership A member of the YCLP is expected to uphold and affirm our Statement of Principles through education, political action, and social activities. Section 3 Good Standing A member in good standing is one who has attended the last two consecutive monthly business meetings of the YCLP. Section 4 Suspension of Membership The Chairperson has the power to temporarily suspend any membership until the next business meeting, where the Board of Directors shall arbitrate upon the suspension as the first item of business at that meeting. The Board of Directors can likewise initiate a suspension vote by bringing forward a motion at any regular business meeting, to be

arbitrated immediately. A period of suspension can then be decided upon and assigned by the Board of Directors with a two-thirds majority vote of those present at the meeting. If a member is suspended all privileges of membership are likewise suspended, including but not limited to powers or funds made available to said member. Suspended members are banned from attending meetings until their period of suspension is over. Section 5 Dismissal of Officers Dismissal of an officer of the Executive Board for negligence, gross dereliction of duty, or for violations of the YCLPs Constitution, Statement of Principles, or Bylaws, may be petitioned for by a majority of the total membership and submitted at a regular business meeting. The dismissal must pass by a two-thirds majority vote of the Board of Directors at the next subsequent meeting. Any vacancy created must be filled immediately as outlined in the Constitution. ARTICLE II: OFFICERS Section 1 Chairperson The Chair shall preside at all Party conventions and at all meetings of the YCLP. The Chairperson is the chief executive officer of the YCLP. Section 2 Secretary The Secretary shall take and keep minutes of all Party conventions and all meetings of the Board of Directors, and shall maintain a current list of all members of the YCLP and their contact information. The Secretary must send quarterly and annual reports required by the Libertarian Party of Pennsylvania. The Secretary is the secondary executive officer of the YCLP and performs the duties of the Chairperson in their absence. Section 3 Treasurer The Treasurer shall be responsible for the management of the receipt, disbursement, and accounting of the funds of the YCLP, as allocated by vote of the Board of Directors. The Treasurer shall not allow the obligations of the YCLP to be in excess of the available funds. The Treasurer shall file all required reports on behalf of the YCLP with government agencies. The Treasurer shall prepare an itemized monthly finance report for each regular business meeting. The Treasurer is the tertiary executive officer and performs the duties of the Chairperson and/or Secretary in their absence. ARTICLE III: MEETINGS Section 1 Regular Business Meeting

A regular monthly business meeting shall be held each month, at a location and time decided upon by a majority of the Executive Board. The location chosen must be open to and able to seat the entire Board of Directors. Section 2 Quorum 1. Business Quorum: A Business Quorum is required to open a regular business meeting, and shall be established when the meeting is called to order by at least one member of the Executive Board, with at least two other members of the Board of Directors present. 2. Voting Quorum: A Voting Quorum is required before any vote can be taken, and shall be established when either the Chairperson, or the Secretary and Treasurer, are present with no less than one half of the current Board of Directors. Section 3 Notification The Chairperson may reschedule or relocate a meeting should the time or location become unfeasible to the membership. If a change is to occur, it is the responsibility of the Secretary to notify the entire membership of the new location and/or time at least three days prior to the meeting. ARTICLE IV: COMMUNICATIONS Section 1 Notifications The official means of notification to the YCLP membership shall be via executive email. All official notifications to the membership shall be the responsibility of the Secretary. It is the responsibility of each member to check their email for notifications and to keep the Secretary up-to-date should their email account change. Section 2 Official Website The official website of the YCLP shall be YorkLP.org. All content and analytics data are sole property of the YCLP. Section 3 Executive Email Accounts The Executive Board shall have official email accounts from which all YCLP business is to be conducted. The accounts and all messages therein are the sole property of the YCLP and the email accounts are to be held in trust by the Executive Board. The login credentials and passwords for all three accounts shall be held by each member of the Executive Board. The accounts are defined as follows: Chairman: Chairman@YorkLP.org

ARTICLE V: COMMITTEES Section 1 Standing Committee A Standing Committee performs an ongoing special service to the YCLP. All Standing Committees have very specific functions outlined, if necessary and cannot exceed the authority granted to them by the YCLP. A Standing Committee is created by majority vote of the Board of Directors. Appointment of Standing Committee Chairpersons is at the discretion of the YCLP Chairperson. Standing Committee Chairpersons may not vote in regards to the creation or dissolution of committees. Section 2 Regional Committee The purpose of the Regional Committee is to focus on growing the YCLP locally through education, political action, and social activity. The Chairperson of the YCLP has the power to create a Regional Committee through appointment of a Regional Committee Chairperson. Regional Committees serve the same area as State House Representative Districts, with no more than one Regional Committee per district. A Regional Committee Chairperson must live in the defined boundary of the Regional Committee they chair. Upon redistricting of State House Representative Districts, all effected Regional Committees are considered automatically dissolved. Section 3 Dissolution A vote may be taken to dissolve a committee at any time. A two-thirds majority is required for dissolution. No committee chairperson may vote on the dissolution of a committee. ARTICLE VI: NOMINATION OF CANDIDATES FOR PUBLIC OFFICE Section 1 Authority Only the York County Libertarian Party, as a recognized affiliate of the Libertarian Party of Pennsylvania and sub-affiliate of the Libertarian Party, shall have the power to nominate candidates for public offices within York County, Pennsylvania under the "Libertarian Party" label. Section 2 Nomination Process

Nomination of a candidate for public office may be brought before the Board of Directors at any regular business meeting and passed by a majority vote. The Chairperson of the YCLP has the executive authority to veto a nomination made by the Board of Directors at any time. Section 3 Reporting 1. It is the duty of the Chairperson of the YCLP to report nominations of YCLP candidates to the York County elections office. 2. It is the responsibility of the Candidate to file all appropriate paperwork for their campaign. Section 4 Committee to Fill Vacancies The Board of Directors shall have the power to name individuals to serve on the Committee to Fill Vacancies when required by law. ARTICLE VII: REPRESENTATION The official representative of the YCLP shall be the Chair. The Chair of the YCLP has the power to delegate this authority, in whole or in part, to YCLP members or committees. No one may legally speak as the YCLP without this official authorization. A delegate may be recalled by the Chair at any time. ARTICLE VIII: PARLIAMENTARY AUTHORITY Roberts Rules of Order Newly Revised shall be the parliamentary authority for all matters of procedure not specifically covered by these Bylaws or Constitution, at the discretion of the Chairperson. ARTICLE IX: AMENDMENTS These Bylaws may only be amended at a Constitutional Convention. A Constitutional Convention may be called as outlined in the Constitution. Amendments to these Bylaws may be ratified by a two-thirds majority of those present at the convention. ADOPTED December 17th, 2012 Evan Mentzell, Secretary
