Kapil Sharma Sub:- Work order for the supply & installation of Fire fighting system of Tower D & Tower E for Designarch eHomes, at plot No.HRA-8, Site C Housing Extension,Suraj Pur, Greater Noida (U.P.) Dear Sir, This has reference to your quotation & further negotiation with you, the company has decided to award you the work order of supply & installation of Fire fighting system of Tower A,C, D & Tower E etc. for the above site as per following terms & conditions: 1. 2. 3. These rates are inclusive of all taxes such as Octroi, Excise duty, Vat, Entry tax etc.. The rates are inclusive of packing freight / transport charges etc. & delivery of product of etc. these rates are fixed till completion of project.Service tax will be paid extra. You will arrange all necessary documents & way bill for the delivery of material at above mentioned site DesignArch E-homes, at plot No. HRA -8,Site C (Housing Ext.),Surajpur, Greater Noida Payment terms are as under:

a). 10% advance along with purchase order. b). 60% after delivery of material at site on prorata basis. c).2% after installation of prorata basis. d). Balance payment after testing ,successful completion and handing over the site to the client. e). 5% will be deducted from each r.a. bill & will be deposited as security which will be released after successfully completion of the defect liability period of One year. 4. The whole work including installation and testing will be completed within 1 month of issue of work order. Time is the essence of the contract. In case of delay beyond accepted date and the company decides not to extend the time, the Company would be entitled from you a penalty amount of Rs. 2,000/- per day. Quality & workmanship will be major driven forces of the work. Supplier will not compromise at any stage and strictly adhere to quality and specifications agreed upon. All makes will be as per agreement. Each of the item supplied shall carry a test certificate of laboratory test of each item and shall be of approved quality by ISI or any other superior Government Authority. In case of any deficiency or short coming in quality of material or workmanship is found or detected by owner or deviation from the agreement or lower quality material used, Supplier will replace the same immediately at his cost and expenses and make up the deficiency to the satisfaction of the owner.

The products will have a replacement warranty of 1 year from the date of completion of the project. The supplier has clearly understood and has agreed to observe all safety measures while working and undertake not to obstruct or disturb the working / right to way of other associated contractors appointed by owner. 8. The owner reserve the right to contract with other parties for work similar to the job being performed under this agreement in case of unsatisfactory performance or failure of contract in order to successfully complete the work under this agreement. 9. If the supplier fails, declines or neglects to supply the material after accepting the work Order within the stipulated period then the company would be untitled to cancel the order forthwith and claim penalty of 25% of total cost of purchase order from the supplier in lieu of wasting of company time / Manpower energy for negotiation etc. and the supplier cannot challenge the same on any ground. 10. Your Tech. supervision will supervise each corner & niche to minute detail & will get it executed 11. Safety and security of the material supplied or fixed at site exclusively lies with Supplier till the handing over of the site to the owner. Safety of Suppliers labor/ workers also strictly Suppliers sole responsibility. In case of any accident Supplier will bear all damages, protect and indemnify the owner from any loss damages after with consequences. 12. The contractor hereby agrees to indemnify and keep harmless the Owner from any loss or damages out of defects or any mishap arising out of installation and operation of equipment installed by you. 13. The owner may terminate this contract at any stage at any time, without assigning any reason on breech of any condition of the work order & otherwise by giving notice amount paid to him by the company owner & supplier would be at liability to receive back its material supplied. 14. All the billing will be raised from the noida/greater noida. 15. All the material should be free from any manufacturing defects. If there will be any defect then supplier will replace the material at site at his own cost & bear the damages. 16. The owner may purchase any items directly from the market if in the opinion of owner the material used is not up to the mark & then debit to the same contractor. 17. This is escalation free work order .Rates are fixed till the completion of the project. Neither material nor labour escalation will be payable under any circumstances. 18. Although the work has been awarded for Tower A,D & Tower E, but the scope of the work may be extended to other towers depending on the performance of the contractor. Contractor has been agreed that he will execute the additional qty. at the same prices i.e. as agreed in this work order. 19. That both parties here by agree that courts at delhi shall have the jurisdiction to adjudicated any dispute arise between the parties to this agreement.
