DEBTORS MOTION FOR AN ORDER AUTHORIZING SEVERANCE BENEFITS IN CONNECTION WITH THE DEBTORS PLANNED REDUCTION-IN-FORCE The above-captioned debtors (collectively, the Debtors) hereby move the Court (this Motion) for an order, substantially in the form of Exhibit A, authorizing severance benefits in connection with the Debtors planned reduction-in-force (RIF). In support of this Motion, the Debtors respectfully represent as follows: Jurisdiction 1. The Court has jurisdiction over this matter pursuant to 28 U.S.C. 1334. This

matter is a core proceeding within the meaning of 28 U.S.C. 157(b)(2).

Venue is proper pursuant to 28 U.S.C. 1408 and 1409. The statutory bases for the relief requested herein are sections 105(a) and 363(b)

of chapter 11 of the Bankruptcy Code, 11 U.S.C. 101-1330 (the Bankruptcy Code). Background 4. On May 17, 2005 (the Petition Date), the Debtors filed their voluntary petitions

for relief under chapter 11 of the Bankruptcy Code. The Debtors are operating their businesses and managing their properties as debtors in possession pursuant to sections 1107(a) and 1108 of the Bankruptcy Code. No trustee or examiner has been appointed in these cases. On the Petition Date, the Court entered an order jointly administering these cases pursuant to Rule 1015(b) of the Federal Rules of Bankruptcy Procedure. 5. On May 24, 2005, the United States trustee appointed an official committee of

unsecured creditors pursuant to section 1102 of the Bankruptcy Code (the Committee). 6. The Debtors and their non-Debtor affiliates are leading global suppliers of

automotive components, systems and modules to all of the worlds largest vehicle manufacturers, including DaimlerChrysler AG, Ford Motor Company, General Motors Corporation,

Honda Motor Company, Inc., Nissan Motor Company Unlimited and Toyota SA. Relief Requested 7. As part of the Debtors ongoing efforts to cut costs and increase operational

efficiency, the Debtors have determined, in their sound business judgment and in consultation with the agent for their senior, secured prepetition lenders and the Committee, to implement a RIF. Although the Debtors do not believe that the scope of the RIF is outside of the ordinary course of business, the Debtors seek this Courts authority for a severance package equal to up to four weeks of pay and benefits, plus any accrued vacation.

Basis for Relief 8. Section 105(a) of the Bankruptcy Code permits the court to issue any order that 11 U.S.C. 105(a).

is necessary or appropriate to carry out the provisions of this title.

Section 363(b) of the Bankruptcy Code provides, in relevant part, that the trustee, after notice and a hearing, may use, . . . other than in the ordinary course of business, property of the estate. 11 U.S.C. 363(b). A court has the statutory authority to authorize a debtor to use property of the estate pursuant to section 363(b)(1) of the Bankruptcy Code when such use is an exercise of the debtors sound business judgment and when the use of the property is proposed in good faith. Stephen Indus., Inc. v. McClung, 789 F.2d 386, 390 (6th Cir. 1986) (adopting the sound business purpose standard for sales proposed pursuant to section 363(b)(1)); In re Delaware & Hudson Ry. Co., 124 B.R. 169, 176 (D. Del. 1991); In re Lionel Corp., 722 F.2d 1063, 1070 (2d Cir. 1983); see also Fulton State Bank v. Schipper, 933 F.2d 513, 515 (7th Cir. 1991) (a debtors decision must be supported by some articulated business justification); In re Montgomery Ward Holding Corp., 242 B.R. 147, 153 (D. Del. 1999); In re Ernst Home Center, Inc., 209 B.R. 974, 979 (Bankr. W.D. Wash. 1997). 9. Under section 363(b), a debtor has the burden to establish that it has a valid

business purpose for using estate property outside the ordinary course of business. See Lionel, 722 F.2d at 1070-71. Once the debtor has articulated such a valid business purpose, however, a presumption arises that the debtors decision was made on an informed basis, in good faith and in the honest belief that the action was in the debtors best interest. See In re Integrated Resources, Inc., 147 B.R. 650, 656 (S.D.N.Y. 1992). A party in interest seeking to challenge the debtors valid business purpose must produce some evidence supporting its objections. Montgomery Ward, 242 B.R. at 155.

As the Debtors previously have testified before this Court, the Debtors continue to

work to address their operational challenges, which have been intensified by the current business environment of the automotive industry in which the Debtors operate. In particular, the Debtors continue to take tangible steps to rationalize and better manage their cost-base across all operations and support functions. 11. Consistent with these efforts, the Debtors have determined to reduce costs through

headcount attrition and related initiatives. In particular, the Debtors plan to reduce the number of salaried employees by approximately 125, representing approximately $7.6 million in annual base salaries. Accordingly, the RIF will provide the Debtors with substantial long-term cost savings that benefit their estates, creditors and parties in interest. 12. In addition, the Debtors seek to provide severance benefits to the employees

affected by the RIF. For these employees, the Debtors request authority to provide, upon execution of a release acceptable to the Debtors: (a) a severance package equivalent to (i) up to four weeks of base salary and (ii) any accrued and unused vacation; and (b) continued employee benefits for up to four weeks (collectively, the Severance Benefits). The base salary

component of the Severance Benefits would be subject to an aggregate limit of $650,000.2 13. Although the Severance Benefits may impose certain short-term costs, these costs

are appreciably less than the operating losses associated with maintaining such corporate employees. Furthermore, the Debtors believe that failing to provide the Severance Benefits would only diminish employee morale at this critical time in the Debtors chapter 11 cases, which in turn would hinder the Debtors efforts to efficiently carry out and complete the Debtors restructuring process. At the same time, keeping in mind the financial constraints under

which the Debtors operate, the Severance Benefits have been carefully structured to avoid unnecessary or excessive expenditure. 14. In light of the foregoing, the Debtors in consultation with the Committee and

the agent for their senior, secured prepetition lenders believe that the Severance Benefits are reasonable and appropriate and that the requested approval will allow the Debtors to maximize the value of their estates.3 Accordingly, the relief requested herein is in the best interests of the Debtors, their creditors and other parties in interest. Notice 15. Notice of this Motion has been given to the Core Group and the 2002 List as

required by the Case Management Procedures.4 In light of the nature of the relief requested, the Debtors submit that no further notice is required. No Prior Request 16. court. No prior motion for the relief requested herein has been made to this or any other
