DEBTORS MOTION FOR AN ORDER APPROVING EXPEDITED REJECTION PROCEDURES FOR EXECUTORY CONTRACTS AND UNEXPIRED LEASES The above-captioned debtors (collectively, the Debtors) hereby move the Court (this Motion) for an order approving expedited rejection procedures for executory contracts and unexpired leases. In support of this Motion, the Debtors respectfully represent as follows: Jurisdiction 1. The Court has jurisdiction over this matter pursuant to 28 U.S.C. 1334. This

matter is a core proceeding within the meaning of 28 U.S.C. 157(b)(2).

Venue is proper pursuant to 28 U.S.C. 1408 and 1409. The statutory bases for the relief requested herein are sections 105(a) and 365 of

chapter 11 of the Bankruptcy Code, 11 U.S.C. 101-1330 (the Bankruptcy Code), and Rules 6006 and 9014 of the Federal Rules of Bankruptcy Procedure (the Bankruptcy Rules). Background 4. On May 17, 2005 (the Petition Date), the Debtors filed their voluntary petitions

for relief under chapter 11 of the Bankruptcy Code. The Debtors are operating their businesses and managing their properties as debtors in possession pursuant to sections 1107(a) and 1108 of the Bankruptcy Code. No trustee or examiner has been appointed in these cases. On the Petition Date, the Court entered an order jointly administering these cases pursuant to Bankruptcy Rule 1015(b). 5. On May 24, 2005, the United States trustee appointed an official committee of

unsecured creditors pursuant to section 1102 of the Bankruptcy Code (the Committee). 6. The Debtors and their non-Debtor affiliates are leading global suppliers of

automotive components, systems and modules to all of the worlds largest vehicle manufacturers, including DaimlerChrysler AG, Ford Motor Company, General Motors Corporation,

Honda Motor Company, Inc., Nissan Motor Company Unlimited, Porsche Cars GB, Renault Crateur DAutomobiles, Toyota SA and Volkswagen AG. 7. Throughout the Debtors chapter 11 cases, the Debtors and their advisors have

been analyzing each of the Debtors businesses to evaluate their viability. As part of this process, the Debtors have, among other things, evaluated the profitability of the Debtors executory contracts and unexpired leases related to such businesses. In connection with that process, the Debtors have identified a number of executory contracts and unexpired leases that are unnecessarily burdening the Debtors estates. 2

The Debtors have now entered a phase of their reorganization wherein they are

focused, in part, on shedding such unnecessary and burdensome executory contracts and unexpired leases (collectively, the Contracts). However, the number of Contracts that the Debtors will seek to reject in these chapter 11 cases may be substantial. Consequently, without relief from this Court, the rejection process of these unnecessary and burdensome Contracts would result in a substantial cost to, and administrative burden on, the Debtors estates. 9. Therefore, the Debtors believe that it is appropriate and necessary to seek

expedited procedures for rejection of such Contracts to minimize such costs and administrative burden on the Debtors estates as well as minimize the administrative burden on the Court in overseeing this process. Relief Requested 10. The Debtors seek the entry of an order authorizing and approving the following

procedures (the Rejection Procedures) for rejecting Contracts: (a) The Debtors will file a notice (the Rejection Notice) to reject a Contract or Contracts pursuant to section 365 of the Bankruptcy Code, which Rejection Notice shall set forth, among other things: (i) the Contract(s) to be rejected; (ii) the name and address of the counterparties to such Contract(s); (iii) the effective date of the rejection for such Contract(s), which date shall be the date of the Rejection Notice or later; and (iv) the deadlines and procedures for filing objections to the Rejection Notice (as set forth below). The Debtors will serve the Rejection Notice by an overnight delivery service upon: (i) the Contract counterparties affected by the Rejection Notice; (ii) counsel to the Committee; (iii) counsel to the agent for the prepetition secured lenders; (iv) counsel to the agent for the postpetition secured lenders; and (v) the Office of the United States Trustee. Parties objecting to the proposed rejection must file and serve a written objection so that such objection is filed with this Court and is actually received by the following parties (collectively, the Objection Service Parties) no later than 10 days after the date the Debtors serve the relevant Rejection Notice: (i) counsel to the Debtors; (ii) counsel to the Committee; (iii) counsel to the agent for the prepetition secured lenders; (iv) counsel to the agent for the postpetition secured lenders; and (v) the Office of the United States Trustee. 3

If an objection to the rejection of any Contract(s) is/are not timely filed, the Debtors shall file a certificate of no objection with a proposed order rejecting such Contract(s) with the effective date of such rejection to be as set forth in the Rejection Notice or such other date to which the Debtors and the counterparty to such Contract(s) have agreed. If an objection to the rejection of any Contract(s) is/are timely filed and not withdrawn or resolved, the Debtors shall file a notice for a hearing to consider the objection for the Contract(s) to which such objection relates. If such objection is overruled or withdrawn, such Contract(s) shall be rejected with the effective date of such rejection to be as set forth in the Rejection Notice or such other date to which the Debtors and the counterparty to such Contract(s) have agreed. Notably, the agents for the Debtors senior, secured prepetition and postpetition

lenders do not object to the Debtors requested relief. Basis for Relief 12. Section 105(a) of the Bankruptcy Code permits the court to issue any order that

is necessary or appropriate to carry out the provisions of this title. 11 U.S.C. 105(a). 13. Section 365(a) of the Bankruptcy Code provides that a debtor in possession,

subject to the courts approval, may assume or reject any executory contract or unexpired lease of the debtor. 11 U.S.C. 365(a). The decision to assume or reject an executory contract or unexpired lease is a matter within the business judgment of the debtor. See, e.g., In re Monarch Tool & Mfg. Co., 114 B.R. 134, 137 (Bankr. S.D. Ohio 1990); In re Fashion Two Twenty, Inc., 16 B.R. 784 (Bankr. N.D. Ohio 1982). Courts looks to the impact that continued performance of the contract or lease will have on the estate; assumption or rejection will be approved upon a mere showing that the action will benefit the estate. See In re Federated Dept Stores, Inc., 22 BCD 245 (S.D. Ohio 1991); see also Bormans Inc. v. Allied Supermarkets, Inc., 706 F.2d 187, 189 (6th Cir. 1983), cert. denied, 464 U.S. 908 (1984). 14. McLouth Steel Corp., 20 B.R. 688, 692 (Bankr. E.D. Mich. 1982); see also NLRB v. Bildisco & Bildisco, 465 U.S. 513, 524 (1984); Orion Pictures Corp. v. Showtime Networks, Inc. (In re Orion Pictures Corp.), 4 F.3d 1095, 1098-99 (2d Cir. 1993). 15. Upon finding that the Debtors have exercised their sound business judgment in

determining rejection is in the best interests of the Debtors, their creditors and parties in interest, the Court should approve the rejection under section 365. See, e.g., Westbury Real Estate Ventures, Inc. v. Bradlees, Inc. (In re Bradlees Stores, Inc.), 194 B.R. 555, 558 n.1 (Bankr. S.D.N.Y. 1996); In re Johns-Manville Corp., 60 B.R. 612, 615-16 (Bankr. S.D.N.Y. 1986) ([T]he Code favors the continued operation of a business by a debtor and a presumption of reasonableness attaches to a debtors management decisions.); Summit Land Co. v. Allen (In re Summit Land Co.), 13 B.R. 310, 315 (Bankr. D. Utah 1981) (holding that absent extraordinary circumstances, court approval of a debtors decision to assume or reject an executory contract should be granted as a matter of course). If a debtors business judgment has been reasonably exercised, a court should approve the rejection of an executory contract or unexpired lease. See, H/S e.g., NLRB v. Bildisco & Bildisco, 462 U.S. at 523 (1984); In re Sharon Steel Corp., 872 F.2d 36, 39-40 (3d Cir. 1989); In re Integrated Resources, Inc., 147 B.R. at 656 (quoting Smith v. Van Gorkom, 488 A.2d 858, 872 (Del. 1985) ([t]he business judgment rule is a presumption that in making a business decision the directors of a corporation acted on an informed basis, in good faith and in the honest belief that the action taken was in the best interests of the company.). 16. Moreover, establishing the Rejection Procedures will minimize the Debtors

postpetition obligations and help the Debtors increase the efficiency and overall costeffectiveness of the reorganization of the Debtors estates. The Rejection Procedures are also

fair and reasonable to Contract counterparties as they afford parties in interest the opportunity to appear and be heard with respect to the rejection of the Contracts. 17. A proceeding to assume, reject, or assign an executory contract or unexpired

lease . . . is governed by Rule 9014. Fed.R.Bankr.P. 6006(a). Bankruptcy Rule 9014 provides that: In a contested matter . . . , not otherwise governed by these rules, relief shall be requested by motion, and reasonable notice and opportunity for hearing shall be afforded the party against whom relief is sought. Fed.R.Bankr.P. 9014(a). The notice and hearing requirements for contested matters under Bankruptcy Rule 9014 are satisfied if appropriate notice and an opportunity for hearing are given in light of the particular circumstances. See

11 U.S.C. 102(1)(A) (defining after notice and a hearing or a similar phrase to mean such notice and an opportunity for hearing as [are] appropriate in the particular circumstances) (emphasis added). 18. Under the circumstances, the usual process of obtaining Court approval of each

rejection: (a) would impose unnecessary administrative burdens on the Court and usurp valuable Court resources; and (b) would result in costs to the Debtors estates that may decrease the economic benefits of the rejection. Therefore, the Debtors propose to streamline the process and shorten the applicable notice periods as set forth in the Rejection Procedures. 19. In sum, the procedures that the Debtors seek to implement pursuant to this Motion

will minimize costs to the Debtors estates and reduce the burden on the Courts docket while protecting creditors with an interest in the Contracts through the opportunity to object and obtain a hearing, if necessary. Therefore, the Debtors have determined that the relief requested in this Motion is the most appropriate means to protect and maximize the value of the Debtors estates and is in the best interests of the Debtors, their creditors and parties in interest.

Notice 20. Notice of this Motion has been given to the Core Group as required by the

Case Management Procedures.3 In light of the nature of the relief requested, the Debtors submit that no further notice is required. No Prior Request 21. court. No prior motion for the relief requested herein has been made to this or any other
