WITNESSETH: That the Employee and Employer do hereby agree and contract regarding employment for professional services with Quest Academy Charter School in accordance with the School Laws of Nevada and the rules and regulations prescribed by the State Board of Education and the State Superintendent of Public Instruction. This Agreement may be abrogated as provided by the Nevada Revised Statutes, or by mutual consent of the Employee or Employer, or as provided by the Agreement. This contract is subject only to terms and conditions contained herein. The following conditions and documents referred to therein are made a part of the contract. This contract and its attachments contain the full and complete agreement of these parties. 1. Term: It is anticipated that the Employee will work from August 15th, 2011 through June 11th, 2012, with no guarantee or expectation of subsequent employment being offered. Employees are expected to work the entire contract year. Leaving prior to the end of the contract year creates a hardship on the school as well as students and parents. Employees are strongly urged to consider this before signing this contract. Salary: The Employee will be paid semi-monthly or according to the regular payroll schedule commencing the first regularly scheduled payroll of the term of this Agreement. Salary is subject to deductions as required by federal and state authorities, and where applicable for group insurance as well as other deductions including such other deductions approved by Quest Academy, upon a request in writing, by the employee. The employer agrees to pay the salary provided in twenty four (24) semi-monthly installments per annum. Should the Employee accept the position, they will be exempt from the Fair Labor Standards Act, and therefore are not eligible for overtime wages.

Responsibility are outlined on Attachment 1 of this Employment Contract. Employee shall exert his/her best efforts to perform these duties as required by the Employer and other such related duties, expressed and unspecified, as from time to time may be required by the Employer. Performance Evaluation: Employee shall receive an annual evaluation completed by the administration. The employee understands that they will be evaluated on: a. Attendance: The employee shall be eligible for 15 personal days during the academic year. These days will be known as Personal Time Off (PTO). These five days may be used for sickness, bereavement, or personal time off. There will be no distinction for what the days are used, therefore employee will not receive additional days beyond the five PTO days. PTO days may be used at any time during the contract year. After the fifteen (15) days are used in a school year, employees will be required to have a deduction of pay in the amount of days missed. If the employee resigns or is terminated before the end of the contract year any PTO days used in excess of the actual accrued

The employee will forgo any remaining PTO days not used by May 31st of the contract year. Any remaining PTO days will not be carried over into the new contract year. Being absent a day before or after a holiday will result in automatic PTO deduction regardless of non-used days. Employees will be required to complete the Request of Absence form for Approval.

Additional Assignments: Assignments involving additional pay for extra duty of special services may be made at anytime during the life of this contract. These assignments may also be terminated at anytime during the life of this contract. Compensation for these services may be adjusted in proportion to the length and type of the assignment completed. Benefits: Employee shall be entitled to those benefits normally offered by the Employer, as those benefits may exist from time to time, or as such benefits may from time to time be created, modified or eliminated by the Employer, on the same basis as such benefits are offered to other employees with corresponding status and length of service. found in Attachment 2 of this Employment Package. Confidentiality and Ownership: As a condition of employment, the Employee will be required to sign an agreement acknowledging the confidentiality of Employer information and specifying the Employer as the owner of Employee work product elect, at its sole discretion, to provide Employee with additional compensation related to the production of work product that the Employer is able to resell multiple times.

Policies: Employee agrees to comply with all current policies and procedures of the Employer and any subsequent modifications thereto. Employee understands policies may be created, modified, or deleted at the discretion of the Employer. The policies and guidelines do not create a contract and nothing in this Agreement should be construed to the contrary.

Pre-Employment Screening: This Agreement remains contingent upon Employee successfully completing all requirements in accordance with the employment screening process including, but not limited to criminal background checks, pre-employment drug screening, background screening, reference checks and validation of appropriate academic credentials. Employee agrees additional screening may be conducted after employment commences at the discretion of the Employer. Random testing may also occur during the contract year. 11. NCLB Compliance for Teachers: Employee agrees to comply with all terms of NCLB (No Child Left Behind). Employee understands that NCLB requires that parents be notified if a student has been assigned to, or taught for four or more consecutive

12. Certification for Teachers: This Agreement is at all times conditioned upon the Employee securing and continuing to hold a valid teaching certificate issued by the State of Nevada. Employee must submit a copy of such teaching certificate to the Quest Academy Administrator on or before the first date of employment and as may thereafter be reasonably required by Employer. Any changes to the licensure (such as dates, name changes etc.) must be submitted by the Employee to the Employer within 14 days. 13. No Violation of Other Agreements: Employee represents and warrants to the

Employer, client, or any other person. 14. Completion of Mandatory Forms: This Agreement is at all times contingent upon successful completion of mandatory forms, including but not limited to, the I-9 Form (with supporting documents) and the W-4 Form, as well as any other forms required by Employer. All such paperwork must be submitted by Employee within three (3) days of the first date of employment. A copy of any necessary credentials or certificates must be on file upon prior to the first date of employment otherwise this contract is voidable. 15. Confidentiality of Terms of Agreement: The terms and conditions of this agreement are confidential and shall not be revealed to any other party without prior written permission. 16. Termination: Although it is anticipated that Employee will work the entire term stated in paragraph within the State of Nevada, which means that either Employee or notice. Nothing in this Agreement shall be construed to prevent the termination of this Agreement by the Employee or Employer at any time.
