ANEXURE A TERMS AND CONDITION THE AGREEMENT FOR PROVIDING SERVICES OF COMPURTER OPERATORS 1- This agreement shall be governed

by Corporation standard terms & conditions of Form A 2- The computer Operator must have minimum qualification of graduation alongwith knowledge of M.S. Word, MS Excel, Power Point and uploading and downloading data from internet. Computer Typing knowledge in Hindi & English is also essential. The related certificates should be submitted to the unit. 3- This agreement shall come into effect from and will remain valid upto . The right to terminate the agreement prior to or to extend it thereafter is reserved with UPPTCL. During the currency of the contract the strength may also be increased or decreased. 4- The statutory taxes shall be deducted at source as required by law and regulations from the payment to the contractor. 5- Requirement of services of computer operator shall be as details given in Annexure B 6- The contractor shall have no objection to redemarcation of the unit under the control of UPPTCL within the currency of this agreement. The contractor shall also abide by further instructions or amendments to be issued by UPPTCL in this matter. 7- Al the financial, administrative and statutory obligations and responsibilities under the laws enforced will devolve on the contractor. 8- The Contractor shall have to deposit 3% the contract value as security deposit in the form FDR in favour of Executive Engineer E.C.T.D. Bareilly which shall be released after successful execution of the contract. 9- The Contractor will prepare the monthly bill on the basis of attendance verified by the unit concerned and will submit bill to unit for processing of payment. The payment will be released within 30 days against the verified bills. 10- The agreement can be terminated after giving one months notice without assigning any reason. 11- If it finds that the computer operator unsuitable, the contractor shall replace such personnel at the earliest with the consent of the UPPTCL. 12- Computer Operators provided by the Contractor shall not be considered employee of UPPTCL for any purpose whatsoever. It will be the responsibility of the contractor to comply with the statutory provision will regard to employment, payment of salary & wages and other related matters. 13- Computer Operator provided by the contractor will perform eight hours duty as per instructions of the head of the unit. 14- Computer Operator provided will have to maintain proper discipline and strictly abide by the rules of the UPPTCL and will have to maintain secrecy of the department (UPPTCL). 15- If, in case Computer Operator remains absent from the work, payment will be deducted on an average basis from the bills of the contractor. 16- No advance payment shall be given not any interest or compensation shall be payable against late payment, if any. 17- All disputes arising during execution of the contract shall be resolved by mutual discussion failing which the matter will be referred to the S.E. (E.C.T.C. LKO) for arbitration whose decision shall be binding on the contracting parties.

-218- If the contractor shall neglect to provide services with due diligence and expedition or shall refuse or neglect to comply with any reasonable orders given to them in writing by the officer of the contract, the UPPTCL may give seven days notice in writing to the contractor to make good the failure, neglect or contravention complain of and if the contractor fails to comply with the notice, a penalty @1/2% per week subject to a maximum of 10% shall be levied and the UPPTCL shall be at liberty to engage other computer operator through another contractor. If the cost of executing the work shall exceed, the difference of cost shall be recovered from balance due to the contractor or from security or in any lawful manner. 19- Any legal proceeding shall be subject to jurisdiction of the Bareilly Courts only.
