Performing Agreement

(Theatre Group)

THIS AGREEMENT made as of [Date of Agreement (ie. July 1, 2002)] between [Name of
Theatre Group] (the "Theatre Group") of [Address of Theatre Group] and [Name of Promoter]
(the "Promoter") of [Address of Promoter].

WHEREAS:

(A) The Promoter is a promoter of artists, musicians and other performers; and

(B) The Promoter wishes to retain the Theatre Group to perform in accordance with the terms
and conditions of this Agreement;

NOW THEREFORE in consideration of the recitals, the mutual covenants hereinafter set forth,
and for other good and valuable consideration, the receipt and sufficiency of which is hereby
acknowledged, the parties hereto hereby agree as follows:

1. The Promoter hereby retains the Theatre Group to perform, and the Theatre Group agrees
to perform [Description of Performance (ie. the play "Julius Caesar")] (the
"Performance") at [Describe Venue of Performance (ie. the Opera House, Anywhere,
State)] (the "Venue") on [Date of Performance].

2. The Promoter agrees to furnish the Venue at its own expense on the date at the time
mentioned for the Performance, well-heated, lighted, clean, in good order, and with all
necessary tickets, special police, ushers, ticket sellers (whether the sales take place at the
Venue or elsewhere), ticket-takers, bill-posting, mailing, and distribution of circulars,
daily display and advertising in the principal newspapers, licence (if required), clean
dressing rooms near the stage for the Theatre Group, and all necessary services connected
with the foregoing. The Promoter further agrees to ensure that the stage is entirely cleared
in readiness for the Performance and acknowledges that the Theatre Group will require
unrestricted use of the stage several hours during the day on which the Performance takes
place in order to erect scenery and lighting which once erected shall be permitted to
remain in position until the end of the Performance.

3. The Theatre Group agrees to furnish a copy of the program to be performed during the
Performance which is to be printed in conformity with material furnished by the Theatre
Group, and distributed in sufficient quantity by the Promoter at its expense.

4. The Promoter agrees to use reasonable commercial efforts to publicize the Performance
in order to maximize attendance at the Performance. The Theatre Group will, as a
courtesy but not as an obligation, furnish such quantity of cuts, press material, circulars,
window cards or posters as the Theatre Group in its sole discretion considers necessary or
desirable. The Promoter agrees to properly distribute and display all advertising material
it receives, and to pay shipping, express charges or both on material furnished by the
Theatre Group.

5. As consideration for agreeing to give the Performance, the Promoter agrees to pay the
Theatre Group, at least seven (7) days prior to the Performance, the sum of [Specify
amount of Fee (ie. $50,000)] plus applicable taxes by cash or by certified cheque.

6. In case of sickness of, or of accident to the Theatre Group or any of its artists or
performers, or if the performance is rendered impossible or unfeasible by any act or
regulation of any public authority, civil tumult, riot, strike, epidemic, interruption, delay,
cessation, or interference with transportation services, or for any other cause beyond the
control of the Theatre Group, it is agreed that there shall be no claim for damages by
either party to this Agreement, and the Theatre Group's obligation as to the Performance
shall be considered to be waived. In the event that the giving of the Performance is
prevented by regulation of military or civil authorities as the result of war conditions or
emergencies, neither of the parties shall be liable to the other under this Agreement.

7. The Promoter agrees that no radio apparatus or transmitting device shall be used at the
Venue during the Performance, in any manner or form, and the Promoter agrees to take
all steps necessary to prevent the broadcasting, recording or reproduction by radio or any
other device of the Performance, or any part of it.

8. This Agreement represents the full understanding between the parties hereto, and the
Theatre Group shall not be bound by any terms or undertaking other than those contained
in this Agreement. This Agreement may not be assigned by the Promoter, but shall be
binding on the Promoter and the Promoter's personal representatives and successors. No
consent of the Theatre Group or the Promoter required to be given shall be valid unless
signed in writing by the Theatre Group or the Promoter.

IN WITNESS WHEREOF the parties have set their hands and seals the day and year first
above written.
