Todays sports face the perspective of the clash between two fundamental identity visions.

The clash between commercial interests of clubs owners, players, shareholders, governing bodies and, athletes from one side and expectations of the public opinion, in particular fans as to way the sport events and clubs are conducted and managed and owned from the other. Professional sport clubs became a part of an entertainment industry with incomes comparable to other significant branches of economy. According to the survey conducted by Street & Smith's Sports Business Journal sports business in United States is worth approxi6ately $213 billion. Just for comparison the value of banking business is estimated for $265 billion and transportation for $256 billion. 1 Big share of this money is generated directly or indirectly through TV rights, advertisements, merchandise by professional sports clubs. Similarly, professional sports became significant part of the economy in Europe. Unlike United States, where revenues, media and fans attention are split between strong basketball, American football, baseball and hockey leagues, in Europe sport business is dominated by football. Only in United Kingdom live TV broadcasting deal between the Premiership and BSkyB was worth over 1 billion. 2 Other decisive difference between functioning of professional sport clubs on the both sides of Atlantic, which influence functioning of the sport clubs and sport clubs related corporations and companies is the model of professional sport in United States and in Europe. In Europe sport clubs exists in the model of vertical solidarity, where professional sport clubs, taking part in the competition on the highest level and in the highest divisions, organized in the incorporated form and often floated on the stock exchange contribute, support and are linked with clubs in lower divisions, sport of youth and even amateur sport. Youth athletes training and lower divisions clubs benefit from the money generated by media giant on the top of sport and financial structure. This model of conducting professional sports is often praised as creating an opportunity for involvement for amateur sports and youth sports in the income redistribution. From the other hand a huge gap between the wealthiest clubs and the rest of the competitors in the league is created. Franchises like Chelsea, Manchester United, Arsenal and Real Madrid have budgets that no other teams in their leagues can match with. This in conjunction with the outcome of the Bosman case, after which players were able to change freely to other clubs in EC Member States, which could no longer limit number of foreign players from the Member States, playing in the clubs, resulted in the acquiring of best players by the wealthiest clubs, and subsequently even more cash inflow to those clubs. American model of sports is characterized by clear separation of professional sports and college sports. Governing body of American amateur sports is the National Collegial Athletic Association (NCAA) 3. It had set clear rules to sustain amateurism in the students sports. Student athletes are banned from receiving money or other financial compensation of any kind. If doing so they would have faced consequences of loosing eligibility for playing in the college level. Although college championships in United States are amateur it does not mean that there are not commercial. College sports, and in particular basketball and football 4 generate annually billions of dollars in TV rights and merchandise 5, during so-called March Madness, time of NCAA basketball playoffs. Other distinguishing characteristic of the American model of professional sports is the horizontal solidarity. Sport is considered to be a product to be sold jointly, so the broadcasting rights are managed by the leagues and distributed evenly upon the teams and even the ticket revenues are split between home and away team. Those rules are designed to prevent situation of the hegemony of the wealthiest clubs. There is a long-standing common believe within all American major leagues that the key to success for everybody lies in the balanced competition on the field. In order to attract fans and media opposing teams should have on any given day roughly equal chance to defeat other teams. 6 American leagues are also hermetic, it means that there are hardly ever possibilities for the new entrants and there is no possibility of degradation to lower division. These features reinforce building long-term business strategy both for sport franchises, sponsors and media. The legal form of professional sport clubs differ from country to country and legal system. In United Kingdom incorporated commercial companies are the most popular form of organizing professional football clubs. In United Kingdom almost all professional football clubs operate as limited liability companies. Many of them were incorporated in the late nineteenth and in the beginning of twentieth century 7. The qualities of incorporating as a limited liability company are minimisation of risk and greater capital raising powers. This may explain the phenomenon of creation of professional and strong football league on The Islands long before such leagues of such qualities started to emerge elsewhere in Europe.

In continental Europe traditionally sport clubs were managed as associations, but as professional sport was getting more and more commercialised incorporated form was becoming more and more popular. In some countries, in particular in Scandinavia sport clubs are still required to be associations. In the United States there is no legal form prescribed for sport clubs, so in practice clubs choose form variety of legal forms, both unincorporated such as limied partnerships, Limited liability companies or incorporated; but the characteristic feature of American sport clubs is that there are very often wholly owned by an individuals, such as Ted Turner, who owns Atlanta Braves (baseball) and Atlanta hawkes (basketball) and Malcolm Glazer or large corporations such as The Disney Company, which owns Anaheim Angels (baseball), Orlando Magic (basketball) and Mighty Ducks (hockey) 8. One interesting example is relatively newly established Major Leauge Soccer (MLS), where all clubs, being separate legal entities re actually owned by the league itself, which is corporation. This is so called sindicated structure. Ownership is pooled and players may be allocated centrally to different teams to maintain a competetive balance. 9 This structure raised questions on the antitrust law. In Fraser v. Major Leauge Soccer 10 a grupu of professional soccer players claimed that Major Leauge Soccer (MLS) violated section 1 of Sherman Act. Players argued that contracting for their services centrally through the Leauge, member teams were prevented from competing for players on an individual and direct basis. Players maintained that they would have obtained better salaries if were able to negotiate directly with the clubs. Court concluded that even if clubs had separate legal personality MLS and the team constituted a single entity it could not conspire or combine with its investors and investors could not conspire between each other. According to the Court MLSs policy of contracting centrally for players services was a unilateral activity of a single firm 11 and did not constitute a breach of Sherman Act. In the central and eastern European countries develepment of financing and legal strucure of professional sport clubs is very interesting. Sport clubs were usually associations involved in many disciplines through so called sections, where multiple disciplines were involved and financed by state directly (often teams were associated and supported directly by military or police) or by state owned companies and industries. The situation changed after fall of the political and economical system. In Poland fir example there were two trends: liquidation oh multi-section clubs and, self financing of sport clubs, by sponsors, tickets revenues and overwhelmingly by revenues from TV rights. Further clubs were incorporated as joint stock companies and privatised. Regardless the legal forms sport clubs is organised with and its social and economical background; there is one significant common feature of the sport clubs functioning in the market economy. Nowadays sport clubs, and football clubs in Europe in particular are complex mixture of money spinning activity and long standing recreational activity deeply rooted in social and cultural context with high influence on regional community. 12 This local phenomenon of sport clubs must be emphasised. Oddly it may have significant influence on sport clubs financing and business results. Even on the highest level of football show, where the most famous and wealthiest clubs are engaged in the most interesting competitions the local dimension of the competition will always be the most interesting for the supporters, hence for the broadcasting stations. National championships will always be a priority both for clubs and for fans as well. Competition against traditional rivals will always be most thrilling for the supporters. The existence of additional stakeholders-fans, in comparisons with companies from different branches of industry is not only distinguishing feature of the sport clubs. One must note the peculiar market circumstances that exist in the market of sports. The demand for the product supplied by the football clubs tends to remain unrelated to the quality of the product provided. Football supporters follow and buy product offered by they beloved clubs no matter how poor the performance is. Other result of the so-called two souls structure of the football clubs is potential conflict between the goals of the owners: profit maximisation and winning trophies. The supporters of clubs floated on the stock- exchange claims that by raising the capital on the open market they increase the opportunity for success of their core supporters. 13 In this place it is worth noting that the most successful capital rising on the open was Manchester United plc. The unique nature of the sport clubs as investments must be emphasised. Public investments on the stock market are normally driven by the profit maximisation. In case of sport clubs sentiments play much greater role and fans and supporters buy shares as they would buy other clubs merchandise products. Conflict

between the goals of the owners may be seen at the example of the Manchester United again. The Club had recently been taken of the Stock Exchange, after its new owner, American tycoon Malcolm Glazer had acquired over 97% of the Clubs shares. The announced actions by a new owner, such as increase of ticket prices clearly show that owners would tend to lean towards profit maximisation approach. Although Manchesters fans were clearly upset with Glazers taking over their favourite club and his subsequent actions it must be emphasised that in the light of initial data and economic potential and power of professional sports there is no reasons for the investors to execute normal market behaviour. The other peculiarity is the assets structure of the football clubs. In most countries of the continental Europe clubs do not own the premises on which they play their official matches. In those clubs tangible assets are only approximately 10% of assets and the rest is roughly evenly split between goodwill and rights for footballers performance. Unlike in case of ordinary companies employees are assets in the football teams. It must be emphasised though that this kind of assets are extremely expensive to acquire and unstable assets, as the risk of depreciation is very high. 14 As far as goodwill is concerned it is mainly composed of trademarks, customers and the right to play in the major league. Trademarks include clubs symbols and logos and the names of the clubs itself, if they can be commercially exploited on the exclusive basis. 15 Trademarks may be extremely valuable and commercially attractive. Clubs` like Manchester United, Real Madrid, Liverpool, and other became global brands, that generate profits from media rights and merchandise all over the world. As it was noted earlier clubs customerssupporters are unique to the extend that unlike the clients of other industries they remain extremely loyal regardless the performance of the club. Final fundamental element of the goodwill is the right to play in the major league. The other issue is balance between normal market investor behaviour and keeping transparency and independence of the competition. In the interest of the teams, supporters, sponsors, television and the game itself is that all teams were truly independent. In the United States all major leagues have provisions in their constitutional by-laws prohibiting players, stockholders, management or other employees from owning or having any financial interest directly or indirectly in any other member club of the league. 16 Although ratio legis of such provision is clear and generally existence of them is generally desirable there are some questions that must be raised. Firstly as far as management, employees and players are concerned they clearly should be banned from having financial interest in the teams in the same league since they have strong influence on the management and performance of the franchise they could manipulate maliciously with results of the company as managers and results of the team as players in order to increase their financial interest in conjunction with other team. As far as shareholders are concerned, as long as they only provide capital in exchange for expectation of returns and do not actually control management of the clubs (minority shareholders) there is no reason why they should be stopped from having their portfolio split between variety of companies. Scottish and English Football Federations have adopted rules preventing the same legal or physical persons from owning a substantial owners interest in more than one club. The rules where introduced to avoid or minimise the risk or suspicion of match fixing when clubs of the same owner played matches against each other 17 This approach tends to more reasonable than American one, since it puts emphasis on the substantial owners interest, but still in reality such bans would be difficult to enforce since investigation of ownership structure on the open market would be very difficult. The same person could control offshore holding companies, notwithstanding some personal connections by family and friends where real control would still be focused in the hands of the same person. Secondly joint-ownership is not only one activity that raises questions about integrity and independence of the game. Close cooperation and sponsoring may also be questioned and falls beyond the scope of the ban. Propably the most famous example was last years UEFA Champions League game between Chelsea London, owned by Russian millionaire Roman Abramovich and CSKA Moscow, the team sponsored by Abramovich. Another question may be raised whether ownership restrictions provided in sporting bodies by-laws are not breaching constitutional and international human rights standards of protection of private ownership. The legal nature of those by-laws must be scrutinised. If ownership restrictions were provided by the act of parliament there would not be a problem. From the other hand on the national level such act of the parliament would be enough, but in the times of globalisation of investments and financial markets from one side and European football competitions (UEFA Cup, Champions Leauge) would not be enough. From the other hand where restrictions were introduced by the act of parliament there were not perfect either. Poland is one of the countries with regulation of sport on national level. Physical Culture act regulates both amateur and professional sports in all aspects. Art. 29 of the Physical Culture Act provided that professional sport clubs may be organised in the form of association or sport joint stock company

18. Art. 36. Of the Act provided that an individual holding more than 1% of the shares in the sport joint-stock company shall not hold more than 1% in another sport joint-stock company in the same discipline. Physical Culture Act had been amended recently and for introducing more freedom of economic activity in the field of sport now provides that professional sport club may be organised as an association, sport joint-stock company or any other entity provided by law for conducting economic activity (partnerships, limited partnerships, limited liability company etc.), but art. 36 remained unchanged. In this situation there is a possibility for an individual for holding substantial shareholding in the sport clubs within the same discipline or even league only if they are organised not as sport joint stock companies but for example limited liability companies. Such situation may clearly lead to pathologies. Professional sport clubs may constitute a great business opportunity due to the capital flowing in this branch of economy annually, but it must be emphasised that uniqueness of this activity may be challenge for potential investors as well. Normal corporate law rules must be observed in conjunction with the number of by laws or sport supervising bodies and the golden rule between profit maximisation and drive to the sporting success must be found. As the example of Malcolm Glazer and Manchester United may show in next years excessive drive for profits without taking sport results into consideration when planning budgets and expenditures may turn out to be a vicious circle, since business results of sport franchises are strongly linked to its triumphs in the competition. Bentrokan antara kepentingan komersial pemilik klub, pemain, pemegang saham, badan yang mengatur dan, atlet dari satu sisi dan harapan masyarakat pendapat, dalam kipas tertentu sebagai peristiwa dengan cara olahraga dan klub dilakukan dan dikelola dan dimiliki dari yang lain. Keberadaan tambahan stakeholderpenggemar, dalam perbandingan dengan perusahaan dari berbagai cabang industri tidak hanya ciri khusus dari klub olahraga. Kita harus perhatikan keadaan pasar yang aneh yang ada di pasar olahraga. Para permintaan untuk produk yang dipasok oleh klub sepakbola cenderung untuk tetap berhubungan dengan kualitas produk yang disediakan. Pendukung sepak bola mengikuti dan membeli produk yang ditawarkan oleh mereka tercinta klub tidak peduli seberapa buruk kinerja yang. Hasil lain dari struktur yang disebut 'dua jiwa' dari klub sepak bola potensi konflik antara tujuan pemilik: maksimisasi laba dan menang piala.
