is developed independently of The Discloser by The Recipient in
circumstances that do not amount to a breach of this agreement
is required to be disclosed by The Recipient by law; provided that in
these circumstances, The Recipient shall, if possible, give The
Discloser the opportunity to take whatever steps it deems necessary
to protect its interests in this regard, and provided further that The
Recipient will disclose only that portion of the information that itis
legally required to disclose and will use its best endeavours to protect
the confidentiality of such information to the widest extent possible in
the circumstances

of The Discloser; and
is lawfully received from a third party free from any confidentiality
restriction; and
2.3. “The Discloser’ means the Party disclosing any Confidential Information, and
“The Recipient’ means the Party to whom Confidential Information is disclosed
or otherwise communicated
