LEAVE AND LICENCE AGREEMENT

ARTICLES OF THIS AGREEMENT is made and entered into at Mumbai this 01 day of
January, 2015 BETWEEN MRS. VARSHA DEVENDRA GOTECHA, an adult, Indian
Inhabitant of Mumbai, residing at 201, Manisha Co-op. Hsg. Soc. Ltd., Mathuradas
Cross Road, Kandivali (West), Mumbai - 400 067, hereinafter called THE
LICENSOR (which expression shall unless it be repugnant to the context or meaning
thereof be deemed is include his heirs, executors, administrators and/or assigns) of
the FIRST PART;
AND
MR. ROHIT VISHANJI SUTHAR, also adult, Indian Inhabitant of Mumbai, residing at
Mumbai hereinafter called and referred to as THE LICENSEE of the SECOND
PART.

WHEREAS the Licensor is the absolute Owner and in use, occupation, possession
and enjoyment of a Room No 3 , situated at Pipwala Chawl, Prabhat Colony Chowk,
Santacruz (East), Mumbai 400 055 , hereinafter called and referred to as the SAID
PREMISES, for the sake of brevity and convenience.
AND WHEREAS the Licensee herein has approached and requested to the Licensor
herein to allow to use the premises (One Ground Floor Room + First Floor) for
running garment unit in the said premises for a period of 11 (eleven) months on Leave
& Licence basis, and whereas considering the request of the Licensee, the Licensor
has agreed to grant the permission / licence, to the Licensee, on the following terms
and conditions.

NOW THIS AGREEMENT THEREFORE WITNESSETH AS UNDER:


1)

That the Licensor hereby grant his Licence on to and to the Licensee herein, to
store goods & other materials related to his business, in the sand Room No. 3,
Prabhat Colony, Santacruz (East), Mumbai 400 055, for a period of 11 (eleven)
months on Leave & Licence basis, commencing from 1st day of October, 2015
and the same shall expire on 31st day of August, 2016 (both days inclusive).

2)

That the Licensee has deposited a sum of Rs. 2, 75,000/- (Rupees Two Lacs
Seventy Five Thousand Only) with the Licensor, which is Rent/ monthly
compensation for 11 months for the use and occupation of the said Premises
(including security deposit for Rs 25,000/-), the receipt of which the Licensor
admits and acknowledge to have received the same.

That the Licensee shall pay the electricity charges, water charges of the said
premises, to the authorities before its due dates, on behalf of the Licensor.

4)

That the Licensee alone shall be liable and responsible for his business activities,
and shall pay or borne all the taxes, income/ sales tax, and other levies, fines,
penalties, imposed by the Government authorities, in respect of the business of
the Licensee and also pay all the workers salary/ bonus and debts, liabilities,
credits, of his business, and keep indemnified the Licensor there from.

That the Licensee shall not do any illegal or immoral business in the said
premises or stock any hazardous materials in the said premises that may
jeopardise the right of the Licensor of the said premises.

6)

That the exclusive possession of the said premises shall be always construed
with the Licensor only as Owner thereof.

7)

That the Licensee shall not obtain any licence or permits or any other documents,
in respect of the said premises that may jeopardise the Ownership right of the
Licensor in any manner whatsoever.

8)

That the Licensee shall not let, sub-let, or create any third party interest or part
with possession thereof, over the said premises in any manner whatsoever
nature.

9)

That the Licensee shall not make any addition or alteration or change the nature
over the said premises, therein in any manner whatsoever nature.

10) That the Licensee shall not cause any damage, over the said premises and or
furniture, fittings, and fixtures, and if any such loss, damage caused to the
Licensor the Licensee shall made the good the losses to the damages, and or
compensate the same to the Licensor.
11) That the Licensee shall not claim right of tenancy, sub-tenancy or any other
ownership right over the said premises or any other part thereof, in any manner
whatsoever nature.
12) That the Licensee shall not obtain any loan or mortgage or charge, lien,
encumber, the said Shop or any part thereof, and / or hypothecate the business
carried therein to any one in any manner whatsoever nature.
13) That the Licensee shall not obtain any income/Sales tax dues in respect of the
said premises address during the license period.
14) That the Licensee shall on expiry of this agreement quit, handover the vacant and
peaceful possession of the said premises to the Licensor without any let,
hindrance or taking any recourse of law.

15) That the Licensee shall not commit any breach of the aforesaid terms and
conditions mentioned hereinabove, and if he commits any breach of aforesaid
terms and conditions, then the Licensor have every right to terminate this
agreement at any time without giving any notice to the Licensee, on such notice,
upon the Licensee he shall quit, vacate and handover the possession of the said
premises to the Licensor.
16) That either party shall give one month prior notice to terminate this agreement
prior to expiry of this agreement, well in advance.
17) That this agreement shall be binding upon both the parties and neither party shall
commit any breach of aforesaid terms and conditions of this agreement.
IN WITNESS WHEREOF the parties hereto have hereunto set and subscribed their
respective hands on the day and the year first hereinabove written.
