BY-LAWS
PARKWOOD BAND BOOSTERS INC.
PARKWOOD HIGH SCHOOL
Article I
The Mission of the Parkwood Band Boosters Inc, a non-profit, membership-based organization is to provide
support to the Parkwood School Band in raising funds for activities, equipment, fees, supplies, and other
necessary items not provided by the Union County School System. We will provide aid to the band director to
enhance Parkwood Band in the efforts to maximize every band students potential.
Article II: Basic Policies
Following are the basic policies of Parkwood Band Boosters, Inc:
A. All service performed by any Parkwood Band Boosters Inc. member shall be strictly in a voluntary
capacity.
B. All Officers and Executive Board Members are required to have 50% participation/attendance. Failure to
comply may result in removal and forfeiture of eligibility for future positions.
C. All purchases under $300.00 must be pre-approved by two Officers. Any expenditures over $300 must
be approved by a majority vote of the Executive Board. Approval may be acquired electronically.
D. A minimum of ten percent of every fundraisers net profit shall be transferred/designated to a special
uniform fund. This fund shall only be used for the bulk purchase of new/custom uniforms for the entire
group of current and potential new band members.
Article III: Members and Dues
Section 1. Only members of Parkwood Band Boosters, Inc. shall be eligible to participate in the business
meetings, vote or to serve in any of its elective or appointive positions.
Section 2. All parents of Band members, guard members, and all other persons interested in the objectives for
which Parkwood Band Boosters Inc. was organized may become an active member upon payment of the dues.
Membership becomes immediately effective upon receipt of dues.
Section 3. Each member of the Parkwood Band Boosters Inc. shall pay the annual dues that are established
each year by the Officers.
Section 4. Parkwood Band Boosters Inc. shall conduct an annual enrollment of members but may admit
persons to membership at any time.
Article IV: Meetings
Section 1. Regular Meetings. The Parkwood Band Boosters Inc. members will meet monthly from August
through May. The meeting time and place will be established by the board at its first Executive Board Meeting
of the year. The number of members present shall constitute a quorum, and a motion shall pass by a two-thirds
majority vote based on the number of members present.

Section 2. Special Meetings. Special meetings for the discharge of urgent business may be called by the
President. The number of members present shall constitute a quorum, and a motion shall pass by a two-thirds
majority vote based on the number of members present.
Section 3. Executive Board Meetings. The Executive Board will meet monthly from July through May. The
meeting time and place shall be established by the officers at or prior to their first meeting of the year. A
majority (more than half) of the Executive Board members shall constitute a quorum, and votes shall pass by a
two-thirds majority vote.
Article V: Officers and their Election
Section 1. Officers. The officers of the Band Boosters Inc. will be the President, Vice President, Secretary, and
Treasurer.
Section 2. Election and Term. Officers are elected at the May regular meeting and will serve from July 1
through June 30 of the following year.
Section 3. A person shall not be eligible to serve more than two consecutive terms in the same position with
the exception of the treasure position
Article VI: Duties of the Officers
The Officers will work with the Band Director to prepare an annual budget and present it for approval at the first
executive committee meeting in August. The Officers will review all purchase order requests submitted to
Parkwood Band Boosters Inc. by the Band Director. The Officers will review all invoices presented for payment
and authorize payment. Upon expiration of the term of office, each officer shall turn over to his successor or to
the president, without delay, all records, books, and other materials pertaining to the office and shall return to
the treasurer, without delay, all funds pertaining to the office.
President. The President is the Chief Executive Officer and will preside over all meetings, supervise and control
all business activities, sign and execute any papers on behalf of Parkwood Band Boosters Inc. and perform any
other duties prescribed by the Executive Board.
Vice President. The Vice President shall act as aides to the president; in absence of the President, performs
the duties of that office. In case of a vacancy, the Vice President will serve as President until the end of the
unexpired term of office.
Secretary. The secretary shall record the minutes of all meetings including the Executive Board meetings,
regular meetings, and special meetings. In the absence of the President and Vice President, the Secretary will
preside at all meetings until a presiding officer protem is elected. The secretary will have a current copy of the
by-laws and shall perform such other duties as may be delegated to him or her.
Treasurer. The treasurer shall have custody of the funds of Parkwood Band Booster, Inc.; shall keep a full and
accurate account of receipts and expenditures; and in accordance with the provisions in the annual budget
adopted by Parkwood Band Boosters Inc., shall make disbursements as authorized by the President or
Executive Board. The treasurer shall present the financial statement at every meeting and other times when
requested, and shall make a full report at the meeting at which new officers officially assume their duties. The
treasurer shall be responsible for the maintenance of such books of account and records.
Article VII: Executive Board
Section 1. The Executive Board shall consist of Parkwood Band Boosters Inc. officers and the chairmen of the

*standing committees. The President will serve as the Chairman of the Executive Board and presides at all
meetings. The Executive Board may fill any vacancies in standing committees as it may deem necessary. The
term of each chairman shall be 1 year. Since a special committee is created and appointed for a specific
purpose, it automatically goes out of existence when the work is done and its final report is received.
*Standing Committees Fundraising , Hospitality, Communications, Special Committee
Section 2. Fundraising Committee. The committee shall consist of a Chairperson and as many members as
the Chairperson deems fit. The Fundraising Committee will be responsible for making suggestions of
fundraisers to the Executive Board. The Executive Board shall approve each fundraiser prior to its inception.
The Chairperson shall attend all executive board meetings to report on the status of each fundraiser.
Section 3. Communications Committee. The committee shall consist of a Chairperson and as many members
as the Chairperson deems fit. The Communications Committee is responsible for notifying all Parkwood Band
Students and Students parents/guardians of any and all information pertinent to the Parkwood Band Boosters
Inc. and its activities. The Chairperson shall attend all executive board meetings to report on the status of all
communications.
Section 4. Hospitality Committee. The committee shall consist of a Chairperson and as many members as the
Chairperson deems fit. The committee shall be responsible for providing food and beverages for Parkwood
Band Students participating in activities prior to and during band camp, football games (home and away),
marching competitions and other band related activities throughout the year. The Chairperson shall attend all
executive board meetings to report on the status of all hospitality functions.
Section 5. Special Committees. The Executive Committee may create such special committees, such as Pit
Crew and Uniform as it may deem necessary. The Chairman shall be appointed by the President and
confirmed by the Executive Board. The Chairperson of each Special Committee shall attend all executive board
meetings to report on the status of all activities related to their committee.
Article VIII: Parliamentary Procedure
In the absence of any by-law of standing rule to the contrary, the practices described in the latest edition of
Roberts Rules of Order shall apply at all meetings of this organization and its committees. The parliamentarian
is to be designated by the President.
Article IX: Dissolution
In the event this organization shall become inactive or dissolve itself, any assets remaining after directly
attending to bands needs will be:

Contributed to another 501(c)(3) organization in which there is a common public interest.

Divided between Parkwood High and Parkwood Middle Schools, part of the Union County School
District, for exclusive public use.
In the event the Parkwood Schools are dissolved, contributed to another 501(c)(3) organization.

Article X: Amendments
These by-laws may be amended at any regular or special meeting according to the guidelines established in
section Article IV Meetings.
Article XI: Closing
Notwithstanding any other provisions of these articles, Parkwood Band Boosters, Inc. will not carry on any

other activities not permitted to be carried on by (a) a corporation exempt from Federal income tax under
section 501(c)(3) of the Internal Revenue Code of 1954 or the corresponding provision of any future United
States Internal Revenue Law or (b) a corporation contributions to which are deductible under section 170(c)(2)
of the Internal Revenue Code of 1954 or any other corresponding provision of any future United States Internal
Revenue Law.
Article XII
These by-laws were accepted according to the quorum and voting guidelines outlined in Article IV Meetings on
the date listed below and shall go into effect immediately thereafter.
