We write in reference to your proposal to commission the services of
Consultant (Consultant) to conduct the System Impact Study (SIS) for

In accordance with Section B14.8 of the Open Access Transmission Service (OATS) Rules,
the National Grid Corporation of the Philippines (NGCP) hereby grants permission to
COMPANY (Applicant) to proceed with the Third Party SIS subject to the following
conditions:
1.

A Tripartite Confidentiality Agreement among NGCP, Applicant, and the Consultant

shall be signed for the provision of power/load flow and the associated dynamic data
which are needed for the conduct of the SIS. The Tripartite Confidentiality
Agreement is hereby attached for you and your Consultants signature;

2.

For the purposes of the Third Party SIS, the connection point of the Project will be at
__________________________.

The Applicant shall submit the complete data and information required in connection
with the application for transmission service which include the following:

Vicinity Map of the Project;

Single Line Diagram of the proposed connection scheme/s indicating the
parameters of the connection facilities such as line structure, conductor type
and distance, and transformer capacities;
Generator modeling parameters as specified in Annex A; and
Transmission Service Application Form.

It is hereby agreed and acknowledged by the Applicant that all submitted

information, are true and correct;

5.

Applicable cost for the Third Party SIS.

Applicant and/or Consultant shall be required to pay the cost of the above NGCP
Services for the Third Party SIS. A fifty percent (50%) downpayment shall be made

upon submission of the request for review. The remaining fifty percent (50%) shall
be paid prior to release of the review results;

All payments should be made through Banco De Oro (BDO) using its Bills Payment
Slip. Among others, kindly indicate the following information on the BDO Bills

Furnish NGCP with the copy of the deposit slip once payment is made.

The result of the SIS conducted by the Consultant shall be reviewed by NGCP. Prior
to the conduct of the Study, the Applicant shall facilitate a meeting with NGCP and
the Consultant where the parties shall agree upon and establish the key
assumptions for the Study. Further, the Study will be divided into phases, wherein
completed phase will be deemed a partial result of the Study. Applicant shall
require the Consultant to submit to NGCP the partial results upon their completion,
the schedule of which shall be agreed upon by the parties during the meeting.
Applicant shall require the Consultant to submit for review the results of the Study to
NGCP after the completion thereof. The review shall be undertaken for a period not
exceeding forty five (45) days from the date NGCP commences with its review
(Review Commencement Date);

8.

The review of the Third Party SIS will commence upon satisfying the following
conditions:

Signing of the Offer of Service;

Posting of 50% down payment as indicated in Item 5;
Applicant or Consultant provides all the base cases and generator model
data (preferably in PSS/E format) to NGCP upon submission of the draft SIS;
and
NGCP has received all the required information/documents from the
Applicant.

The Review Commencement Date shall be communicated by NGCP to Applicant

and the Consultant upon compliance to the aforementioned conditions and payment
of the applicable charges;
9.

NGCP, at any time during the performance of the review, may request additional
information from the Applicant relative to the performance of the Third Party SIS.
Significant delays in the provision of the additional information would result in the
extension of the 45 working day review period;

10.

Any change in the location of the connection point or major change in the connection
scheme after the completion of the SIS and prior to the interconnection of the
Project to NGCPs transmission system shall render the result of the same invalid. If
so desired by the Applicant, the Applicant can request NGCP for a re-run of the SIS
using the new configuration. Such re-run shall be considered an entirely new SIS,
subject to the applicable fee as stated under item 5 above;

11.

Applicants rights on the SIS cannot be assigned without the written consent of
NGCP. Applicant shall disclose to NGCP if the subject power plant will be
implemented by other developer;

12.

Service Agreements (SA) shall follow the results of the SIS and Facilities Study (FS)
as recommended by NGCP or the connection scheme as agreed by the Parties;

13.

The SIS is valid for a period of five (5) years reckoned from the Project
commissioning year considered in the study.

14.

Failure of the Applicant to adhere to the conditions cited under items 10, 11and 12
shall jeopardize the execution of the Service Agreements;

15.

In addition to the SIS, Renewable Energy Integration Study (REIS) shall be

conducted to assess the Grid impact of the generation intermittency (if Applicable);
and

16.

The Applicant acknowledges that NGCP may be giving basic information as required
by the Department of Energy regarding the Applicants project.

Strict compliance of Applicant with the conditions cited above shall be required in the
execution of Service Agreements of NGCP. Should you agree with the above conditions,

execution.
