CONTRACT OF AGENCY

This Agency Agreement is entered into as of February 23 2016 by and between

spouses Juan and Maria dela Cruz (the Principal), residents of #446 Brgy. Patuto,
Tagaytay City Cavite and Jojo Binay (the Agent), resident of #47 Guevarra St.,
Buho, Silang Cavite both of whom agree to be bound by this Agreement.
WHEREAS, the Principal and the Agent desire to enter into an agreement whereby
the Agent will be in charge of the general management of real and personal
properties of the Principal for a period of 5 years.
NOW, THEREFORE, in consideration of the mutual covenants and promises made by
the parties hereto, the Principal and the Agent (individually, each a Party and
collectively, the Parties) covenant and agree as follows:
1. AUTHORIZATION
The Principal authorizes the Agent to act in his behalf in the general
management and administration of the Principals real and personal
properties for 5 years.
2. AGENT RESPONSIBILITIES
The Agent shall handle affairs of the Principals properties.
The Agent shall be liable for any undue conflict arising from his
mismanagement of the Principals properties.
The Agent shall exercise extraordinary diligence in the administration
of the Principals properties.
3. COMPENSATION
The Agent shall receive a fixed monthly compensation of PHP 20,000
for the general management of the Principals real and personal properties.
IN WITNESS WHEREOF, each of the Parties has executed this Agreement, both
Parties by its duly authorized officer, as of the day and year set forth below.
