Question
Johnny graduated from Anglia University recently
with a first class honors degree in accountancy. His
ambition is to become a professional auditor.
However, he is considering to be a company
secretary as his second choice. In the light of
Companies Act 1965, Johnny would like to know
what are the required qualifications before he is
eligible to be appointed as a qualified company
secretary.

S139(1) a co sec must be a natural person of


full age & must have his principal or only
place of residence in Malaysia.
S139(3) at least 1 co sec is required to be
present at the cos registered office by himself
or his agent or clerk on the days& hour when
the office must be open to public.

S139A a co sec must be :


A member of a professional body (eg. Bar Council,
MIA, MAICSA) or any other body prescribed by the
Minister or
Licensed by the Registrar.

s139B deals with the license to act as co sec.


The Registrar will grant a license after taking into
account the applicants qualification, experience, public
interest whether the applicant is a license to qualify as a
co sec.
License will be valid for 3 years &is renewable.
