(“Clark Corporation”) against Mr. Sbraga in the Court of Common Pleas of Philadelphia County. The Complaint, which bears your signature, improperly names Mr. Sbraga -individually- as the action’s sole Defendant, even though you are fully aware that there is no legal or factual basis upon which to make any claims against Mr. Sbraga, You, your law firm and Clark Corporation have intentionally failed to name ‘Americana, LLC as the Defendant in this action, instead naming Mr. Sbraga individually, intentionally, for the purpose of embarrassing, humiliating and harassing him in an effort to extort monies from him. You are obviously aware of the existence of the Pennsylvania Limited Liability Company Law of 1994 and that Americana, LLC (an indispensable party to this claim) was formed as a Pennsylvania Limited Liability Company thereunder (you note within the pleading that Mr. Sbraga is the managing member thereof), and you obviously understand the difference between a legal business entity and an individual, as your own client is a Pennsylvania corporation, You also know that your client, Clark Corporation, contracted with Americana, LLC- not Mr Sbraga- if for no other reason than Clark Corporation addressed ALL of its invoices to ‘Americana LLC and received payments from ONLY Americana, LLC (see the attached). You know (or should have known after even a basic inquiry) that no invoice was EVER issued by Clark Corporation to Mr. Sbraga and no payments to Clark Corporation were ever made by him.TAYLOR COLICCHIO LLP Your tactics in this manner are blatantly unethical, and your gratuitous references to Mr. Sbraga’s notoriety as a celebrated chef belie the true intent of your filing. Should you fail to withdraw this pleading within two (2) days of your receipt of this correspondence, I will personally file an ethics complaint against you with the Disciplinary Board of the Supreme Court of Pennsylvania for knowing violations of Pa.R.C.P 3.1 and 3.3, and will further hold you, your law firm and your client fully accountable for the damages Mr. Sbraga has suffered and will continue to suffer as a result of your disingenuous actions.
