1. Introduction
1.1.

Name

ThenameoftheorganizationisCedarRidgeBandBoosters.Theparents/guardiansofCedarRidgeHigh
Schoolbandstudentsdoherebyformourselvesintoanonprofitorganizationandtothatenddohereby
approvetheconstitutioninmannerandformasfollows.

1.2.

Location

ThelocationoftheCedarRidgeBandBoostersis1125NewGradyBrownSchoolRoad,Hillsborough,North
Carolina,27278.Themailingaddressoftheorganizationis1125NewGradyBrownSchoolRoad,
Hillsborough,NorthCarolina,27278.

1.3.

Purpose

Toencourage,promoteandsupporttheCedarRidgeHighSchoolBandprogramsinconjunctionwith,and
supportof,theDirectorofBands.

2. Membership
2.1.

Membership

Parentsand/orlegalguardians(hereinafterreferredtoasparents/guardians)ofbandstudentsshall
automaticallybemembers.Oneormoreparents/guardiansofabandstudentshallconstituteafamily.

2.2.

Voting

Thevotingmembershipconsistsofbandboosters.Eachfamilyshallbeallowedonevoteperstudentonall
votingmatters.Ifvotingoccursatameeting,thefamilymustbepresentatthatmeetinginordertovote.
Forsignificantdecisionsthatrequireinputfromthewidermembership,theBandBoostersBoardofDirectors
maychoosetoholdavirtualvote.Inthiscase,theSecretarywillemailaGoogleSurveytothemembership,
oruseasimilaronlinetool.

2.2.1.

GeneralMeetings

GeneralmeetingsofthemembershipwillbeheldasrequiredbytheBoardofDirectors.
Noticeofthetimeandplaceofallmeetingsshallbebyemaildistribution.Inthecaseofcalledmeetings,
textnotificationmaybeusedaswell.

2.2.2.

AnnualMeeting

TheannualmeetingofthemembershipshallbeheldasdeterminedbytheBoardofDirectors.Themain
purposesofthismeetingwillbetoelecttheofficersandapprovethebudgetforthenextyear.
Noticeofthetimeandplaceoftheannualmeetingshallbebyemaildistributionandpostingontheband
website.Textnotificationmaybeusedaswell.

3. Officers
ThevotingmembersshallelectthefollowingorganizationBoardofDirectors.

TheCedarRidgeHighSchoolDirectorofBandsandStudentBandPresidentarealsomembersofthe
BoardofDirectors.

3.1.

ElectionofOfficers

NominationswillbemadetotheDirectorofBandsand/orBandBoostersPresidentviaemail.
Attheannualmeetingthemembersshallelect,byamajorityvoteofthosememberspresent,thenew
Officers.Eachfamilyshallbeentitledtocastonevoteperbandstudent.
Newlyelectedofficersshallassumetheirdutiesatthenextregularlyscheduledmeetingfollowingthe
election.

AnOfficershallserveaoneyearterm.

Thesamefamilymaynotholdthesameofficeformorethantwo(2)consecutiveyears.

Nofamilymayholdmorethanone(1)officeduringayear.

TheOfficerswillreceivenoremunerationfortheirboardservicealthoughanOfficermayservethe
organizationinanothercapacityandreceivecompensation.

Officerpositionsmaybesharedbytwovotingmembers,whileretainingonevoteforeachelected
position.

Thelengthofservicecanbeextendedwiththeapprovaloftheboardofdirectors.Attheboardof
directors'discretion,theymayvotetoextendbyoneyeartheserviceofanycurrentboardmember
intheircurrentoffice.Amajorityvoteoftheboard,excludingthecurrentofficerbeingvotedupon
willbeconsideredapprovalfortheadditionalyearofservice.Withtheboards'approval,the
proceduresstatedinsection3.1,electionofofficers,willbefollowed.

4. BoardofDirectors
4.1.

BoardMembership

TheBoardofDirectorswillconsistoftheelectedOfficers,theDirectorofBandsandtheBandStudent
President.

4.2.

ExpandedMembership

TheBoardofDirectorsmaybeexpandedbyaddingupto2AtLargemembersbyavoteofamajorityofthe
Directors.

4.3.

BoardRequirements
AmajorityoftheBoardmemberspresentattheBoardmeetingandshallconstituteaquorum.

AnyBoardmemberwhocannotordoesnotattendthree(3)consecutiveBoardmeetings,ordoes
notadequatelyfulfilltheirobligationsasoutlinedhereinandinsection3.3,shallbesubjectto
removaluponmajorityvoteoftheBoard.

AreplacementfortheremovedofficershallbeappointedbyamajorityvoteoftheBoardtofulfillthe
remainderoftheterm.

TheBoardshallhavefullauthoritytomanagethisorganizationwithintheconfinesofthesebylaws
andthewillofthevotingmembers.

5. Financial
5.1.

Funding

FundingfortheCedarRidgeHighSchoolBandBoostersistheresponsibilityofthestudentsfamilies.
Studentsand/orfamiliesparticipateinfundraisingprojects.Fundraisingshallgotowardsfutureexpenses.

Allfundsandincomeofwhatsoeverkindreceivedbytheorganizationshallbeusedsolelyforthepromotion,
improvement,instruction,equipment,transportation,aidandsupportoftheCedarRidgeHighSchoolBand
programs.
AllfundsoftheorganizationshallbedepositedinsuchbankortrustcompanyastheBoardshalldesignate.
Twopersons,asdesignatedbytheBoard,shallsignchecksorvouchers.
Thetreasurersaccountsshallbeexaminedannuallybyanauditororauditingcommitteeofnotlessthan
threemembers,who,satisfiedthatthetreasurersannualreportiscorrect,shallsignastatementofthatfact
attheendofthereport.TheBoardshallselecttheauditingcommitteeatleasttwoweeksbeforethemeeting
atwhichnewofficersassumeduties.

5.2.

Scholarships

Fundspermitting,scholarship(s)maybeawardedtograduatingseniorsuponavoteoftheBoard.

6. MiscellaneousProvisions
6.1.

ProhibitionAgainstPrivateInurement

Nopartofthenetearningsoftheorganizationshallinuretothebenefitof,orbedistributableto,its
members,directors,officers,orotherprivatepersonsexceptthattheorganizationshallbeauthorizedand
empoweredtopayreasonablecompensationforservicesrenderedandtomakepaymentsanddistributions
infurtheranceofthepurposesofthisorganization.

6.2.

LimitationOnActivities

Nosubstantialpartoftheactivitiesoftheorganizationshallbethecarryingonofpropagandaorotherwise
attemptingtoinfluencelegislation,andtheorganizationshallnotparticipateinorintervenein(includingthe
publishingordistributionofstatements)anypoliticalcampaignonbehalfoforinoppositiontoanycandidate
forpublicoffice.

6.3.

AmendmentProcess

Thesebylawscanbeamendedinwholeorinpartatadulyorganizedgeneralmembershipmeetingaftera
minimumtwoweeknotice.

6.4.

DissolutionProcess

ShouldtheorganizationdesiretodissolveitselfameetingforthispurposeshallbecalledbythePresident
withaminimumtwoweeknotice.Aquorumatthismeetingshallbeatleast50%ofthevotingmembership.
Dissolutionshallrequireapprovaloftwothirds(2/3)ofthevotingmembersattendingthemeeting.
Uponthedissolutionoftheorganization,theBoardofDirectorsshall,afterpayingormakingprovisionfor
thepaymentofalloftheliabilitiesofthecorporation,transfertheremainingassetstotheCedarRidgeBand.
