On _____________________________________ 2014, The Wood Life Sports Management &
Marketing (The Wood Life), a professionally New York State registered Corporation, and ________________________________________ (Player) enter into this Standard Player Representation (Agreement). The parties mutually agreement is as follows:
I. Representation of Player
Player engages The Wood Life as Players exclusive worldwide representative for 1 year (term) with respect to the following:
(A.) The negotiation of the terms of all professional basketball player contracts on behalf of Player; and
(B.) Advice and counsel in all business affairs related to Players status as a professional basketball player, including but not limited to endorsements, public appearances, exhibitions and skills clinics, media opportunities (television, radio, and digital) and promotional contracts throughout the world; and
(C.) The Wood Life may publicize the fact that James Woodruff, the sole proprietor of The Wood Life Sports Management & Marketing, is the exclusive agent for Player, including using Players name and likeness on websites and promotional materials; and
(D.) Player warrants that Player is not presently under any other contract which will conflict in any manner with this Agreement, and that The Wood Life will act as exclusive agent on behalf of Player as described herein for the duration of this Agreement; and
(E.) Player may only engage other persons or companies in relation to international negotiations with a team or club, pursuant to FIBA guidelines, with The Wood Lifes prior written approval.
II. Duties of Parties
(A.) The Wood Life will act as business advisor and negotiator on behalf of Player with respect to employment and marketing agreements entered into by Player during the contractual Term; and
(B.) The Wood Life will negotiate Players contracts in good faith and keep Player informed of all aspects of the negotiation of Players behalf; and
(C.) The Wood Life, in the execution of its duties, agrees as follows:
(1.) To advise and consult with Player at all reasonable times;
(2.) To render advice on all contracts and business details pertaining to the Players employment activities.
III. Compensation for Services (A.) Basketball: (1.) The Wood Life will receive a fee of ten percent (10%) of the gross financial compensation (inclusive of base salary, incentives, and signing bonuses) which Player receives, pursuant to the terms of any professional basketball contract Player signs during the term of this Agreement. (2.) If Player is released by Players professional basketball organization, The Wood Life will secure the final payment agreed upon from the team or club organization. (3.) The Wood Life will invoice Player for the fees in paragraph III (A.)(1.) and Player will pay the fees within thirty (30) days of Players receipt of all invoices. Player will make all payments to The Wood Life Sports Management & Marketing, LLC at the address listed in all letterhead. (4.) The aforementioned compensation will not be diminished by (a) any monies paid to the Players creditors (either by legal process or otherwise); and (b) any withholdings, deductions, and/or contributions withheld at the source including, but not limited to, fines, or suspensions of payments of compensation due to Players conduct.
IV. Payment of Expenses (A.) On or before sixty (60) days after signing a professional basketball contract, Player will pay back all expenses incurred by The Wood Life associated with training, including, but not limited to: training facility expenses, housing expenses, and food/travel expenses. A professional basketball contract includes an NBA Uniform Contract, NBDL Uniform Contract, or a contract with a team overseas.
V. Authority of Rights
The Wood Life may, on Players behalf, do the following: approve and permit any and all publicity and advertising; approve and permit the use of Players name, photograph, likeness, and voice for purposes of advertising and publicity and in the promotion and advertising of any and all products and services; execute for Player in Players name and/or in Players behalf any and all agreements, documents, and contracts for Players services, collect and receive sums as well as endorse Players name to all checks payable to Player for Players services and retain therefrom all sums owed to The Wood Life.
VI. Modification of the Agreement
The parties may modify this contract only by a written document executed by an authorized representative of each party. The modification takes effect immediately upon execution of the written document to modify this contract.
VII. Termination of Agreement This Agreement may be terminated by either The Wood Life or Player by giving the other party five (5) days advance notice to the address listed in the letterhead. Such notice shall be effective from the date that it is mailed or hand delivered. The parties may mutually agree to terminate this Agreement at any time. If Player terminates this Agreement, Player will have thirty (30) days to pay The Wood Life for any expenses associated with training listed in paragraph IV above, that has not yet been paid for. Additionally, if Player terminates The Wood Life after Player has signed a professional basketball contract originally negotiated by The Wood Life, then Player will pay The Wood Life its fee for the negotiation of said contract.
VIII. Entirety of Contract
This Contract represents the entire agreement between the parties with respect to The Wood Life being the exclusive agent for Player.
